PlaintiffADAMWITHERSPOON,byandthroughhisattorneys,allegesasfollows: INTRODUCTION 1. AdamWitherspoonwasafounderofColorLabs,Inc.(Color),acompany

hehelpedfoundatthebehestofBillNguyen,serialentrepreneur.Nguyen,withthe acquiescenceofColorsboard,consistingofseveralprominentventurecapitalinvestor firmrepresentatives,createdanextremelyhostile,unsafe,andharassingatmosphereat Color,includingbringinganarmedcronyintotheworkplacetothreatenandintimidate employeescooperatinginaninvestigationintoNguyensfinancialandother improprieties.NguyenthreatedviolenceagainstWitherspoonsyoungsononseveral occasions.Nguyenroutinelyhumiliated,harassed,ridiculed,exploited,andpunished employees,whodepartedindroves.Finally,whenthecompanyfailedandkeyassets werebeingsoldtoApple,NguyenspecificallyretaliatedagainstWitherspoonbyblocking hisjobopportunitiesatApple,offeringhimademinimisseverancepackage,disparaging himintheworkplace,andcommunicatingtoothersthatWitherspoonwasbeing punishedforcooperatingwithaninvestigationintoNguyensupervisedbyColors outsidecounsel,GundersonDettmer.ThiscomplaintisfiledtoholdColorLabs,Inc., Nguyen,andtheirenablersliablefortheextremeandoutrageousmisconductperpetrated againstWitherspooninviolationofCaliforniastatutoryandtortlaws. THEPARTIES 2. PlaintiffAdamWitherspoonisaresidentofSantaClaraCountyintheState

ofCalifornia.HewasacofounderofDefendantColorLabs,Inc.andemployedbyColor asoneofitsfirstemployeestoprocure,setup,andmaintainColorstechnology,its servers,andfacilities.HisofficialtitleatColorwasQualityAssuranceEngineer. 3. DefendantColorisaDelawarecorporationwithitsprincipalplaceof

businessinSantaClaraCounty. 4. DefendantBillNguyenisthefounderandoriginalCEOofColor,and

oftheactsandomissionsallegedhereinwereperformedby,orareattributableto,Color, Nguyen,andDOES1through15,witheachhavingthelegalauthoritytoactastheagent fortheother.TheactsofanyandallDefendantswereinaccordancewith,andrepresent, theofficialpolicyofDefendants. 8. Uponinformationandbelief,PlaintiffWitherspoonallegesthatColor,

Nguyen,andDOES1through15ratifiedeachandeveryactoromissionofwhich PlaintiffWitherspooncomplains.Defendantsaidedandabettedtheactsandomissionsof theotherDefendantsinproximatelycausingthedamagesPlaintiffWitherspoonalleges. 9. Uponinformationandbelief,PlaintiffWitherspoonallegesthateach

Defendantisinsomemannerintentionally,negligently,orotherwiseresponsibleforthe acts,omissions,occurrences,andtransactionsallegedherein.Itshallbedeemedthat wheneverandwhereverinthiscomplaintanydefendant,whetherspecificallynamedor not,isthesubjectofanychargingallegation,DOES1to15arelikewisethesubjectofthat allegation. JURISDICTIONANDVENUE 10. ThisCourthasjurisdictionoverthisactionpursuanttotheCalifornia

Constitution,ArticleVI,Section10,whichgrantstheSuperiorCourtoriginaljurisdiction inallcausesexceptthosegivenbystatutetoothercourts.Thestatutesunderwhichthis actionisbroughtdonotspecifyanyotherbasisforjurisdiction. 3

ThisCourthasjurisdictionoverallDefendantsbecause,uponinformation

andbelief,eachDefendantiseitheracitizenofCalifornia,hassufficientminimum contactsinCalifornia,orotherwiseintentionallyavailsitselforhim/herselfofthe CaliforniamarketsoastorendertheexerciseofjurisdictionoveritbytheCalifornia courtsconsistentwithtraditionalnotionsoffairplayandsubstantialjustice. 12. VenueisproperinthisCourtbecauseoneormoreofthenamedDefendants

resides,transactsbusiness,orhasofficesinSantaClaraCounty,andtheactsand omissionsallegedhereintookplaceinthiscounty. GENERALALLEGATIONS 13. In2009,PlaintiffWitherspoonbecameacquaintedwithDefendantNguyen

inHawaii,wherePlaintiffWitherspoonandhisfamilylived. 14. Severalmonthsaftertheybecameacquainted,DefendantNguyen,aserial

entrepreneur,persuadedPlaintiffWitherspoonandhiswife,JessicaJordan,tomoveto Californiawiththeiryoungsontohelpfoundanewcompany. 15. InAugust2010,DefendantNguyen,withthehelpofPlaintiffWitherspoon,

Jordan,andotherfirstemployees,foundedColor.Jordanjoinedthecompanytohandle sales. 16. AsPlaintiffWitherspoonwasapersonalacquaintanceofDefendantNguyen

andalsooneofColorscofounders,Witherspoonregularlyworkedanintense,breakneck scheduletobuildColorfromthegroundupandkeepColorsserversrunningoptimally, aswellasperformingotherinformationtechnologyservicestosupportthecompanys operations,employeesandgrowth. 17. PlaintiffWitherspoonandDefendantNguyensfamiliesalsospenta

significantamountofpersonaltimetogether.Theirsons,thesameage,onceattendedthe sameelementaryschoolinPaloAlto.Theyattendedmanysocialgatheringstogether involvingthechildren.Eventually,however,theirsonscouldnotgetalong.Theconflict betweentheirsonscausedastraininPlaintiffWitherspoonandDefendantNguyens relationship,asNguyenandhiswifeAmandablamedPlaintiffWitherspoonssonforthe 4

lackofagreementbetweentheboys. 18. InDecember2010,theWitherspoonandNguyenfamiliestraveledtoLake

TahoetospendChristmastogether.Oneearlymorning,Jordanwalkedintotheroom wheretheirchildrenwerestayingandwitnessedNguyenkickingNguyensoldersonin thestomach.PlaintiffWitherspoonbelievedthatNguyenscorporalpunishmentofhis ownsoninfrontofotherswasmeantasashowofforcetointimidateWitherspoonsson, becauseDefendantNguyenlaterexplainedthathehadpunishedhisoldersonforthe WitherspoonsonandtheolderNguyensonallegedlyhavingexcludingtheyounger Nguyensonfromplay. 19. AlthoughtheWitherspoonswantedtoleavefollowingthisbrutalassault,

theywereinaveryawkwardposition,sincePlaintiffWitherspoonandJordanboth workedforDefendantNguyen.DefendantNguyenstatedthattheWitherspoonsons behaviorwasoutofcontrolandabadinfluenceonhisson. 20. Uponinformationandbelief,NguyentoldanothercofounderofColor,

formerChiefFinancialOfficerAlyssaSolomon,thatWitherspoonssonwasawimp anduncoordinatedandthatNguyendidnotwanthischildrentosocializewith Witherspoonsson. 21. Uponinformationandbelief,theolderNguyensonoriginallyattendedthe

SacredHeartsSchoolinAtherton.TheSacredHeartsSchoolaskedthattheolderNguyen leavetheschool.DefendantNguyenthenenrolledtheolderNguyensoninthePaloAlto UnifiedSchoolDistrict,andhewasassignedtoAddisonElementaryandinthesameclass astheWitherspoonson. 22. InoraroundJune2011,JordanandLindseyIndelicatowereattheBonnaroo

MusicFestivalforamarketingeventforColor.BothIndelicatoandJordaninjured themselvesbysteppingonspikesthatprotrudedfromtheground,butJordansinjury requiredthatshehavestitches.WhenJordaninquiredaboutfilingaworkers compensationclaim,DefendantNguyenremarkedthatJordanwasapussyandthathe wouldobjecttosuchaclaim.Jordandidnotfileaclaim,andinsteadcoveredtheoutof 5

pocketmedicalcostsherself. 23. InoraroundSeptember2011,theNguyensinvitedtheWitherspoonsand

Solomontodinner.SolomonschildrenrepeatedlyreportedtheolderNguyensons misbehavior.JordanandSolomonbothwitnessedDefendantNguyengrabhissonbythe skinofthebackofhisneckandthrowhimdownthehall.JordantoldSolomonwithin earshotoftheNguyensthatSolomonshouldstopherchildrenfromreportingtheolder Nguyensonsbehavior,orthattheirchildrenwouldbeinseveretrouble. 24. ThefollowingdayatColorsoffices,DefendantNguyensummonedJordan

andstatedthattheirfamilieswouldnolongermeetsociallyduetotheWitherspoonsons behavior.DefendantNguyeninsinuatedthatthemisbehaviorofPlaintiffWitherspoons sonwasduetoPlaintiffWitherspoonsfailingsasaparent. 25. Uponinformationandbelief,DefendantNguyenconsultedDr.Annye

RothenbergofEmeraldHillsforhissonsbehaviorproblems. 26. DefendantNguyendirectedtheWitherspoons,hissubordinatesatColor,to

taketheirsontoseeDr.AnnyeRothenberg,andvowedthathewouldnotsocializewith PlaintiffWitherspoonuntiltheWitherspoonsworkedwithDr.Rothenbergtocorrectthe Witherspoonsonsbehavior.Uponinformationandbelief,DefendantNguyenalso instructedhissontostopinteractingwiththeWitherspoonsonatschool. 27. DuetothepurportedproblemsbetweenDefendantNguyenandPlaintiff

Witherspoonssons,Jordancontactedthechildrensteacher,MonikaHastings,tomonitor thesituation.Ms.HastingstoldJordanthatMrs.Nguyenhadbeencontactingherto inquireabouttheWitherspoonsonsbehavioronadailybasis.Ms.HastingstoldJordan thatshehadconveyedinformationabouttheWitherspoonsontotheNguyens. 28. Outofdesperation,andunderdirectpressurefromtheiremployer,around

October2011,theWitherspoonscontactedDr.RothenbergandJordanexplainedthe entiresituationtoher.Uponinformationandbelief,Dr.Rothenbergreportedinformation abouttheWitherspoonsbacktoDefendantNguyen.Whenabillingissuearosearound December2011,ratherthancontacttheWitherspoonsforaresolution,Dr.Rothenberg 6

contactedDefendantNguyeninstead.Uponinformationandbelief,DefendantNguyen convincedDr.RothenbergthatastheWitherspoonsboss,hewasentitledtobeinvolved intheprocessoftheWitherspoonsonscase. 29. Shortlythereafter,DefendantNguyenunfriendedPlaintiffWitherspoon

onthesocialnetworkingsite,facebook.Thiswashighlyunusual,becausethemobile applicationthatColorbaseditsbusinessmodelonreliedonfacebookinteraction. 30. Infearoflosingtheirjobsbutalsofearfulfortheirsonssafety,the

WitherspoonscontactedAddisonElementarysprincipalJocelynGarciaThomeand requestedatransferoftheirsontoanotherschoolinthedistrict. 31. Uponinformationandbelief,DefendantNguyentoldColoremployees

MeganStriech,Indelicato,andSolomonhowmuchhehatedtheWitherspoonson.Upon informationandbelief,DefendantNguyenopenlyboastedintheworkplaceonseveral occasionsthathewascoachinghissontobeattheshitoutoftheWitherspoonson. 32. ThePaloAltoUnifiedSchoolDistrictisoneofthemostcompetitivepublic

schooldistrictsinthenation.Uponinformationandbelief,itisextremelydifficulttogeta childtransferredfromoneschooltoanotherduringtheschoolyear.Nonetheless,under thecircumstances,theWitherspoonswereabletoconvinceprincipalGarciaThomeand theschooldistrictthatitwasimperativethattheirsonbetransferredoutofthereachof theNguyensandtheirattemptstoforcecounselingandtreatmentupontheirsonwhile simultaneouslythreateningthattheWitherspoonsonwouldbebeatenbyNguyensson, asNguyenhadopenlyboasted. 33. InoraroundSeptember2011,ColoremployeeAndreCharooinadvertently

hadsomeinformationleakedtothepresspriortothelaunchofanewColorproduct. DefendantNguyenorderedotherColoremployeestogatherandlisteninonaphonecall withCharoowhowascryingandunawareotherColoremployeeswerelisteningin.In thisphonecall,Nguyenscreamedat,humiliated,andfiredCharoooverthephone.After thecall,NguyenannouncedthisincidenttotheentireColorteamasanexampleofwhat wouldhappentothemiftheymadeamistake.DefendantNguyenhadinthepasthurled 7

numerousprofanitiesagainstCharoo,suchastellinghimtoShutthefuckup,dumbass inameeting. 34. Inoraroundlate2011,SolomonbegannoticingdiscrepanciesinColors

finances.Uponinformationandbelief,DefendantNguyenwasspendingcorporatefunds onnumerouspersonalitems,suchaschargingpersonalitemsonColorsAmerican Expresscardandputtinghisfamilysnanny,SallyOrr,andhisfamilysLakeTahoebased skiinstructor,HillaryGoverner,onColorspayroll. 35. InretaliationforSolomonsinvestigationintohismisuseofColors

corporatefundsandotherfiduciarymisconduct,DefendantNguyenexpressedhisintent tofireSolomoninfrontofColoremployeesonnumerousoccasions.Coloremployees, includingPlaintiffWitherspoon,hadnodoubtthatSolomonwasonherwayoutasa directresultofNguyensvindictivethreats. 36. InFebruary2012,SolomonsentacordialemailtotheColorteam,stating

thatshewasleavingtoworkonanewproject.DefendantNguyenopenlyproclaimedto ColoremployeesthathehadfiredSolomon.Coloremployees,includingPlaintiff Witherspoon,understoodNguyensstatementtoimplythatanyotheremployeewhohad thenervetostanduptohimandreporthismisconductwouldalsobeeliminatedfrom Color. 37. TamaraSteffens,aVicePresidentofSalesandMarketingwhojoinedColor

inJanuary2012,becamesuspiciousofDefendantNguyensmisuseofColorfunds,based onhiserraticbehaviortowardsColoremployeesandhisremarksaboutthedeparted Solomon. 38. InoraroundMay2012,SteffensandJordanwenttoNewYorkCityona

businesstrip.IndelicatoplacedatelephonecalltoJordanwhileJordanwasonabusiness triptoNewYorkCitywithSteffens.IndelicatowascryingandindicatedtoJordanthat DefendantNguyenwantedtoknowifPlaintiffWitherspoon,Jordan,andtheirfamily wereplanningtoattendIndelicatosbabyshower.Jordanrespondedaffirmativelyand thattheWitherspoonshadalreadyrepliedtoIndelicatosinvitation.Indelicatoexplained 8

toJordanthatDefendantNguyensentanemailtoIndelicatostatingthathedidnotcare forPlaintiffWitherspoonandhisfamilyoutsidetheofficeandwouldrefusetoattendany socialeventiftheWitherspoonsonwasattending.Indelicatofurtherexplainedthat DefendantNguyenaskedhertocontacttheWitherspoonsaboutwhethertheywould attend.AsaresultofIndelicatostelephonecall,theWitherspoonswereforcedtonot attendIndelicatosbabyshower. 39. JordandescribedthephonecalltoSteffens,whobecamesuspiciousofthe

circumstancessurroundingSolomonsdeparturefromColor.OnoraboutJune2012, SteffenscontactedSolomon,whoexposedNguyensindiscretionstoSteffens. 40. Uponinformationandbelief,Solomonfearedforhersafetyandsoughtthe

assistanceoftheDougLeonefromtheColorBoardofDirectors(Board)toensureshe wouldbeprotectedfromDefendantNguyenoranybodyworkingonhisbehalf.Upon informationandbelief,inoraroundJune2012,Solomonalsosubmittedfinancial documentssubstantiatingtheallegationsagainstDefendantNguyensfiduciary misconduct. 41. Uponinformationandbelief,afterSteffensconductedherown

investigation,shebroughttheserevelationstotheattentionofColorsBoard.TheBoard wascomprisedofDougLeone,BillNguyen,VincentMallet,MikeKrupka,andGeoff RalstonthelatterthreebeingalliesofDefendantNguyen. 42. TheBoardheavilystackedinDefendantNguyensfavorandcomposed

largelyofrepresentativesofmajorinvestorswhohadfundedthecompanywithsome $41,000,000atfirstdidnothing. 43. Uponinformationandbelief,Leonehopedtotakeaction,buttheother

BoardmemberstookahandsoffapproachbasedonDefendantNguyenstrackrecord ofprevioussuccess.TheBoardturnedablindeyetoDefendantNguyensquestionable businesspractices,erraticbehaviorandoutrageousanddespicabletreatmentof employeesevenafterreceivingspecificinformationfromSolomonandSteffensand beingfullyawareoftheabuseofemployees.Inshort,theBoardabdicateditsroleof 9

responsibilityforoverseeingNguyensperformance. 44. Uponinformationandbelief,CoreyDunphyworksfortheOfficeofthe

InspectorGeneral(OIG)andregularlycarriesafirearm.Dunphyisapersonalfriendof DefendantNguyen. 45. DefendantNguyenbraggedtoColoremployeesincludingPlaintiff

WitherspoonandIndelicatothatDunphywasabletoputemployeeswhocrossed Nguyenonnoflylists,havethoseemployeescreditruined,andwasotherwiseableto getthoseemployeesintoothertypesoftrouble,byvirtueofDunphyspositionatthe OIG. 46. OnoraboutJuly12,2012,PlaintiffWitherspoon,alongwithmanyother

Coloremployees,observedDunphyenterColorfacilitieswithhisfirearminplainview. DunphywentdirectlytoDefendantNguyen,andthetwoconferredinprivate. 47. Uponinformationandbelief,onoraboutJuly12,2012,followinghis

meetingwithDunphyDefendantNguyenaskedSteffensifshehadseenDunphywithhis Glockhandgun.WhenSteffensansweredaffirmatively,DefendantNguyenrevealedto SteffensthatDunphywastheguyImgoingtousetoputAlyssa(Solomon)intofederal prison. 48. LaterthatdayonJuly12,2012,BoardmemberGeoffRalstoncalledPlaintiff

WitherspoonandquestionedhimaboutwhathappenedearlierinthedayatColor. BecauseRalstonwasaknownallyofDefendantNguyen,andgivenNguyensirrational, vindictiveandretaliatorybehaviorandthreatstowardotherColoremployees,Plaintiff WitherspoonwashesitanttospeaktoRalston. 49. AfterbeingreassuredthatSteffenshadapprovedofRalstonsquestioning,

PlaintiffWitherspoonexplainedhisconcernsaboutDefendantNguyenserraticconduct, thehostileworkenvironment,andthatDunphysunexplainedappearanceatColorwith afirearmexacerbatedthefeelingofemployeesbeingthreatenedwithretaliationand violenceintheworkplace. 10

Uponinformationandbelief,SteffensapproachedtheBoardtoexpressher

disapprovalathowDefendantNguyenwasrunningColorandhowDefendantNguyen wasabusingColoremployees.Specifically,Steffensbroachedthethreateningnatureof theunannounced,unexplainedvisitbyaguntotingDunphytoColorsfacilities, particularlyinthewakeofNguyenspreviousthreatsabouthowhehadruthlessly deployedDunphytopersecutepeoplewhohadcrossedhimincludingpersonal employeessuchasaformerhouseholdassistant. 51. OnoraboutJuly17,2012,BoardmemberDougLeonesentanemail

apprisingemployeesofacompanywidemeetinglaterintheday.Atthemeeting,allof theBoardmemberswerepresent,aswasDefendantNguyen.Leoneannouncedthat DefendantNguyenwouldstepasidefromrunningColorsdaytodayoperations.Leone indicatedregretfullythatitwastheBoardsfaultthatthingshadgottentothatpointand thattheBoardshouldhavebeenmoreinvolvedwiththewayColorwasrun.Upon informationandbelief,LeonepersuadedtheBoardtoinitiateaninvestigationagainst DefendantNguyen. 52. OnoraboutJuly18,2012,AndrewUrushima,VicePresidentofFinance,

sentanemailtoPlaintiffWitherspooninforminghimthatanoutsideinvestigationfirm wouldbecontactinghimaboutDunphysappearanceatColor.Urushimaimpliedthatit wastheobligationofemployeestocooperatewiththeoutsideinvestigationfirm,as directedbyoutsidecounsel,GundersonDettmer. 53. OnJuly19,2012,aninvestigatorfromAppliedFactscontactedPlaintiff

WitherspoonbytelephoneandquestionedhimaboutDunphysvisittoColor. WitherspoonrepeatedtothisinvestigatorwhathetoldRalston:theworkenvironmentat ColorhadbecomeextremelyuncomfortableandhostileduetoDefendantNguyens erraticbehavior,explicitthreats,andrumorsaboutNguyenandDunphysrelationship. theotherBoardmemberscomplaisancetowardsDefendantNguyensnumerous instancesoferraticbehaviorandretaliatory,threateningconducttowardColor employees,resigned. 58. OnoraboutOctober10,2012,DefendantNguyensummonedPlaintiff

WitherspoonandJordantoameetingintheColorconferenceroom.Atthismeeting, DefendantNguyenindicatedthatApplewasinterestedonlyinColorsintellectual propertyanditsengineeringteam.NguyendidnotexplainwhyPlaintiffWitherspoon, alsoatechnicalemployee,wasnotpartoftheteamtransitioningtoApple.Nguyenasked howmuchmoneyitwouldtakeforWitherspoonandJordantowalkaway.After WitherspoonandJordanmadeknowntheirrequests,Nguyencounteredwithan arrangementwherebytheywouldcontinueworkingforsixmonthstowinddownColors operations.WitherspoonandJordanrequestedthatthisarrangementbeputinwritingfor theirlegalcounseltoreview.Nguyenaskedthetwotostaywhilehehadthepaperwork 12

$165,000duringaninpersonmeetingwithPlaintiffWitherspoon. 60. OnOctober13,2012,DefendantNguyenstatedthathecouldnotactually

committohispreviousofferofatleast$165,000inwriting,andthatWitherspoonand JordanshouldcontacttheBoardorColorslegalcounsel,GundersonDettmer,toverify thecurrentvalueofthestockthattheywereissuedwhenColorwasfounded. 61. OnOctober15,2012,DefendantsColorandNguyenofferedaseverance

packagetoPlaintiffWitherspoonconsistingofhissalaryforthreemonthsinexchangefor areleaseofallclaimsagainstDefendants. 62. Uponinformationandbelief,otherColoremployeeswithmuchshorter

historieswiththecompanyreceivedconsiderablylargerseverancepackagesthanPlaintiff Witherspoon.Theseemployeeswerenontechnicalemployeesalloftheengineerswere beinghiredbyApple. 63. Shortlyafterwards,PlaintiffWitherspoonlearnedthatDefendantNguyen

specificallyrefrainedfromofferingWitherspoonwithaseverancecomparabletoothersin asimilarposition,becauseofstatementsWitherspoonmadeaboutNguyenduringthe investigationintoNguyenandDunphy.Specifically,onoraboutOctober15,2012, NguyentoldSteffens,inresponsetoherconfrontinghimaboutwhytheWitherspoon severancewasnotbeinghandledmorequickly,thatNguyensreasonwasWitherspoons cooperatingroleintheinvestigationintohismisconduct.Nguyenfurtherinstructed SteffenstotellWitherspoonthisandalludedtothefactthathewasnotbeingmadepart oftheteamjoiningApplebecauseofhisroleintheinvestigation.Steffensfollowed NguyensdirectorderandtoldWitherspoonandJordan,lateronOctober15,that WitherspoonsinvolvementintheinvestigationintoNguyensconductwasaffectingthe termsofhisseverance. 13

WitherspoonintoconsultingDr.RothenbergtotreattheWitherspoonsonsalleged behavioralproblems.Usinghisposition,NguyenwasabletoconvinceDr.Rothenberg andMs.HastingstoreportthesubstanceoftheWitherspoonsonstreatmentto Nguyen.NguyenrepeatedlyboastedtoseveralColoremployeesofhisdistasteforthe Witherspoonson,howNguyenwouldavoidinteractingwithPlaintiffWitherspoon becauseofWitherspoonsson,andhowNguyenwouldtrainNguyenssontobeatthe shitoutofWitherspoonsson. 99. DefendantNguyenfurtherusedhispositionasColorsCEOtopublicly

ostracizeandhumiliatePlaintiffWitherspoonandhisfamily.DefendantNguyen pressuredIndelicatointoretractingherbabyshowerinvitationtotheWitherspoons. DefendantNguyenusedhiscloutatColortodictateandcontrolPlaintiffWitherspoons sociallife. 100. DefendantNguyenhurledexpletivesatColoremployeesasaformof

intimidation,tellinganemployeeinameetingwithothersthatIwillfuckyouintheass, thatsthestupidestfuckingideaIveeverheard;shutthefuckup,youdumbass;and callinganemployeewhosoughttofileaworkerscompensationclaim,apussy. 101. DefendantNguyenalsobraggedthathehadusedDunphytotakecareof

employeesandpersonalacquaintanceswhocrossedNguyeninanefforttointimidate PlaintiffWitherspoonandotheremployees.DefendantNguyenaskedSteffensifshesaw DunphyintheColoroffices,meetingwithNguyen,withDunphysGlockhandgun. WhenSteffensansweredaffirmatively,DefendantNguyenrevealedtoSteffensthat DunphywastheguyImgoingtousetoputAlyssa(Solomon)intofederalprison. TheseboastfulremarksweredesignedtoinstillfearandintimidationinnotonlySteffens, buttoallColoremployeeswhoworkedforNguyen.Thetacticssucceded. 20

Witherspoonforcooperatingintheinvestigation,bydeliberatelyexcludingWitherspoon frommeetingwithApplerepresentatives,byexcludingWitherspoonfromconsideration forapositionatApple,andbyofferingWitherspoonanominalseverancepackage. 105. DespiteknowingthatDefendantNguyenretaliatedagainstPlaintiff

NguyenreceivedandcontinuetoholdillgottengainsbelongingtoPlaintiffWitherspoon, becauseColorandNguyenhaveprofitedinthatamountfromtheirunlawfulpractices. 129. BusinessandProfessionsCodesection17203providesthattheCourtmay
