Greetings to All: Attached is the initial outline for the new “athletic cooperative.” Paul Rainwater has volunteered to serve as the Executive Director. He has made arrangements to host the major championships (football, basketball, volleyball, baseball, softball, track) at LSU and the financial commitments are in place should members determine this is the route they wish to take. Please forward the attached outline to any and all parties that may be interested in a potential move. This new cooperative would require a minimum of 60 members to begin. Any school (public, private, charter, laboratory or other secondary) is welcome to join. The initial membership fee is $15,000.00. Any school that cannot meet this initial financial commitment may apply to have this fee broken into a multi year remittance. It is important to note, there will be no recurring annual fees and no participation fees. This is a one time membership fee. Please direct your feedback and level of interest to me and | will forward to Mr. Rainwater. If feedback is supportive of a move, a meeting of all interested parties will be scheduled to determine the feasibility of this cooperative being in place for the 2016- 2017 school year. Myra McClure Mansur On behalf of Mr. Paul Rainwater Paul W. Rainwater Colonel Paul W. Rainwater most recently held the title as Governor Jindal's Chief of Staff. He resigned in February of 2014 to pursue a career in the private sector. Prior to his latest position, Paul held the title of Commissioner of Administration, serving as the chief financial officer / chief operating officer for the state of Louisiana presiding over a $29 billion dollar budget. Before that, he served as Governor Jindal's Deputy Chief of Staff, where he was responsible for managing policy and the Louisiana Executive over the administration and execution of the BP oil spill clean up. Prior to that, he served as Executive Director of the Louisiana Recovery Authority (LRA). On multiple occasions, Governor Jindal tasked Paul with managing evacuation and clean up of large scale disasters including Hurricanes Gustay, Ike, |saac. Previously, Rainwater served as legislative director and chief of operations for U.S. Sen. Mary Landrieu, From June 2006 to January 2007, he served as director of hazard mitigation and intergovernmental affairs at the LRA, where he managed program policies, served as team leader and coordinated with state and federal agencies to set mitigation priorities. From July 2000 to June 2006, Rainwater served as the Chief Administrative Officer for the city of Lake Charles. In addition to his public service duties, Rainwater also served as a Colonel in the Joint Director of Military Support for Disaster Response Unit. He has served two tours in the Global War on Terrorism , serving in Kuwait , Iraq and Afghanistan , and also previously served as a Lieutenant Colonel in the Congressional Liaison Office of the Louisiana Army National Guard. For his military service, Rainwater has been awarded the Legion of Merit, Bronze Star Medal, the Army Commendation Medal and the Combat Action Badge. Rainwater earned a bachelor's degree in government from McNeese State University in Lake Charles, a master's degree in international relations from Salve Regina University in Rhode Island, and is certified as a local government manager by Louisiana State University. Organization Articles Article I Name ‘The name of the Organization shall be the Louisiana High School Sports Cooperative. The Organization's place of business and principle office shall be located in East Baton Rouge Parish in the State of Louisiana. The Organization shall adopt and observe the rules of the National Federation of State High School Associations in all applicable sports. Additional rules shall be adopted to govern sports not observed by the National Federation of State High School Associations or as designated by the Advisory Oversight Committee. Article Il Purpose ‘The Cooperative is used to promote excellence in sports activities and to provide a service to its Members to ensure sportsmanship and fair play in all athletic contests. To promote, regulate, and direct the interscholastic athletic activities of Members of the Cooperative. To assist, advise and aid schools in organizing and conducting interscholastic sports. To protect members of the Cooperative by preparing and enforcing rules that will stimulate wholesome competition. Article IIL Membership ‘The Membership of the Cooperative shall consist of Schools that annually sign a Membership Renewal Application, agree to conform to the rules and regulation of the Cooperative as adopted by the Membership. Members shall pay a one-time fee as published by the Commissioner to join the organization and there shall be no annual dues and no participation fees. Article IV Structure and Organization Executive Director ywers and Aut! hi ive Di 3 Shall act as the Chief Executive Officer of the Cooperative. Shall appoint the position of Commissioner and two Assistant Commissioners. Shall be responsible for the financial solvency of the Cooperative. The Executive Director shall have final authority on any item to be placed on the agenda for the Advisory Oversight Committee, The Executive Director shall work to build consensus in the Cooperative on all issues for the purpose of building a stronger Cooperative. Commissioner al he Commissioner, Shall act as the Chief Operating Officer of the Cooperative and conduct day-to-day operations, The Commissioner shall conduct meetings of the Membership; provide oversight to the two Assistant Commissioners and the Chief Financial Officer. The Commissioner shall coordinate with the Chairperson of any committee and shall establish an annual meeting and be responsible for coordination of all Cooperative meetings. The Commissioner shall be responsible for annual seminars to be hosted by the Cooperative. The Commissioner shall act as a Member of the Advisory Oversight Committee but shall not serve as Chairperson. Assistant Commissioner Internal Affairs The Assistant Commissioner of Internal Affairs shall be responsible for all internal organizational responsibilities including but not limited to classifications, eligibility, districts, zones and compliance as well as any other responsibilities as determined by the Commissioner. Assistant Commissioner External Affairs ‘The Assistant Commissioner for External Affairs shall be responsible for marketing, facility use for Championships or other Cooperative events, officials, playoff formats and power ratings for playoffs. This position will provide customer service for the Member Schools as well as any other responsibilities as determined by the Commissioner. Chief Financial Officer Shall bea CPA and shall be responsible for reporting financials for the organization. This position may be outsourced or appointed as a full time position at the discretion of the Executive Director. Advisory Oversight (AO) Committee AO Committee is made up of two elected representatives from each of the following school types: Catholic Schools Non-Catholic Private Schools, Private Charter Schools and Lab Schools, Public Schools Public Charter Schools ‘Any agenda item brought to the membership for vote shall require a 3/4 majority AO Committee approval. All items brought to the Membership require a 2/3 majority vote for approval. Each Member school may submit one vote. No less than six (6) elected AO Committee Members are needed to constitute a quorum for the transaction of business. Powers of Advisory Oversight Committee: Members and/or vacancies on the AO Committee shall be filled through a nomination and simple majority vote within each school type. Committee Members must be a Principal or Athletic Director ata Member School. Shall elect a Chairperson by simple majority from Committee Membership. The Commissioner is ineligible to Chair the AO Committee, The Committee Chairperson will Chair the Committee meetings and will only cast a vote in the event of a tie. Shall establish the frequency of which the general Membership will meet and frequency of which the Committee shall meet. Shall establish the agenda for the general membership meetings, Shall hear grievances from the general Membership. Shall serve as the appeal forum of all grievances. Shall form all special committees as needed, Shall direct and receive reports from the Commissioners or Assistant Commissioners as requested. Shall present for vote to the Members: classifications of Member schools, eligibility of Member athletes and rules governing Members of the Association, Article V Finance For benefit of the Cooperative, the Membership shall receive annual financial reporting. ‘The Members may Tequest monthly operational financial reports. Membership fees and gate proceeds shall be deposited into an operational account for sole use of operating the Cooperative. The Executive Director shall have the sole authority to contract an outside entity to develop sponsorship programs and generate revenues for the Cooperative. Revenues for playoff bi-district through semi-final games at Member sites will be split evenly between the participants after payment of travel expenses to the visiting team and payment of officiating expenses to the home team, Revenues for State Championship events in Football, Basketball, Baseball, Softball and Volleyball will be split between the Cooperative and the participants after travel, officiating and venue expenses. Revenue sharing for State Championship gate receipts for Football, Basketball, Baseball, Softball and Volleyball will be pro-rated per schoo] enrollment, after said expenses, as follows: Cooperative: 50% Largest Classification Participants: 14% Second Classification Participants 12% Third Classification Participants 9% Fourth Classification Participants 8% Fifth Classification Participants 7% Ifless than five classifications compete in a State Championship event the remaining revenue percentages will be divided evenly among competing classifications. In remaining State Championship events not listed above, no revenue sharing will be incorporated. All revenues will be directed to the Cooperative, Members will pay all associated travel expenses.
