SWAP MEET VENDOR TERMS OF AGREEMENT AND POLICIES FOR MARICOPA FUN N SWAP Location: Sequoia Pathway Academy

Parking Lot 19265 North Porter Road Maricopa, AZ 85138 This Swap Meet Vendor Agreement (Contract) is entered into, as indicated on the signature lines below, by and between Alanni LLC Venue Services(AVS) a n d ____________________________(Vendor). PARTICIPATION IN THE SWAP MEET IS A PRIVILEGE NOT A RIGHT. AVS reserves the right to revoke this privilege at any time. Permission to participate as a Vendor at the Maricopa Fun N Swap (SwapMeet) does not create a continuing right of use of any space at, or participation in, the Swap Meet. Person signing this contact and reserving the space must be present at all times during the swap meet and must be the one to sign in and provide ID. No property rights are created by the rental of space at the Swap Meet. Violation of any rules and regulations of the Swap Meet, or harassment of the Swap Meet staff or other vendors, will result in the immediate and permanent loss of this privilege. Swap Meet staff reserves the right to relocate Vendor, when deemed necessary. All sales are final and no space changes are permitted. Vendor assumes complete responsibility for all goods, merchandise, and equipment brought onto the premises of the Swap Meet. It is VENDORS RESPONSIBILITY TO LEAVE THEIR SPACE CLEAR OF TRASH AND UNSOLD ITEMS. IF NECESSARY PLEASE BRING TRASH BAGS OR TRASH CANS, AS THERE WILL BE NO DUMPSTERS. BEFORE DEPARTURE YOUR SPACE WILL BE CHECKED AND YOUR TICKET WILL BE SIGNED IF ALL IS CLEAR. AVS reserves the right to terminate this Contract, with or without cause. Terminations for cause will not require notice. Alanni LLC can terminate this Contract without cause.
SET-UP SCHEDULE: The speed limit in the Swap Meet area is 5 miles per hour, or more slowly if pedestrians are present. 9:00 a.m.- The parking lot opens for Vendor to set-up. Vendors must have photo ID and Vendor ticket, person whos name is on the rental agreement and contract must be present at all times. 10:30 a.m.- No show spaces are resold. 11:00 a.m.- Vendor set-up is complete. Swap meet opens to public. No vehicle access is allowed. 5:00 p.m.- Swap Meet closes. Vendor departure begins. This schedule is subject to change, please keep in contact for updates. Vendor Set-up Vendor is solely responsible for set-up of their merchandise and/or equipment. Vendor must provide their own tent, tables, chairs or other decorations. Set-up of Vendor booth may be done only at the time listed above, Vendors may not come and set up any earlier than 9:00am!! A swap meet person will be there to sign in each vendor an give assigned spots, once the swap meet opens Vendors will no longer be able to enter and set up,

NO EXCEPTIONS And NO REFUNDS for late vendors. It is the Vendors responsibility to mark and identify all crates and boxes. Crates and boxes not properly marked and stored outside the assigned Vendor area are the sole responsibility of the Vendor and the Swap Meet will not be held responsible for any lost or stolen items. Small dogs are allowed at prior consent and must be leashed and restrained within your booth if you bring a pet you the vendor are responsible and held liable for that pet and its actions, including harm done to another individual and release AVS and Swap meet of all liability, you are responsible for cleaning up after the pet. Children of Vendor must be supervised at all times under 12 are not allowed to be wandering or playing in the bouncy houses without adult supervision. THERE IS NO OUTSIDE ELECTRICITY Damages & Indemnity Assigned booth space must be left in substantially the same condition as it was when Vendor arrived, including but not limited to being free of all trash and refuse. Vendor will pay for the cost of any repair or replacement due to any damage caused by the Vendor to the property owner. RESTRICTIONS- AVS reserves the right to prohibit the sale or display of any item that is unlawful and is strictly prohibited. Vendor may not bring pets to the Swap Meet without prior approval, no exceptions! Music, radios, stereos, televisions, or other audio devices may be played at the Swap Meet, only with prior approval. IF IN DOUBT ASK! Marketing services- accepting orders for merchandise, are permitted, for example: cellular phones services, satellite service, real estate services, consultants for companies such as Pampered Chef, Scenty etc. Vendor must have appropriate business license for such services and copies must be provided with this application and are subject to the business rental rate for each booth. Desirable Items Handmade crafts or products, toys, jewelry, handbags, antiques, collectibles, machinery related items or parts, machinery models, old literature, cleaning products, fruits, vegetables, or any other items related to agriculture, lumbering, or manufacturing from the distant past. Tools, used household items, appliances and furniture. PROHIBITED ITEMS include, but are not limited to: ingestible medicinal items (aspirin, diet products, etc.), prescription drugs or medicines, toothpaste, pepper spray, firearms (including pellet and BB guns), ammunition, volatile chemicals, illegal knives, weapons, fireworks or any item relating to fireworks (smoke bombs, jumping jacks, sparklers, firecrackers, etc.), x-rated items, large balloons or certain carnival like items, selling of realistic looking toy guns, or weapons of any kind unless prior approval is granted, (certain toy weapons for show or monitored usage such as games or gaming is allowed). No drug-related paraphernalia, paint, animals/livestock, used mattresses, and pornographic items, or any items containing nudity. Food-There will be no grills, (charcoal or gas) allowed and no food preparation allowed unless you are an authorized vendor/caterer. You may sell pre-packaged food or homemade sealed food if you have the required license or the items adhere to state regulations for selling such items. It is your responsibility to know what the state or city regulations are for selling your items. Food or beverage items may not be sold, nor generators used, without Swap Meet approval. COUNTERFEIT MERCHANDISE IS SUBJECT TO SEIZURE BY THE APPROPRIATE AUTHORITIES.

PROHIBITED ACTIVITIES: HAVING, BUYING, OR SELLING ANIMAL OR PETS, SUBLEASING SPACES OWNER MUST BE PRESENT AT ALL TIMES, MAKING LOUD NOISE OR MUSIC RIDING SKATEBOARDS, SKATING, BICYCLES, OR SCOOTERS, SELLING OR CONSUMING ALCOHOL, DISTRIBUTING OF FLYERS OR OTHER PRINTED MATERIALS MARKETING SERVICES OR SOLICITING IN AISLES, COLLECTING SIGNATURES ,SELLING COUNTERFEIT MERCHANDISE, HAVING PROPANE TANKS OR OTHER HAZARDOUS MATERIALS, HAVING INCENDIARY DEVICES SUCH AS, BUT NOT LIMITED, TO FLARES AND CHEMICALS. Booth and Parking INFORMATION: Vendor must have a valid photo I.D. (i.e., a State-issued Drivers License or U.S. passport). Only licensed and insured drivers may drive upon the premises. The largest Spaces are 10 feet wide and 20 feet long; vehicles over 18 feet are not permitted. Vendor and their merchandise must fit within the selling space area. There is a (4)-space limit per Vendor, The speed limit in the Swap Meet area is 5 miles per hour, or more slowly if pedestrians are present. Parking No parking of any kind between the buildings. This is a fire code. Park only in designated parking areas or if using your vehicle in your vendor space you are required to rent a larger space or double space, very large vehicles are prohibited this means any vehicle that cannot fit within the space provided, or any vehicle that takes up more than the allotted space will need to leave and park elsewhere off the property. Any vehicle parked where they should not be will be towed at the owners expense. VIOLATION OF ANY OF THE ABOVE, OR VIOLATION OF THE LAW, BY VENDOR, VENDORS AGENT, OR VENDORS EMPLOYEES, MAY RESULT IN THE VENDOR REVOCATION OF ALL OF VENDORS PRIVILEGES, AT THE SWAP MEET VENDOR CLASSIFICATION and PAYMENT: payment must be received at the time of reservation and application is submitted. Acceptable forms of payment are credit card or money order made out to Alanni LLC, please put Maricopa Fun Swap in the memo line. If you want to pay by cash you must make arrangements to do so and should not and will not be accepted by mail! Reservations/are made on first-come, first-serve basis and/or lottery basis. (Alanni LLC has the discretion to make such determination.) If you are selling or promoting services that are new or intangible you are considered a business and must have proper licensing. (see description of New or items and licensing requirements) Fees for booth spaces for businesses or wholesalers are as follows ($30 for each 10x10) ($40 for each 10x18) max of four spaces permitted. If you are selling household goods that are used, second hand or handmade/homemade then you are considered an individual. No licensing should be required it is your responsibility to know requirements for the state or city for the items you are selling (see explanation) Individual booth spaces are as follows ($15 each 10x10)-($25 for each10x18) max of four spaces permitted.

MERCHANDISE CLASSIFICATION: Vendors of NEW MERCHANDISE or Services with no tangible items must obtain Swap Meet administration approval, prior to the sales of such items. New: Any item that has not been used by the owner. Is in an opened package and never owned by or used by another party. Any items that is irregular, a second, damaged, or repaired as new, is considered a new item Used: Any item or unit that has been previously owned or used by the owner. Handcrafted: Any item that is handmade by the Vendor. SALES TAX- All persons who sell NEW items at the Swap Meet or are considered retail type of business and hold a retail license are required by Arizona State Law to hold a VALID Vendors/peddlers Permit, and to pay the State sales tax on all taxable sales. Vendors of new or inventoried items are required to have this permit, in order to sell. The Vendors Permit must have the Vendors name. LICENSES: Vendors are responsible for obtaining and having all necessary licenses or abiding by city or state regulations for the items they are selling. This pertains to new or homemade, and pre-packaged food items. Failure to comply with the collection of this information will result in the loss of Vendors privileges. CANCELLATION/REFUND/CREDIT: Vendor may not receive a credit, or refund, for any space is not used. If a Vendor elects not to use their space, the fee for that day is forfeited. Space(s) are non-transferable, with the sole exception of space being resold by the Swap Meet/AVS, should a Vendor fail to occupy their space. ALL SALES ARE FINAL. RAIN POLICY: The Swap Meet does not operate, when it rains or in dangerous or very windy, monsoon type conditions. NO REFUNDS WILL BE PROVIDED ON RAINY/bad weather days, however a credit of the amount paid will be applied to the rescheduled date of the SWAP MEET Please refer to above Cancellation/Refund/Credit policy. ADDITIONAL INFORMATION OR ASSISTANCE: Additional information may be obtained by calling Alanni Venue Services at 520-568-8821, or emailing maricopaswap@live.com PROVIDING RECEIPTS: State law requires Vendor selling NEW items or services, upon request, to provide the purchaser with a written receipt, complete with the Vendors name, address, and phone number, for items valued at $15.00 or more. PRIVACY ACT: Vendor acknowledges that any personally identifiable information provided by Vendor,including, but not limited to, name, address, telephone number, and license number, is a matter of public record, and may be released to a member of the public, upon written request under certain circumstances.

RELEASE, WAIVER, AND INDEMNIFICATION CLAUSE: Vendor assumes all responsibility for accidents to Vendor, or others, as a result of participating as a vendor at the Swap Meet. Vendor releases, and shall protect, hold harmless, indemnify, and defend, AVS and Sequoia Pathway Academy, Including both companys trustees, officers, and employees, from any and all liability caused by Vendors negligence or other wrongdoing. For the purposes of this agreement, liability

means any and all claims, demands, losses, causes of action, suits, or judgments, of any and every kind, including reasonable attorneys fees, that any person, including Swap Meet attendees, and other vendors, or such persons heirs, executors, administrators, or assigns, may have against the Swap Meet, AVS, or Sequoia Pathway Academy and that any entity may have against the arising out of, or in connection with, Vendors activities under this agreement, which gives rise to any personal injury, accident, illness, or death, or any loss or damage to property, or any other claim by Swap Meet attendees, or other vendors, that results from any cause other than fraud or willful misconduct of the Swap Meet, or AVS. The Swap Meet space(s) on the reserved side is/are reserved for Vendors exclusive use on the date(s) indicated, only upon the timely receipt of the applicable payment, AND by your signature accepting all of the terms and conditions of Vendor Contract. VENDOR HAS CAREFULLY READ, AND FULLY UNDERSTANDS, THE TERMS AND CONDITIONS OF THIS CONTRACT, AND HERE BY AGREES TO ITS TERMS. By signing and submitting the attached booth rental application you agree and confirm receipt of these terms.

You reservation is not guaranteed until your payment is made or check clears the bank. Spaces are reserved on a first-come, first-served basis. You may pre-pay and submit separate apps for additional months (refer to refund policy if you choose to do so) You will be emailed or contacted once your space reservation and booth is assigned. You will be emailed or mailed a ticket, which you will need to enter the Swap Meet at the Vendor time and entrance, along with photo ID, without this ticket you will not be allowed.
