Prabhat Sharma 1. We refer to the subsequent interview you had with us. We are pleased to appoint you as Admin th incharge for our 18 DBPL Project- Pipeline project with effect from 08 Nov. 2010 on the following terms and conditions.

Your compensation will be Rs. 240000/- P.A. and will be subject to all legal deductions required to be made under different acts as applicable under the Govt. Acts & Rules. You will be posted at the project office in connection with our above project and depending on the exigencies of work and requirement of the project; you may be required to work at other locations on the instructions of your superiors. Your appointment is exclusively for our above mentioned project and the period specified above. It will therefore automatically ceased on the expiry of the said period and /or completion of the Project whichever is earlier unless your appointment is extended for a further period in writing. Your appointment will be terminated when your services are no longer required for the above project or on the completion of the project whichever is earlier. You will devote your whole time to the work of the company and you will not undertake any direct or indirect business or work honorary or remuneration. You will keep us informed, in writing, of any change in your residential address. In case of your failure to do so, all communications intended to be served upon you would be sent to your last given address and this shall be deemed to be sufficient service on you. Any other benefit applicable under statute of the State/Central Government will be extended as per the rules currently in force. In the event the State/Central Government enacting any law conferring the same or similar benefits extended to you under this letter, you will be entiltled to the more beneficial of the two, but not both.

The compensation package offered to you under this appointment will be subject to the Income Tax as applicable under the Income Tax Act & Rules and also other applicable laws, if any, currently in force or enacted from time to time. 10. During the period of your appointment with us, you will required to maintain strict discipline at your place of work, a high order of secrecy as regards the work of the company and not indulge in any activities detrimental to the interest of the company. You are liable to be dismissed without any compensation if you are found guilty of misconduct or indiscipline. 9. 11. During the period of your appointment with us, either party may terminate this arrangement by giving 7 days notice or pay in lieu thereof.

However this arrangement is subject to immediate termination in case of your being: a. b. c. d. Reporting to work under the influence of alcohol or drugs: or Involved in an act of theft or discrimination, assault or gross insubordination Involved in an indecent act with a colleague of opposite sex; Disclosing any confidential information concerning the client or the project except as required to be disclosed by the law, governmental regulation or court order

Your absence from duty at any time for a period of seven days or more without the prior sanction of your superior will be deemed, as a termination of employment by you and you will have no claim thereafter for continuing in service. 13. In the event of fire, Act of God, Catastrophe, epidemic, riot, shortage of fuel, power or break down of machine or machines, non-availability of work or any other difficulty, the company may stop or close any work or partially lay off work force and in that event you will abide by the directions of the Management. 14. You confirm that you have well understood the terms of this contractual appointment and that you will not claim for permanent job after, completion of the project or upon termination. 15. Your appointment is based on the information furnished in your application. If at any time during the period of your appointment, it comes to light that any information is incorrect or any relevant information has been withheld, then your appointment is liable to be terminated forthwith, without any compensation. 16. Kindly sign the duplicate of this letter of appointment in token of your acceptance of the terms and conditions stated therein. 17.
