HISTORY
SIYARAM SILK MILLS LIMITED promoted by SIYARAM PODDAR GROUP was incorporated on 29th June 1978. Initially, company was engaged in trading activity of suiting and shirting. Over the period of time, the company has expanded, diversified and integrated its facilities substantially and presently has facilities for manufacturing and marketing of suiting, shirting, texturising, dyeing yarn and ready-made garments. The company was incorporated as a Private Limited Company and in 1980 it was converted into a Public Limited company through a Public issue of Rs. 50 Lacs which was oversubscribed. The proceeds of the issue were utilized for setting up of a weaving Plant in Tarapur, Maharashtra. The said unit was further expanded in1984. In1985, a texturising/dyeing/weaving unit was set up at Patalganga in the State of Maharashtra. The Project was financed by a mixture of foreign currency loan and issue of

Right Equity Shares and Non-Convertible Debentures. The Plant was equipped with modern twisting and texturising machineries, including yarn dyeing facilities. In 1986, the weaving capacity was further expanded by inducting imported Sulzer Projectile Shuttless Looms at Murbad in Maharashtra. In addition to Sulzer Looms, Water Jet Looms imported from Japan were also installed there. In 1989, encouraged by demand of texturised yarn, additional manufacturing facilities for texturising/twisting was setup at Silvassa. With a change in the trend in fashion market readymade garments have become very famous. To cater quality products to this growing segment, Siyaram forayed into the Ready-made Garment Market with brand name of OXEMBERG, a brand that has been extremely well received in the market. Along with firmly establishing its brand image, a major expansion-cum-modernization prgoramme was undertaken
5

at the Tarapur weaving Plant during the year 1992-93. Under this programme, old generation looms were replaced with new Dornier looms of latest technology. The said expansion cum modernization programme increased the production capacity by a substantial margin. In the year 1995, Siyaram's entered into a tie-up with J.Hampstead, a well reputed and 125 years old company of England to supply most sophisticated high premium fabrics of Marino wool. This put Siyaram's offerings on par with the leading high premium brands in the country. The company has shown uninterrupted growth in sales as well as in profitability. The company enjoys excellent reputation in the fiercely competitive textile market and it has a proven track record of continuous growth, so far untouched by recession and intense competition.

Market
The growth of the Indian textile industry right from the
11

1970s has been adversely affected by the quota regime, lack of industry-friendly government policies and technological obsolescence. Yet, the industry thrived because of the assured business under the quota system.

The Multi Fibre Arrangement (MFA) that came to an end on January 1, 2005 has opened up a plethora of opportunities for the Indian textile industry.

To meet the challenges of the post-MFA setup, the Government of India (GoI) established an industry reforms process, which aimed to remove the handicaps arising from small-scale reservation and cumbersome procedures associated with the tax regime in India.

Vision 2010, a plan which was the result of interaction between the government and the industry, has envisaged growth in the textile industry from US$ 36 billion (Rs 1609 billion) in 2003-04 to US$ 85 billion (Rs 3697 billion) by

12

2010, giving an annual growth target of 11-12 percent. Vision 2010 also proposes the creation of an additional 12 million jobs.

The Indian textile industry has the advantages of high operational efficiencies in spinning and weaving, low-cost skilled labour, availability of raw materials and design capabilities.

Siyaram's Share
The Net Turnover and Other Income of Siyaram Silk Mills Ltd. (SSML) for the year ended 31st March, 2005 is at Rs.306.81 Cr as compared to Rs. 287.63 Cr last year. Correspondingly, the Gross Profit is Rs. 22.79 Cr as compared to Rs. 21.12 Cr in the previous year and the Profit

13

after depreciation, current and deferred tax is placed at Rs. 8.44 Cr as against Rs. 7.72 Cr in the previous year. We have been able to marginally improve the operations and maintain the profitability. The Company's operations at Murbad and Masat continue to remain suspended. The consistent growth in the Indian economy on all fronts has resulted into an increasing segment of demanding & choosy buyers with an appetite for quality products at the right value. During the year, we have introduced various new products with good feel and comfort, as well as newer finishes, which have been well appreciated well by the retail purchasers.

Future Expansion
During the year 04-05, we have installed 20 Dornier Rapier Looms at its Tarapur weaving plant and 8 Picanol Rapier Looms at the Silvassa weaving plant.

We have also commissioned a new yam dyeing unit at Tarapur having a dyeing capacity of 2700 tons per annum

14

along with twisting and doubling facility, with state of the art machines. The unit has commenced production activities on 7th September, 2004.

SSML has also expanded its garment stitching capacity at Daman to 12 lacs pieces per annum. All the machines are of latest technology to manufacture quality ready-made garments of latest fashion to meet the global requirements.

The total cost of all the above expansion projects were Rs. 24 Cr, which has been financed byway of term loans from Banks and internal accruals of the Company.

SSML is gearing up to tap the full potential arising from abolition of import quotas in the Western World, which would result into the Indian exports increasing substantially.

We are also expanding our R & D Centre, to enable it to develop new Designs & Products on a massive scale along

15

with having taken steps to set up a modern weaving plant at Tarapur exclusively for 'Home Furnishings' i.e., Upholstery, Curtains, Bed Sheets and Top of the Bed Products.
