INTERNATIONAL MARKETING AGREEMENT


between the

International Business College at China Agricultural University


and

Study Experience SARL


This Agreement to furnish services is by and between the International Business College at China Agricultural University (hereinafter the COLLEGE) located at Qinghua Donglu,17, 100083 Beijing, China, and Study Experience SARL (hereinafter "the Representative") located at 20 rue Jean-Baptiste Pigalle,75009 Paris
France.

SCOPE OF WORK
The terms of this Agreement shall apply to the following programs offered at the COLLEGE, such as a visiting semester program for international students, Bachelor programs and Summer Sessions (all courses taught on-campus in Beijing). It is agreed that REPRESENTATIVE will recruit foreign students for programs offered by the COLLEGE in accordance with the following guidelines: REPRESENTATIVE shall contact students, university counselors, student agencies, businesses, and other organizations for the purpose of providing accurate information about the COLLEGE and its programs and for recruitment of students into such programs. REPRESENTATIVE shall provide students with the COLLEGE application forms and fee schedules. The fee for all international students is the same and will be published on COLLEGEs application form. The university should never charge any students from Germany less than the standard fee per

semester. (This applies also to applicants that apply directly to the COLLEGE and do not come through the REPRESENTATIVE.). REPRESENTATIVE agrees not to charge students any additional fees. REPRESENTATIVE agrees that this is not an exclusive Agreement and that, in accordance with its policies, the COLLEGE may enter into same or similar Agreements with other representatives and their associates. The COLLEGE needs to notice the REPRESENTATIVE minimum 10 days before any other Agreement with recruitment purposes becomes active. It is agreed the COLLEGE will be responsible for and provide the following: The COLLEGE shall provide services as described in the program catalog, brochure, website and /or proposal. The COLLEGE shall provide brochures, application forms, and other promotional materials for the use by REPRESENTATIVE in English and/or

French at the COLLEGEs sole discretion. The COLLEGE may provide training and orientation to REPRESENTATIVE at the COLLEGEs sole discretion. The COLLEGE shall provide REPRESENTATIVE reasonable notice of any and all fee adjustments and changes in programs, and encourages REPRESENTATIVE to access updated program dates and fee information at http://icbe.cau.edu.cn/... or in specific proposals submitted to REPRESENTATIVE. The COLLEGE is encouraged to visit the REPRESENTATIVES office in France for staff training and meetings with students. Application and Fee Payment Process Student enrollments are facilitated by REPRESENTATIVE before the student has entered PR China to begin a COLLEGE program: For all applicable programs, the REPRESENTATIVE shall ensure that Educational Agency information is provided as requested in the student application and to the COLLEGEs International Enrollment Management team as requested. For students, there is the following level of English proficiency required: TOEFL: 71 or equivalent level credited by the home university IELTS: 5.5 or equivalent level credited by the home university REPRESENTATIVE shall remit payment in Euro with a bank wire transfer one month before the program start date. For bank wire transfer payments, REPRESENTATIVE agrees to follow University bank wire instructions. Please be advised that bank wire transfers may take several weeks to confirm, and receipts confirming payment cannot

be sent until the bank wire has been accepted by the COLLEGE and allocated to each students account. The COLLEGE shall issue appropriate documents, in accordance with the regulations of the COLLEGE, only upon receipt of a written application form signed by the student him/herself and verification of financial resources for the duration of the course of study. The COLLEGE shall retain all rights relating to the admission or nonadmission of an applicant. Please see the COLLEGEs website for the most up-to-date admissions requirements for all programs. REPRESENTATIVE shall send the COLLEGE a list of names of students each term who are represented by REPRESENTATIVE and who are enrolling in the COLLEGE programs. Cancellation of Program by Student If, for any reason, a student needs to cancel their program, REPRESENTATIVE is advised of the following: To obtain any refund of tuition and refundable fees remitted in advance, REPRESENTATIVE is required to submit to the COLLEGE a written request to cancel the program at least one month prior to the program start date. The COLLEGE will issue written confirmation of the cancellation. The clearly defined policies for these programs are that the COLLEGE will not do any refund that has not been submitted at least one month in advance to the program start date.

TERM OF AGREEMENT
The period of performance for this Agreement shall be three (3) years from the date this Agreement is executed.

After this period, either the COLLEGE or the REPRESENTATIVE may terminate this Agreement with an effective date on December 31st of any year by giving the other ninety (90) calendar days' written notice of such action. If one party gives thirty (30) days' notice to the other of a breach of this Agreement and the breaching party fails to cure said breach within said thirty (30) day period, this Agreement may be terminated immediately by the non-breaching party.

COMPENSATION AND REIMBURSEMENT OF EXPENSES


The COLLEGE shall pay REPRESENTATIVE: 50% of each student's paid program tuition for the Program that the student attends. The REPRESENTATIVE will send any student, who got accepted by the COLLEGE, an invoice for payment of the tuition fees. The invoice must be on the COLLEGEs company letterhead with the bank details of the REPRESENTATIVE. For every student, who has accepted the offer and transferred the tuition fees, the REPRESENTATIVE will pay 50% of the official ICB tuition fee to the COLLEGE (for 2012: 22,500 RMB). An invoice listing the students details (full name, program, year/term) from REPRESENTATIVE is required in conjunction with this transfer to the COLLEGE one month before the program start date.

TAXES
The compensation stated in Article III of this Agreement includes all applicable taxes and will not be changed hereafter as the result of REPRESENTATIVE's failure to include any applicable tax, or as the result of any changes in the REPRESENTATIVE's tax liabilities.

COPYRIGHT AND USE OF NAME


The COLLEGE shall own, solely and exclusively, the copyright and all copyright rights to any written or otherwise copyrightable material delivered under this Agreement. The REPRESENTATIVE warrants that all creators of copyrightable material delivered under this Agreement to the COLLEGE are, at the time of the material's creation, bona fide employees or subcontractors of the REPRESENTATIVE, and that such creation is within the course and scope of the creator's employment. REPRESENTATIVE will not use the name, insignia, or symbols of the COLLEGE, its faculties or departments, or any variations or combination thereof, or the name of any trustee, faculty member, other employee, or student of the COLLEGE for any purpose whatsoever without the COLLEGEs prior written consent. The COLLEGE by signing the IEC Partner Package agrees to the use of logo, name and photos of the COLLEGE; no individual confirmation will be needed in conjunction with the described activities.

INDEPENDENT CONTRACTOR
REPRESENTATIVE in the performance of this Agreement shall be and act as an independent contractor. REPRESENTATIVE understands and agrees that its employees, contractors, subcontractors, and agents shall not be considered officers, employees, or agents of the COLLEGE, and are not entitled to benefits of any kind or nature normally provided to employees. REPRESENTATIVE assumes the full responsibility for the acts and/or omissions of its employees or agents as they relate to the services to be provided under this Agreement. REPRESENTATIVE shall assume full responsibility for payment of all state, and local taxes or contributions, including unemployment insurance (as applicable), social security, and income tax withholding with respect to REPRESENTATIVE employees.

AMENDMENTS
Any amendments to this Agreement must be made, in writing, and approved by the authorized representatives of the REPRESENTATIVE and the COLLEGE.

ENTIRE AGREEMENT
This Agreement contains the entire Agreement between the parties and supersedes all prior written or oral agreements with respect to the subject matter herein.

APPLICABLE LAW
This Agreement shall be construed in accordance with the laws of the REPRESENTATIVEs or the UNIVERSITYs country, depending on the conflict origin location, without regard to its conflicts of laws rules.
