Plaintiff/Counterdefendant XCENTRIC VENTURES, LLC (Plaintiff or Xcentric) respectfully submits the following response to Defendant LISA BORODKINs (Ms. Borodkin) Request for Judicial Notice (Doc. #1341).

Ms. Borodkin asks the Court to take judicial notice of the following five things: 1.) 2.) 3.) 4.) 5.) A 1983 ethics opinion from the State Bar of California; Some pages from the Declaration of Edward Magedson filed in the prior California proceeding; Some pages from the July 19, 2010 Order granting partial summary judgment in favor of Xcentric in the prior California action; A declaration from undersigned counsel dated June 24, 2010 filed in the prior California action; and Some pages from the May 4, 2011 Order granting final summary judgment in favor of Xcentric in the prior California action. For the Courts information, without conceding the relevance of any such material, Xcentric does not object to Ms. Borodkins request as it relates to Item Nos. 1, 3 and 5. However, Ms. Borodkins request for judicial notice of Item Nos. 2 and 4 is improper because she is not asking the Court to take notice of the existence of these pleadings; she is asking the Court to take notice of their factual content. Such a request is improper under Fed. R. Evid. 201(b). See Xcentric Ventures, LLC v. Mediolex, Ltd., No. 12-CV-130-GMS (D.Ariz. Oct. 24, 2012) at 2 n.1 (explaining, While matters of public record, such as prior court proceedings, are proper subjects of judicial notice, the court may take notice only of the authenticity and existence of a particular order or pleading, not the veracity or validity of its contents.) (emphasis added) (citing Lee v. City of Los Angeles, 250 F.3d 668, 690 (9th Cir. 2001); Walker v. Woodford, 454 F. Supp. 2d 1007, 1022 (S.D. Cal. 2006) aff'd in part, 393 F. App'x 513 (9th Cir. 2010)); see also Charles Alan Wright & Arthur R. Miller, Federal Practice & Procedure 5106.4 (2d ed.) (noting, It seems clear that a court cannot notice pleadings or testimony as true simply because these statements are filed with the court.) (citing 1 Udall, Livermore, Escher & McIlvain, Arizona Practice: Law of Evidence, 3d ed.1991, p. 331); see also In re Oracle Corp. Securities Litigation, 627 F.3d 376, 386 n.1 (9th Cir. 2010) (court cannot take judicial notice of contents of a deposition as fact); Bennett v. Regents of U.C., 34 2

Cal.Rptr.3d 579, 586 n. 7, 133 Cal.App.4th 347 (Cal.App.2nd Dist. 2005) (court cannot take judicial notice of the truth of matters stated in pleadings or affidavits in court, only that the documents exist). Fed. R. Evid. 201(b) does not permit Ms. Borodkin to import incomplete and outof-context statements and then use them to prove her own unilateral interpretation of the factual matters contained therein.
