The purpose of this document is to provide the Buyer with an overview of support services included in the in-scope businesses. The approach we have taken is to identify all operational processes and technology applications which currently support the in-scope businesses. We have also identified which of these are envisaged to move to the Buyer. The resulting analysis provides the Buyer a view of potential support gaps. These gaps represent areas where the Buyer potentially needs to look for alternative solutions in order to ensure continued service post-acquisition. RBS will work closely with the Buyer in identifying appropriate solutions.

Executive Summary
Retail & Commercial support
All in-country support functions related to R&C are in scope for the transaction. It should therefore be possible to make all services available to the Buyer, however specific plans / activities will be required where Regional Applications (and associated Infrastructure) are servicing multiple countries. Applications and Infrastructure needed for RBS to continue as a Wholesale bank are not available for transfer to the Buyer. RBS, however, may be able to provide these services to the Buyer in the short-term and help the Buyer establish their own capability for the longer-term. Where the full premises are available to the Buyer the hardware can be assumed to be available too. In the shared locations, the Hardware used exclusively for the R&C business is available to the Buyer. Assets required by RBS to continue its retained business are not available. The Buyer will need to consider a number of material vendor contacts for technology services that will be impacted by the separation of assets between RBS and the Buyer. These are specifically covered in the content of this paper.
GTS support
Our GTS business in Indonesia is not in scope for the Spaghetti transaction, but a substantial part of this business is generated by the R&C clients moving to the Buyer. It is therefore envisaged that a cross section of in-country GTS Operations staff would move to the Buyer. The majority of GTS related applications will retained by RBS. Part of the GTS operations process is performed by ACES which is not in scope for the transition, but its services could be provide to the Buyer on a commercial basis.

A distinction can be made between five major product groups: Credit cards, Assets (personal loans), Liabilities (deposits), Wealth Management, and Delivery channels each with their own operational and technology support requirements. All five product groups are supported by in-country Retail Operations teams, as well as dedicated Contact Centers, Telemarketing and Collections and Recoveries teams.

We have established the amount of work related to the Retail and Commercial client segment and matched this to in country effort. Based upon this analysis we have established that a number of GTS Operations staff would move to the Buyer as part of the deal. Operations Control is also performed in-country, and the associated in-country head count would also transfer. ACES is not in scope for the transaction, but RBS would be wiling to consider ongoing support to the Buyer on the basis of a TSA or longer term commercial agreement.

RDDM is the client acceptance process that is regionally hubbed in Singapore and Hong Kong. Credit Admin undertake the support of facility administration and loan processing. In Jakarta the most likely scenario would be for RBS to retain space on the 10/11 floors of JSX and the remainder to be separated legally and physically to the Buyer. In Medan and Surabaya R&C are the majority occupier and the intention as per Exhibits in SPA is for the premises to be transferred to the Buyer with the possibility of RBS leasing space back being considered dependant on retained RBS business needs. Some locations, such as the Juanda premises in Jakarta, contain a number of shared servers and infrastructure equipments. RBS and the Buyer will have to come to an agreement on the how best to deal with such issues.

The transition would likely to be over a period of time as different systems will have different roll out timeframes. Some of these GTS applications are used across multiple business units. These applications are not considered a part of the sale process, and only a few have the potential to be cloned for the Buyer, if required Regional or global GTS systems support multiple countries and are hosted outside of country and therefore work will be required to transfer relevant data to the Buyers systems where required.

Description
The broad principles followed to determine what can be offered versus what should be retained are: Infrastructure exclusively used by R&C can be offered to the Buyer (e.g. Contact Center IVR, Branch set-up, ATM) Infrastructure shared by GTS, GBM and the businesses being sold will remain with RBS (e.g. directories, e-Mail, storage, file servers, PBX, Network routers / switches, firewall, voice-recorders, audio conference bridge)
Retail Branch: The infrastructure in the branches that provides services to the customers is available to the Buyer. It is comprised of Desktops, Laptops, Printers, local File / Print Servers, Domain Controllers, Network Switches, Network Routers, Network Links to head office in Jakarta, PBX Voice system. Comms Room or Server Room housing Servers and Network Patch Panels.

Shared infrastructure: Shared Technology infrastructure will stay with RBS to supports its retained businesses. This includes (Juanda and JSX): e-Mail, Directories, File and print Server, Network links between Juanda and JSX office, connection to global network, Switches, Routers, Firewalls, Servers and Comms Room will remain with RBS. The applications developed by local vendors or in-house can be duplicated and we can support the Buyer to achieve this (assuming the Buyer funds this activity). Such applications include: SVS, Blacklist, SKN, RTGS and Central Bank Reporting (SID, LHBU, LLD, etc) Network and voice devices for branch locations are available to Buyer. Network links from branch locations to Juanda and JSX are available for Buyer to divert to their in country head office. Network and voice devices in retained offices in Indonesia are not available to Buyer. The links to Singapore and Hong Kong are not available to Buyer

The EDS Credit Cards Contract Scope Of Services #1 (SOS#1) was signed with reference to the Master Service Agreement for the duration 7th Sept 2004 to 31st Aug 2011. SOS#1 has 3 major components; (A) Provision of Applications and Hosting Services, (B) Application Enhancements and Consultancy and (C) Implementation services. Provision of Applications and Hosting Services The applications are hosted with EDS on mainframe and mid-ranges systems. EDS provides the necessary hosting and operational services including daily data backup and Visionplus remote Disaster recovery site. EDS has 24x7 system monitoring and maintains a production support network with bank support teams. EDS production performance is tracked by Service Level Agreement (SLA) on a monthly basis. VisionPlus Application: The Credit Card Core Processing system is the VisionPlus application running on a single code base with different data sets by countries. Falcon Application: The fraud detection system, Falcon, is co-hosted with the Core processing system (i.e. Visionplus) Each countrys fraud detection system is separate and distinct. Falcon supports fraud detection on processed authorization requests and a unique neural net expert system supplemented by user definable rules. e-Solutions Application: Web Application Services, e-Solutions, is available for credit card customers to view online statements, redeem bonus reward points and other services. Maintenance services provided include: Updates - include all updates, revisions, corrections, release, version and any other enhancements made to the software system updates. HelpDesk Services include Help Desk, Support and Corrective maintenance, which include a variety of services regarding the operations of the system, such as advise on business and technical features of the software system, information on related events such as meetings, and periodic newsletters. Maintenance services are to be provided per the Service Level agreement defined with a pre-agreed Maintenance Fees agreed or to be agreed (for 4th years and beyond). A Problem Rectification Fees with a predefined minimum hours charged will be imposed should the support staff is required to provide Help Desk Support, attend the Authorized Site or to log on to the CLIENTS software system to rectify a problem outside the predefined operating hours.
Expenses
Reasonable out-of pocket expenses associated with any services provided will be charged. Airfares, living allowances and accommodation will be provided as needed. A daily per diem amount per contract will be provided as part of the living allowance.
