Appendix: Conditions for Allotment agreement ("Agreement")

1. Conditions for capacity access


1.1 Booking Provided that the Customer has made the booking for the allotment 24 hrs before departure of the truck or flight from origin station and has fulfilled all other requirements as mentioned herein, AF Cargo and/or KLM Cargo offers guaranteed capacity for the mentioned amount on the mentioned flight numbers or destinations. In case the booking is not made at least 24 hours before departure of the truck or flight from origin station, AF Cargo and/or KLM Cargo has the right to release the allotment. 1.2 Allotment Agreement performance: In case the Customer does not use the allotment or underperforms with regard to his obligations as mentioned under the specifications as stated in the Agreement, AF Cargo and/or KLM Cargo may, at its own discretion adjust and/or cancel the Agreement with immediate effect according to the rules mentioned below. The performance will be measured by AF Cargo and/or KLM Cargo on a regular base. Performance = Actual weight/volume divided by allotment weight/volume (in %). - Evaluation and cancellation of new Agreement after 2 weeks: * If the performance is 0% the allotment(s) will be cancelled for the specific days/flights. - Evaluation and adjustment or cancellation of the Agreement (> 4 weeks): * If the performance is between 0-50%, the allotment(s) may be cancelled for the specific flights/days. * If the performance is between 50-85%, the allotment(s) may be adjusted downwards for the specific flights/days, and will be subject to new rate negotiations. * If the performance is between 50-85%, for more than 3 months the allotment(s) may be cancelled for the specific flights/days . * If the performance is above 85%, no adjustments unless required by the Customer or by AF Cargo and/or KLM Cargo.

2. Conditions for Contract rates (= agreed rates as specified in the Agreement)


- All Contract rates do not include (possible) surcharges and taxes. AF Cargo and/or KLM Cargo reserves the right to implement/change surcharges and taxes at any time. - All Contract rates are net/net rates in currency as mentioned in the Agreement and based on chargeable weight - All Contract rates are based on volume ration 1:6, unless explicitly mentioned differently - All Contract rates are valid ex origins as mentioned in the Agreement depending on the available product - All Contract rates are not valid for oversized cargo - AF Cargo and/or KLM Cargo reserves the right to adapt the Contract rates on a monthly basis. AF Cargo and/or KLM Cargo shall endeavour to reach mutual agreement with the parties concerned. Notwithstanding the above, if no mutual agreement can be reached, AF Cargo and/or KLM Cargo reserves the right to unilaterally cancel (parts of) the Agreement.

3. Additional capacity requests


Requests for any additional capacity in addition to the agreed allotment can be directed to the AF Cargo and/or KLM Cargo Customer Service Unit at the station of origin. Additional weight, with a maximum of +15%, will be accepted against Contract rate (subject to payload restrictions of the flight). Additional volume will be on request/reply basis and subject to the situation of the flight.

4. Cancellations and booking discrepancies


4.1 Cancellations: Cancellations shall be made with the AF Cargo and/or KLM Cargo Customer Service Unit at the station of origin at least 24 hours before departure time of the truck or flight from origin station. A cancellation fee (based on incurred cost) may be applied if a cancellation is made less than 24 hours before departure time of the truck or flight from origin station. 4.2 Booking discrepancies In case of a significant deviation between booking and the actual dimensions and weight at delivery of the shipment, changes to Contract rate and /or a penalty fee (based on incurred cost) may be applied. In case of a significant deviation between booking and the allotment AF Cargo and/or KLM Cargo may refuse the booking.

5. Delays, network changes or force majeure


Times shown in timetables or elsewhere are approximate and not guaranteed and form no part of this Agreement. AF Cargo and/or KLM Cargo reserves the right to delay, cancel, divert and/or postpone any flight and has the right to alternate carriers or aircraft without notice. In case of unforeseen events such as a strike, force of nature and/or network changes the allotment or Agreement may be suspended or cancelled.

6. Dispute resolution
In any dispute arising between AF Cargo and/or KLM Cargo on the one hand and the Customer on the other hand, the parties shall first use all reasonable endeavors to amicably resolve the matter. Failing such resolution, the dispute shall be referred according to the General Conditions of Air France Cargo or the General Conditions of KLM Cargo, whichever is applicable.

Appendix: Conditions for Price agreement ("Agreement")


1. Conditions for Capacity Access
Access to capacity for rates mentioned in this Agreement is subject to available capacity and minimum rate settings on the AF Cargo and/or KLM Cargo flight.

2. Conditions for Contract rates (= agreed rates as specified in the Agreement)


- All Contract rates do not include (possible) surcharges and taxes. AF Cargo and/or KLM Cargo reserves the right to implement/change surcharges and taxes at any time. - All Contract rates are net/net rates in currency as mentioned in the Agreement and based on chargeable weight - All Contract rates are based on volume ration 1:6, unless explicitly mentioned differently - All Contract rates are valid ex origins as mentioned in the Agreement depending on the available product - All Contract rates are not valid for oversized cargo - AF Cargo and/or KLM Cargo reserves the right to adapt the Contract rates on a monthly basis. Notwithstanding the above, if no mutual agreement can be reached, AF Cargo and/or KLM Cargo reserves the right to unilaterally cancel (parts of) this Agreement.

3. Agreement Commitment and Evaluation


The Contract rates mentioned in the Agreement are based on mutually agreed commitments as specified in the Agreement. In case the Customer underperforms with regard to his obligations as mentioned under the specificied commitment, AF Cargo and/or KLM Cargo may, at its own discretion adjust and/or cancel the Agreement with immediate effect according to the rules mentioned below. The performance is defined as: actual performance vs. specified commitment. The performance will be measured by AF Cargo and/or KLM Cargo on a regular base. - Evaluation and adjustment or cancellation of the Agreement: * If the performance is between 0-50% for more than 2 months AF Cargo and/or KLM Cargo may cancel the Agreement on the specific lane(s) per immediate effect. * If the performance is between 50-70% for more than 2 months AF Cargo and/or KLM Cargo may adjust the Agreement on the specific lane(s) per immediate effect. * If the specified mutually agreed commitment is not met, AF Cargo and/or KLM Cargo may adjust or cancel the Agreement.
