In May 2013, the Asian Development Bank (ADB) and the Agence Franaise
de Dveloppement (AFD) signed an amended Framework Cofnancing
Agreement for 20132016 with the aim of reaching $1.3billion cofnancing from
each over 3years.
With a growing fnancing partnership, each partner needs to understand and
better align their respective processing and implementation procedures and
requirements to achieve the joint target more efciently. this brochure is a
living document and outlines each partners internal arrangement to guide
staf on cofnancing, and to harmonize their work accordingly.

AFD is a public development fnance institution that has for over 70years been
working to fght poverty and foster economic growth in developing countries and the
French overseas Communities.
AFD executes policies defned by the Government of France.
AFD is present in four continents where it has an international network of 70 agencies
and representation of ces, including nine in the French overseas Communities and
one in Brussels.
AFD fnances and supports projects that improve peoples living conditions,
promote economic growth, and protect the planetsuch as schools for children,
maternal health, support for farmers and small businesses, water supply, sustainable
urbanization, tropical forest and biodiversity preservation, and the fght against
climate change.
open, clear, and regular communication from the early stages of project
preparation is the key to successful partnerships. Mutual understanding of the
partners internal processes is essential. Without it, cofnancing becomes less
predictable, costly, and time-consuming. Further, partners must continue to
harmonize and synchronize operational activities corresponding to the 2005Paris
Declaration on Aid Efectiveness and the 2008 Accra Agenda for Action.
AFD provides untied

cofnancing in the form of loans through the Framework
Cofnancing Agreement, technical assistance grant associated with loans,
and grant through a trust fund for Project Preparatory Technical Assistance in
the Greater Mekong Subregion and other specic Asian Countries to cofnance
feasibility studies.

for 20132016.

Priorities for ADB and AFD Cofnancing, 20132016
Guided by the Partnership Framework Agreement 20132016, ADB and AFD
hold a high-level consultation annually. this consultation provides a platform
and an opportunity to jointly review the scope of the partnership in light of
the changing development landscape, verify common interests and shared
concerns, and agree on future joint activities.
During the consultation, the two institutions develop a joint ADBAFD work
plan with a pipeline of cofnancing projects over 23 years (joint pipeline).
ADBs ofce of Cofnancing operations (oCo) is the custodian of this work
plan and regularly updates and disseminates this document.

ADBs regional departments, mostly through its resident missions, lead
Country Partnership Strategies (CPSs) and Country operations Business Plan
(CoBP),

agenda and priorities specifc to that country, as well as contacts in the
partners feld ofces. this enables resident missions to pre-identify partners
with cofnancing potential and advise project ofcers with cofnancing needs.

Communication
During the annual consultation, the partners formulate and refne the
joint pipeline for the coming years (see Institutional Coordination). once
a project is listed in the joint pipeline,

each project team communicates
regularly through periodic follow upincluding face-to-face meetings,
teleconferencing, and videoconferencingand conducts joint missions.
Mission leaders from each partner (whose contact details are in the joint
pipeline) are responsible for coordinating and communicating with their own
respective headquarters and feld ofces.
Missions
Ideally, the partners synchronize the timing of missions, facilitating one-on-one
consultation on
project design, procurement, disbursement, safeguards,
and cofnancing arrangements;
potential issues and other requirements; and
negotiation with the borrower.
Safeguards
Partner participation is highly recommended during project due diligence. this
is especially critical for safeguards. ADB, AFD, and the borrower collaborate to
adopt a single social and environmental assessment and planning process and
unifed safeguard documentation, consultation, and disclosure requirements to
satisfy the safeguard principles and requirements of ADB and AFD. this can be
achieved through early consultation on terms of reference on safeguards.
the partners, in consultation with the borrower, should also agree on a
common approach to address environmental and social risks. If this is not
possible, ADB prepares its safeguard documents and AFD prepares any
additional requirements to meet its own safeguards policy. Each partner
applies their respective policies on accountability mechanism.
Cofnancing Project Structuring
the timing of the mission may be synchronized so that the cofnancing amount
and its arrangement with the partnersi.e., procurement, disbursement,
safeguards, and extent of ADB administrationare agreed upon during
the mission. At the early project processing stage, the type of cofnancing
arrangement must be discussed.

From 18 March 2013, universal procurement will apply to operations fnanced
by the Asian Development Fund (ADF) and from ADB-administered
cofnancing resources in all cases where
ADB administers cofnancing resources for ADF-fnanced
operations, or
ADF resources and a partners resources are used to jointly
fnance individual procurement packages.
BLANKET WAIVER OF ADB MEMBER COUNTRY
PROCUREMENT ELIGIBILITY RESTRICTIONS
Disbursement
AFD may impose certain disbursement restrictions afecting the extent of
ADBs partial administration services. If the AFD loan is denominated in
uSdollar ($), a minimum disbursement amount of $5million is required for
AFDs currency swap arrangement. In this case, ADBs administration may
be restricted to procurement supervision because this requirement does not
comply with ADBs standard disbursement procedures.
In addition, when ADB provides disbursement supervision services to AFD,
the commitment procedure, typically used for importing large equipment with
a letter of credit, cannot be used because AFDs disbursement procedures
are limited to direct payment, reimbursement, and imprest fund procedures
and do not permit commitment procedures. these limitations need to be
thoroughly discussed during project preparation.
Cofnancing Document Preparation
upon confrmation of cofnancing, the partners formalize the cofnancing
arrangement by using the templates attached to the 20132016 Framework
Cofnancing Agreement. this process may start as early as the projects
inclusion in the joint pipeline.
ADBs oCo, in consultation with the regional department(s), leads the
process under contractual cofnancing with ADBs partial administration.
If cofnancing arrangement entails signifcant deviation from the templates,
ADB, through oCo, seeks interdepartmental comments and renegotiates
with the partner. oCo should be directly consulted in all cofnancing
agreement matters, including amendment.

ADBs partial administration of AFD loans can be provided in two ways.
ADBs administration is limited to procurement supervision.
ADB reviews only procurement, consulting services, and other contracts
according to ADBs policies and guidelines but not withdrawal applications
and attached supporting documents for AFD loans. AFD loan is disbursed
according to AFDs policy and guidelines. ADB informs AFD of ADB loan
disbursement date and amount for AFDs decision to process its own
disbursement.
ADBs administration includes both procurement and
disbursement supervision.
ADB reviews procurement, consulting services, and other contracts and
withdrawal applications and attached supporting documents for AFD loans
according to ADBs policies and guidelines, and advises AFD accordingly.
AFD loan funds are always held by AFD, therefore, ADBs full administration
of AFD loans is not feasible.

changes to the signatory of the cofnancing document. If the partner
cofnances a project after ADB Board approval, ADB processes additional
fnancing if the project requires ADBs administration.

the partners monitor the implementation of the project via joint inception,
midterm review, or other monitoring missions. the scope of partners

Coordination under Collaborative Cofnancing
Where ADB administration is not required, the partners will each manage
their own procurement and disbursement under their respective policies
and guidelinesalthough each partners projects should be closely linked,
and information exchanged and jointly monitored, especially on safeguards.
regardless of the type of cofnancing arrangement, joint eforts toward
streamlining safeguards requirement and process are required (see Safeguards).
Coordination under Suspicion of Corruption and Fraud
ADB is guided by its Anticorruption Policy and Integrity Principles and
Guidelines. AFD applies its General Policy on Combating Corruption, Fraud,
Anti-competitive Practices, Money laundering and terrorist Financing.
ADB and AFD inform each other of any event that interferes or threatens
successful project implementation. Exchange of information shall be made
on a confdential basis and with respect to each partners applicable rules
and regulations. If an investigation is deemed necessary by ADB and/or
AFD in relation to a project, both parties coordinate and share the relevant
information. In such cases, each partner keeps its investigative powers and its
capacity to take appropriate remedy.
