VOLUNTEER WAIVER, RELEASE OF LIABILITY & COVENANT NOT TO SUE

BRIEF DESCRIPTION OF EVENTS (“EVENTS”):

NFL PRO BOWL PREGAME AND HALFTIME SHOW, AND SUPER BOWL XLIV PREGAME, HALFTIME, AND POSTGAME SHOW
REHEARSALS AND PERFORMANCES AS SCHEDULED

1. I attest and verify that I am free from all illnesses, injuries or defects and that I am physically fit and sufficiently trained to participate
in all activities associated with the Events. My participation in activities and events organized or sponsored by the NFL is voluntary.

2. I am aware that there are risks to my personal safety and/or property, including the risk of serious injury, damage or loss of property,
and/or death in conjunction with my participation in activities and events, and I assume all risks associated with my participation in
activities and events organized or sponsored by the NFL or connected with the Events.

3. I do hereby, for myself, my heirs, administrators, executors, guardians, assigns, representatives, and next of kin, forever WAIVE,
RELEASE, DISCHARGE, AND COVENANT NOT TO SUE the National Football League, its member professional football clubs,
NFL Ventures, L. P. and each of their respective affiliates, officers, directors, agents and employees (collectively, with the “NFL
Entities”), Touchdown Entertainment, Inc., White Cherry Entertainment, Inc., LandShark Stadium, the state of Florida, the cities of
Miami, Miami Gardens and Fort Lauderdale, the Counties of Dade and Broward, the South Florida Super Bowl XLIV Host
Committee, and/or their respective representatives, subsidiaries, officers, directors, employees, agents, successors, and assigns
(collectively, the “Releasees”). I further agree to indemnify, defend and hold harmless Releasees from any loss, liability, cost, claim
or damages arising from my participation in or association with activities and events organized and sponsored by the NFL or
connected with the Events.

4. I consent to administration of first aid and other medical treatment in the event of injury or illness and hereby release and indemnify
Releasees from any and all liability or claims arising out of such treatment.

5. I hereby grant full permission to Releasees, as described above to use any photographs, images, videotapes, motion pictures,
recordings, or any other record of the activities of the Events for any legitimate purpose and I understand that I shall not be entitled to
any compensation therefore. All photographs, resumes, or other submissions taken by or given to the NFL shall be the property of the
NFL.

6. I understand that my belongings will be searched upon entry into LandShark Stadium. By signing this document, I consent to such
searches, and waive any related claims that I might have against the NFL Entities, its affiliates, or its agents. I understand that should
I refuse to consent to these searches, I will be denied entry.

I hereby state that I have read and understand the above stated information. No promise, inducement, or agreement not expressed herein
has been made to me. This form may be released to any third party in order that the applicant may receive medical care in the event of
illness or injury.

WAIVER AND RELEASE

I hereby grant permission gratis to Touchdown Entertainment, Inc., NFL Properties LLC, the National Football League, its
thirty-two member professional football teams, NFL Ventures, Inc., NFL Ventures, L.P., NFL Enterprises LLC, NFL International LLC,
NFL Productions LLC, and all of their employees, subcontractors, sponsors, agents, affiliates, subsidiaries, licensees and assigns
(collectively the "Releasees") to film, videotape and record gratis the performance of the above named performer (referred to herein as “I”,
“me”, “my”) for the 2010 NFL PRO BOWL and SUPER BOWL XLIV EVENTS (the “Events”) to be held at LandShark Stadium in
Miami Gardens, Florida, on January 31, 2010, and February 7, 2010, respectively, and subsequently to telecast and otherwise utilize the
same gratis in whatever manner Releasees shall deem appropriate. Such permission shall include the unlimited right to appropriate use
gratis by Releasees of my name, nickname, image, likeness, voice, photograph, signature facsimile, and biographical information in
connection with the Event.

I acknowledge that Releasees and their representatives shall have the unlimited right throughout the universe to copyright, use,
reuse, publish, republish, broadcast and otherwise distribute all or any portion of the Events in which I may appear on any and all radio,
network, cable and local television programs and in any print materials and in any other format or media (including electronic media) now
know or hereinafter devised in perpetuity without compensation. In consideration and in return for being allowed to participate in the
Events, I release and agree not to sue the Releasees from all present and future claims regarding my participation in the Events that may be
made by me, my family, estate heirs, or assigns.

I hereby represent that in connection with such performance, I have complied with Section 508 of the Federal Communications
Act which makes it a criminal offense for any person to accept or furnish any money, service or other valuable consideration for the
inclusion of any "plug" (promotional announcements) in any program intended for broadcast.

NON-DISCLOSURE AND CONFIDENTIALITY POLICY

PLEASE NOTE:
This document constitutes a significant and binding agreement
between you and Touchdown Entertainment, Inc. (“PRODUCER”).
Please do not sign it without having read it personally and agreeing to all of its terms.

I understand that my participation in the production of the 2010 NFL Pro Bowl and Super Bowl XLIV Pre-Game and Halftime
Shows (the “Productions”) taking place in Miami Gardens, Florida on January 31, 2010 and February 7, 2010, respectively,
exposes me to confidential and privileged information and material with respect to the Productions and its contents (i.e.,
artistic, music, talent, theme, production concepts, rehearsals, etc.) I understand that the contents of the Productions are not
made public prior to the live broadcast of the Productions and that the secrecy surrounding all elements of the Productions
requires the highest possible standard of care.

I understand the confidential nature of the Productions have significant proprietary value and that the dissemination of any
material, information, photos, recordings, etc. will cause irreparable harm to Producer, The National Football League, and the
respective Artists performing during the Productions. I hereby agree not to disclose any information or material to any third
person at any time.

I understand that cell phones and other digital recording devices will not be allowed in the stadium during rehearsals or the
live Productions and that the recording of any parts of the Productions (including any rehearsals) and/or taking of photos,
video, etc. is strictly prohibited.

I acknowledge the great value of the goodwill and reputation that PRODUCER enjoys and that any violation of this agreement
will result in significant damage to PRODUCER. I agree that any violation of this agreement may result in civil and criminal
penalties, and that the owners of the rights in the contents of the Productions are third party beneficiaries of this agreement
with the rights to enforce it.

Authorization for Release of Personal Information and
Acknowledgment of Criminal History Background Check
(For use only by authorized criminal justice agencies solely for the purposes outlined below.)

I hereby authorize and give my consent for the full and complete disclosure and release to any
criminal justice agency involved with Super Bowl XLIV (“Super Bowl”) and/or the 2010 Pro Bowl (“Pro Bowl”)
of all records, whether public, private, or confidential, concerning me and/or my background with respect to
my driverʼs history, criminal history, or warrant or arrest history (including any complaints or charges against
me). Records to be released may include, but are not necessarily limited to, educational background
records, military service and personnel records and employment records, to the extent that any of the
foregoing relate to my driverʼs history, criminal history, or warrant or arrest history (including any complaints
or charges against me).
I acknowledge that, on the basis of the information I furnish in this Authorization, one or more
criminal justice agencies will obtain information for my criminal history and driving record background check
from any local, state, or federal or national agency, board, commission, or other entity, public or private, that
may possess such information. The criminal justice agencies involved have sole discretion to determine
whether my criminal history background check is complete or satisfactory.
I understand and agree that any information obtained, directly or indirectly, in whole or in part, based
on this Authorization, may be utilized in connection with any background or security investigation conducted
by any criminal justice agency associated with the Super Bowl and/or Pro Bowl. By signing below, I
voluntarily authorize any law enforcement agency associated with the Super Bowl and/or Pro Bowl to make
such investigation, and I hereby release the NFL, NFL Ventures, Inc., NFL Ventures, L.P. and any
subsidiaries or affiliates of the foregoing, the state of Florida, the cities of Miami, Miami Gardens and Fort
Lauderdale, the Counties of Dade and Broward, the South Florida Super Bowl XLIV Host Committee, any
governmental or law enforcement agency or personnel that receive such information, and all persons,
schools, companies, corporations, agencies and other entities (including all officers, directors, trustees,
members, employees, agents, volunteers, or representatives of any of the foregoing) supplying, collecting
disclosing, or releasing any such information to any criminal justice agency associated with the Super Bowl
and/or Pro Bowl, from all liability, claims, damages or responsibility in connection with this background
investigation, the obtaining or releasing of information about me or my background, or the NFLʼs issuance or
non-issuance of credentials to attend the Super Bowl or Pro Bowl games and related events.
I understand and agree that this Authorization entitles any criminal justice agency associated with the
Super Bowl or Pro Bowl to request the release of information regarding me or my background at any time
during the term of my affiliation with the NFL and that this Authorization may be used to request information
more than once.
Each copy of this executed Authorization will be as valid as an original, even though the copy does
not contain an original writing of my signature. I have read and fully understand the contents of this
Authorization and execute if freely and voluntarily.

SAFETY GUIDELINES

STAGE CREW VOLUNTEERS (“Volunteers”)

2010 NFL PRO BOWL AND SUPER BOWL XLIV (“Event(s)”)

All Volunteers are required to conform to all rules of conduct relating to safety while on
these Event(s).

1) Excessively loose and/or severely torn clothing, ties, or bandanas shall not be worn by Volunteers.
2) Open-toed shoes or sandals shall not be worn by Volunteers. (Athletic shoes preferred.)
3) Excessive dangling jewelry (earrings, necklaces or chains, etc.) shall not be worn by Volunteers.
4) Purses, backpacks, messenger bags, etc. shall not be carried/worn by Volunteers during any actual rehearsal
on the practice or stadium fields. There is no secure storage for volunteer bags and Producer shall not be
responsible for Volunteersʼ lost, stolen or damaged personal property.
5) Mobile phones and/or mobile PDAs shall not be visible nor used during any rehearsal nor performance.
6) Cameras, including, but not limited to mobile phone cameras, digital cameras, disposable cameras, and video
cameras, shall not be allowed at any time. Failure to adhere to this rule may result in confiscation of camera
and/or immediate dismissal at the Producerʼs sole discretion.
7) The possession of, being under the influence of, or use any intoxicants including alcohol, prescription drugs
(unless accompanied by a doctorsʼ note and written consent from said physician to engage in Event(s)
volunteering activities), or illegal substances while volunteering for the Event(s) is strictly prohibited. Any
violation of this rule will be cause for immediate dismissal at Producerʼs sole discretion.
8) Indulgence in practical jokes, horseplay, scuffling, wrestling, or fighting, or similar activities is prohibited.
9) Firearms, or weapons of any kind are not permitted on any jobsite connected with the Event(s).
10) Smoking is prohibited, except in designated areas.
11) Production Vehicles (golf carts, fork lifts, etc.) shall not be operated at any time by Volunteers.
12) Insubordination toward any supervisory or management personnel with respect to properly issued instructions
and/or orders regarding safety, health or proper execution of the Show Tasks shall be sufficient cause for
removal from the Event(s).

Refusing to follow any safety rule shall be sufficient cause for removal from the Event(s) by Producer in its sole
discretion.
