5.2 In an effort to reduce the exposure to Verizon STB services provided in

Coatesville, CTDI utilizes a multitude of mitigation techniques. The Coatesville
facility has a stand-by generator which provides 100% of the power needs of the
facility. The entire facility is covered by a sprinkler fire suppression system.
CTDI Coatesville is a secure card access building. All network equipment is
located in limited access, environmentally controlled rooms with additional fire
suppression. The primary OLP server is located off-site. Specifically for Verizon
STB services CTDI employs a redundant Video Network System (headend).

5.3 In the event of a disaster which would deem the Coatesville facility inoperable or
uninhabitable, CTDI has a facility located within 30 minutes which has all
necessary OLP and Video Network equipment such that it could begin
processing Verizon STBs within a short period of time.

5.3.1 Once the determination has been made by CTDI in consultation with
Verizon and local authorities that the Coatesville facility will remain
inoperable for an extended period of time, 48-72 hours or longer, CTDI
will work with Verizon and UPS-SCS to divert incoming workload to the
West Chester facility located at 1334 Enterprise Drive. Additionally, if
access is available, CTDI will utilize its private fleet to transfer product
from the Coatesville facility to the West Chester facility.
5.3.2 All staff engaged in providing STB services for Verizon will be directed to
work at the West Chester facility. Due to the close proximity CTDI
anticipates a high percentage of personnel would be able to report to the
West Chester facility. In the event of staff shortages, CTDI maintains a
large workforce with technical and logistical expertise which would be
reallocated as necessary.

5.4 Once the Coatesville facility is deemed operational, CTDI would transfer work
back to Coatesville in a manner which has minimal impact on operations. CTDI
would again coordinate with Verizon and UPS-SCS.
