LEGAL TRADING NAME

This business partnership between the partners in Table 1 shall operate under the
legal trading name of:D Jay Caf

1.3

START AND INTENDED DURATION OF PARTNERSHIP

This business partnership between the partners in Table 1 shall commence on the
date this agreement came into force.
The intended duration of this business partnership shall be as long as either
partner stated in Table 1 decides to withdraw from the business through mutual
agreement.

PARTNERSHIP BUSINESS LOCATION

This partnership will operate from the address of the premises stated below:No.XX, Jalan Damai Utama 2,
Taman Damai Utama,

Selangor.

THE BUSINESS IN GENERAL TERMS

The D Jay Caf is a western cuisine restaurant which will be the first of its kind in
Taman Damai Utama.
D Jay Caf will operate from 4.00pm 12.00pm (8 Hours Operation) which will be
ideal for Evening Tea, Dinner and Supper.
The marketing aspects of D Jay Caf are as stated below:Competitors

1. Events Catering for nearby companies and also


Kinrara Golf Course & Country Club.
2. Capitalise on Kinrara Residence residences for
evening tea, dinner and supper.
3. Meeting over food for Real Estate agents selling
properties in the vicinity.

D Jay Caf shall offer a vast variety of western foods and a small range of
Malaysian food to cater to the palette of all customers.

CONTRIBUTION OF PARTNERS

Partners in this partnership shall owe to each other a fiduciary duty to ensure that
the relationship is one of confidence, trust and full disclosure. The duties to be
fulfilled are as stated below in Table 2.

15 Hours a Week (Flexible)


To assist in basic management of restaurant.
To assist in opening and/or closing of restaurant.
To assist in bank-in of daily sales, whenever necessary.
To assist partner to manage and operate during vacation periods.
Responsible for marketing the restaurant through all channels
which may include internet, social media, magazines, newspapers,
leaflets, brochures and mobile food finding apps.
Full rights to view food and beverage accounting and all related
documents
Full rights to decide on capital investment for expansion and/or
renovation and/or refurbishment.
To assist in interviews and hiring staff for the business.
To assist in staff as a team member and manager.
To look for additional business opportunity to boost up sales of
restaurants.

30 Hours a Week (Flexible AND/OR mostly during operation hours


and weekends)
To be involved in overall management of restaurant.
To assist in opening and/or closing of restaurant.
To supervisor and conduct bank-in of daily sales.
To prepare promotions and monthly planning.
To formula promotional menus and daily promotions to be
marketed in marketing activities in charge by Vijay.
Full rights to view food and beverage accounting and all related
documents.
To prepare and finalise business accounts and present to the
accountant.
To propose, analyse and decide on capital investment for
expansion and/or renovation and/or refurbishment and/or add-ons
to existing premises.
To arrange for interviews and hiring staff for the business.
To assist in staff as a team member and manager.
To manage staff on a daily basis.
To look for additional business opportunity to boost up sales of
restaurant.

To perform duties to ensure successful management of business.

INITIAL CAPITAL INJECTION BY PARTNERS

D Jay Caf will require a total capital investment of a maximum of RM260,000


which includes running capital for 6 months of operation.
The partners as stated in Table 1 will be injecting the following capital:Vijay 100% of total capital investment
Devendren 100% of Professional Restaurant Operation Management
Depending on the type of capital injection, the interest charged to the capital will be
according to the rate charged by the financial institution.

PROFIT AND LOSS SHARING

ALL PROFITS AND LOSSES SHALL BE SHARED EQUALLY ON A 50:50 PERCENTAGE
