Dear Sir,
We are pleased to advise that Alpha Wealth Management Group, Inc has agreed to provide new facility to PT.
Gema Muara Energi with the following Terms and Conditions.
1. Lender
Alpha Wealth Management Group, Inc
2. Borrower PT. Gema Muara Energi
3. Facility
Twenty Million Dollars($20,000.000.00)
4. Platform ENERGY: Power Plant
5. Purpose To build 3 x 3.3MW = 10 MW of HYDRO POWER PLANT. (EXHIBIT A)
6. Interest 12% per annum
7. Fee
$500K engagement and 5 points upon funding
8. Collateral: (EXHIBIT A = PPA Contract) see attached
9. Interest and Principal Payment : TBD per contract
10. Condition Precedent

a. 1st LIEN POSITION on EXHIBIT A (PPA Contract)and

all hard assets inclusive of Power plant.
b. Interest only, as it accrues on the unpaid principal amount
hereof, will be due and payable quarterly, beginning January
1, 2016 and continuing quarterly thereafter on first (1st) day of
each month, thereafter until the Maturity Date when the entire
amount hereof, all remaining unpaid principal and accrued
unpaid interest thereon shall be then due and payable. In
addition, all Revenues (as that term is defined in that certain
Assignment of Revenues and Proceeds from PPA and/or any
other revenue generated post funding of event date herewith,
executed by Maker in favor of Payee) are due and payable
hereunder to Payee if, as and when they are received or paid
and shall be applied to the indebtedness of this Note or other
Loan Document. All unpaid principal and any accrued but
unpaid interest will be due and payable in full on January 1,

11. THIS NOTE AND THE OTHER DOCUMENTS EXECUTED IN CONNECTION WITH IT
REPRESENT THE FINAL AGREEMENT BETWEEN THE PARTIES AND MAY NOT BE
CONTRADICTED BY EVIDENCE OF PRIOR, CONTEMPORANEOUS, OR SUBSEQUENT
ORAL AGREEMENTS OF THE PARTIES. THERE ARE NO UNWRITTEN ORAL
AGREEMENTS BETWEEN THE PARTIES.

With the existence of this offering letter we trust that the above Terms and Conditions will be
acceptable to you and if so, kindly indicate your agreement by countersigning this letter which should
then be returned for the attention of the undersigned at the latest May 1, 2015.
