Dear Sir,
We are pleased to submit our proposal for the supply of Pre-Engineered Steel Building at Bangalore, Karnataka.
Our proposal is in accordance with the building/s layout, overall dimensions and design loads given in your
enquiry. Our scope of work covers the design, fabrication, supply and erection of materials in accordance with
the mentioned IS standards and specifications and all associated civil work including footings for columns, plinth
beams and flooring, unless otherwise stated.

Clause TC: General Terms & Conditions

TC.01 - Approval of Drawings:
Technically and commercially the drawings will be issued within 2 weeks from date of signing contract/issue of
Purchase Order and receipt of advance payment.
BUYER must return the drawings duly approved and signed preferably within one week thereafter; delay in the
same may result in revision to delivery commitment.
TC.02 - Delivery Period:
Gayathri Structural and Roofing Pvt. Ltd. will ship the materials in 8 weeks or less from the latest date of receipt
and acceptance of the following at our Head Office:

Balance payment either by acceptable letter of credit or as specified in supply contract

TC.03 - Exclusions:
Unloading and stacking of materials at site.

Any product or service that is not clearly specified in this proposal.
Scaffolding.
Any and all exclusions mentioned in the quotation.
TC.04 - Taxes & Duties:

1. 5.50% VAT on Invoice Value.
2. 12.36% Service Tax on 40% of the Total Value.
TC.05 - Terms of Payment:
1. 40% advance along with the contract order.
2. 50% on proof of material dispatch to the site.
3. 10% on completion of work.

Clause SPS: Standard Product Specifications

Our standard system is made up of any or all of the following products: primary members, secondary members,
connections, roof sheeting, wall sheeting, sheeting fasteners, sealers, closures, ridge caps, flashing and trim,
gutters and downspouts as per the design requirements.
SPS.01 - Primary Members:
Primary structural framing shall include all or any of the following: transverse rigid frames, lean-to-rafters and
columns, canopy rafters, interior columns (beam and column frames), bearing frame rafters, corner columns,
brackets, gantry girders or crane girders and end wall wind columns, as per the design requirements.
SPS.02 - Secondary Members:
Secondary structural framing shall include all or any of the following: purlins, girts, eave struts, wind bracings,
flange bracings, base angles, clips and other miscellaneous structural parts, as per the design requirements.
SPS.03 - Paint of Structural Members:
All structural members shall be cleaned by wire brushing/sand blasting to remove dirt, grease and oil and given
two coats of primer followed by two coats of synthetic enamel paint before erection.
SPS.04 - Connections:
All field connections shall be bolted (Unless otherwise noted).
Primary bolted connections shall be furnished with high strength bolts conforming to the physical specifications
of Indian Standards (or equivalent).
Secondary bolted connections shall be furnished with machine bolts conforming to the physical specifications of
Indian Standards (or equivalent).
SPS.05 - Roof Sheeting/Wall Sheeting:
Roof and wall panels shall be profiled galvalume or galvalume color coated steel sheeting.
In case of pre-painted galvalume panels, the exterior face is pre-painted with factory applied polyester paint.
The interior face is pre-painted with factory applied polyester paint.
Each panel shall provide one meter coverage and can be shipped in any length up to 10 m. Color of exterior and
interior faces shall be white/grey.
Other materials, thicknesses and coating are available upon request.
The material shall conform to Indian Standards.
SPS.06 - Sheeting Fasteners:
Standard fasteners shall be self-tapping sheet metal screws with metal and neoprene washers. All screws shall
have hexagonal heads.
SPS.07 - Ridge Cap:
A formed panel matching the material color, slope and profile of adjoining our rib roof panels.
SPS.08 - Anchor Bolts:
Anchor Bolts will be supplied prior to the delivery of the Pre-Engineered Building.
Delivery will be made after receipt of our anchor bolts setting plans (marked "For Construction") from our
Engineering Department.

SPS.09 - Flashing and Trim:

Flashing and/or trim shall be furnished at the rake, corners, eaves framed openings and wherever necessary to
provide weather tightness and finished appearance. Color shall be white for rake and eave flashings and color of
wall for corner flashings unless otherwise specified by client.

Clause GN: Notes

GN.01 - Proposal Validity:
This proposal is valid for 15 days from the date of this proposal. Any extension of validity must be received in
writing from the SELLER.
GN.02 - Specification Changes:
SELLER reserves the right to modify the design of his standard buildings and to substitute material equal to or
superior to the originally specified (in order to permit incorporation of changes and improvements, in the
continued development of the SELLER's product.)
GN.03 - Cancellation:
Agreement and orders CANNOT be cancelled or modified by BUYER under any circumstances without the BUYER
first reaching an agreement in writing with the SELLER covering all damages. If cancellation or modification is
agreed to by the SELLER, the BUYER has to promptly pay all reasonable engineering and other expenses
incurred by the SELLER in connection with this agreement and in any case not less than 10 % of the agreement
price in case of cancellation.
GN.04 - Shipment:
That portion of this order that is not shipped within Three months from the date of Contract / Purchase Order
will be subject to a price increase in accordance with new current prices posted at the end of the above noted
time period unless a longer delivery period is mutually agreed by SELLER and BUYER. Unloading at site is the
responsibility of the BUYER/BUILDER.
GN.05 - Variation Orders:
Any change and / or revision to the above stated scope of supply may lead to a VARIATION in the price and
the delivery period.
GN.06 - Force Majeure:
SELLER shall not be liable for any loss or damage to BUYER for delay in delivery or cancellation of any
Purchaser's Orders by the SELLER due to circumstances beyond SELLER's control, such as, but not limited to :
wars, riots, civil commotion, revolution, government regulations, orders, or acts of any government authority
directly or indirectly interfering with or rendering more burden on the production or delivery of the products;
floods, fires, delays due to transporters strike and any other circumstance or event beyond the SELLER's
control.
GN.07 - Inspection of Product:
BUYER agrees to inspect upon arrival of all articles shipped. Claims for shortages or defective material, if not
packaged, must be made in writing to Gayathri Structural and Roofing Pvt. Ltd. local office within five days after
the receipt of the shipment, and if packaged within 30 days after receipt of shipment so that we shall have a
reasonable time to investigate all claims made by the BUYER. Any claims for shortages or defects made after
the above mentioned periods shall be refused and finally dismissed.
GN.08 - Exclusions:
SELLER supply does not include any material or labor in connection with electrical installations, plumbing work,
finished painting work, heating work, masonry work, interior finishing, partitions making, glass and glazing or
any item not shown in our approval drawings, unless specifically mentioned in the agreement.

GN.09 - Warranty:
All products are warranted against failure due to defective material or workmanship for a period of one year
after shipment.
GN.10 - Scope of Agreement:
It is further understood that this agreement is the only agreement expressed or implied, either verbal or in
writing, in connection with this sale.
GN.11 - Governing Laws:
This agreement shall be construed and enforced in accordance with and under the laws of the Government of
India. Both parties agree that in case of any difference or dispute arising between the SELLER and the BUYER, it
will be resolved by mutual discussions and agreement. However, unresolved issues, if any, will be settled by
arbitration as per the Indian Arbitration and Conciliation Act, and the venue of the arbitration will be Bangalore,
Karnataka.
GN.12 - Ownership of Excess Material at Site:
All material supplied to site in excess of building requirements shall be the property of Seller and the Seller
reserves the right to ship the same back to its works.
GN.13 - Penal Interest:
The BUYER agrees that the Penal Interest for the delayed payment at the rate of 24% p.a. compounded
quarterly, calculated on daily products, for the delayed period shall be paid along with the amount due.
