youthepositionofClientServiceExecutiveatMedusindSolutionsIndiaPrivateLimited,(Hereinafter
knowsasthecompany),onthefollowingtermsandconditions.

Thetermsandconditionsoftheofferareasfollows:

1.PLACEOFPOSTING:

YourpostingwillbeatAhmedabad.HoweverduringemploymentwiththeCompany,youmaybeposted/
transferredtoanyoftheoffices/projects/divisionsofthecompanyoritsGroupCompaniesexistingor
tobesetatanyotherlocationinIndiaorabroad.
2.JOBDESCRIPTIONANDDUTIES:
YouwilljointhecompanyandbedesignatedasClientServiceExecutive.Inordertobringyoutoan
acceptablelevelofproficiencyandeffectiveness,thecompanyhasenrolledyouforanInductiontraining
programof2monthsdurationeffective20May2015.Thetrainingprogramcoverssoftskillstraining,
domaintraining&onthejob training.
Pleasenotethatifyoudiscontinuetrainingatanytimewiththecompanyduringtheabovementioned
Inductiontrainingprogramoryourfailuretoclearthetrainingevaluationwillentailimmediate
terminationofyouremployment.
Yourresponsibilitieswillbeasdecidedbythemanagement.Youwouldbeexpectedtomoveinto
differentprojectsandtakeonnewchallengesandlearningsasandwhenthejobdemands.
3.COMPENSATION:
YourCosttoCompany[CTC](Base+Allowances+FixedBonus)willbeRs.210000.00/(RupeesTwo
LakhTenThousandOnly)/perannum,structuredinaccordancewiththecompanypolicy/guidelines
andincometaxrulesasapplicablefromtimetotime.
TheCTCofRs.210000.00/isinclusiveofFixedBonusofRs.10,000perannumwhichwouldbepaid
monthlyin12equalinstallmentsasAdvanceBonus.

Yourappointmentissubjecttochangeasandwhenyoumoveacrossshifts.Thesamewouldaffect
youremolumentsandallowanceperthepolicyandbands.
Pleasenotethatyourcompensationpackageisstrictlypersonalandconfidentialtoyouandare
thereforeadvisednottodivulgethesame.

4.PROVIDENTFUNDSCHEME:
YouwillberequiredtobecomeamemberoftheCompanysProvidentFundSchemeimmediatelyon
joining.TheCompany'scontributionunderthisschemeatpresentis12%ofBaseSalarywitha
matchingcompulsorycontributionfromyou.Youwillberequiredtosubmitnomination/transferforms(as
applicable)totheHRDepartmentimmediatelyonyourjoining.YouwillbegovernedbytheProvident
Fundrulesinforcefromtimetotime.
ThecompanyscontributiontotheProvidentFundSchemeisapartofyourCTC.

5.COMMENCEMENTOFEMPLOYMENT:

Youremploymentwiththecompanyshallcommenceon20May2015.
6.INCREMENTS:
Yourincrementandfuturepromotionprospectsinthecompanyshallentirelydependonyourefficiency,
hardwork,regularityinattendance,sincerity,goodconduct,Companysperformanceandsuchother
relevantfactors,asadjudgedbythemanagement.
7.PROBATION/CONFIRMATION:
Youwillbeonprobationforthefirst6monthsofemployment,whichmaybeextendedorreducedatthe
solediscretionoftheManagementaccordingtoyourperformancereports.Duringthisperiodyouwill
undergosuitabletrainingaspercompanyrequirementsatcosttocompany.Basedonthetraining
providedtoyou,youmayneedtoundergoperiodicalwrittentestsandwillberequiredtosuccessfully
clearthetests.Yourserviceswillonlybeconfirmedaftercompletionoftheprobationaryperiodandon
receiptofasatisfactoryperformancereportfromyourrespectiveTeamLeader/OperationsManager.
Confirmationissubjecttoyourperformanceandyourachievingthetargetssetbyyourreportingauthority.

Duringyourprobationperiod,yourappointmentmaybeterminatedbythecompanyorbyyouwith7
workingdaysnotice.Suchterminationmaybeexecutedwithoutassigninganyreasonwhatsoever.

Howeverunderspecialcircumstancesthemanagementreservestheauthoritytorelievetheemployee
underprobation,onlyafterexpiryofamutuallyagreednoticeperiodwhichmaybebeyond7working
days.

Postconfirmationofyourappointment,theappointmentisterminablebythecompanyorbyyouona
monthsnotice.Suchaterminationmaybeexecutedwithoutassigninganyreasonwhatsoever.
Furthermore,thecompanyhastherighttoterminateyouremploymentbypaymentofequivalentsalaryin
lieuofthenoticeperiodduringyourprobationorpostconfirmationofyourappointment.

8.MEDICALFITNESSANDVERIFICATIONOFPARTICULARS:
Yourappointmentissubjecttothefollowing:
1.TheManagementhastherighttogetyoumedicallyexaminedbyanyRegisteredMedicalPractitioner
duringtheperiodofyourservice.

Incaseyouarefoundmedicallyunfittocontinuewiththejob,youwillloseyourlienonthejob.
2.Incaseparticularsmentionedinyourapplicationarefoundfalse,notauthenticorwithoutdocumentary
prooftothesatisfactionofmanagement,yourserviceswouldbeliableforterminationatanytimewithout
anynoticeoranycompensationinlieuthereof.
9.COMPLIANCEWITHISMSANDHIPPA
OurprocessesandpoliciesaregovernedbyISMS(InformationSecurityandManagementSystems)and
USlegislationregulatingtheMedicalOutsourcingindustryi.e.HIPPA(theHealthInsurancePortability
andAccountabilityActof1996).ISMSandHIPPAhavebeensetoutinmoredetailinCompliancePolicy
ofMedusind.AnyemployeejoiningMedusindshallabidebytheISMSandHIPPAregulationsassetout
intheCompliancePolicy.
10.COMPLIANCEWITHINFORMATIONTECHNOLOGYLAWS,ETC.
YoushallnotmisusetheCompanysITandotherresources,includingbutnotlimitedtocomputers,
internetandintranet,duringyouremploymentwiththeCompany.Youshalldischargeyour
responsibilitiestotheCompanywithduecareandattentionandshallexerciseallduediligenceto
preventsuchmisuseinanymannerwhatsoever.Intheeventyouindulgeinunauthorizeduseormisuse
oftheCompanysresources,youshallkeeptheCompanyanditsdirectors,managers,officers,etc.fully
indemnifiedagainstanyliabilities,losses,damages,costsandexpenses,thirdpartyclaims/legal
action,arisinginconnectionwithyourbreachofthisclause.TheCompanyalsoreservestherightto
initiateappropriatelegalactionagainstyou.
11.DOCUMENTSTOBESUBMITTED:
Youarerequiredtoproducethefollowingdocumentsonthedateofjoining:

1)Certificatesinsupportofyoureducational/professionalqualificationsincludingdegree,marksheets
&highersecondarymarksheetsinphotocopies.

3)Documentsinsupporttoyourdateofbirthwhichhasaphotoidentity,whichmayincludepassport,

Perquisites:
1.MedicalInsurance&LifeInsurancecoverforyouaspernormsofthecompanyspecifiedinthe
EmployeeHandbook.
2.Forallemployees,twoleaveswillaccrueattheendofeverymonth.Duringprobation,employeeswill
notbeentitledforanyleaveshowevertheaccruedleaveswillbecreditedonceconfirmtotheservicesof
thecompany.
3.Yourleavecanonlybecarriedovertillyouhaveaccumulatedamaximumof42daysofleave.
4.Therewillbe10annualbankholidaysasperthecompanyholidayschedule.
AnnexureII
TERMSANDCONDITIONSOFEMPLOYMENT
1.DUTIESANDRESPONSIBILITIES:
Youwillobserveworkinghoursandholidaysasapplicabletoyourlocationandplaceofwork,whichwill
becommunicatedtoyouatthetimeofyourjoining.
Thecompanywillexpectyoutoworkwithdiligence,integrityandahighstandardofinitiative,efficiency
andeconomy.Youwillconformtosuchduties,directionsandinstructionsassignedorcommunicated
toyoubythecompanyandyoursuperiors.
YouwilldevoteyourentiretimeandattentiontotheworkoftheCompanyandwillnotundertakeany
direct/indirectbusinessorwork,honoraryorremuneratorexceptwiththewrittenpermissionofthe
Managementineachcase.Contraventionofthiswillleadtotheterminationofyourservicewithoutany
noticeoranycompensationinlieuofsuchnotice.
Youshallnotseekmembershipofanylocalorpublicbodieswithoutfirstobtainingthewrittenconsent
fromtheManagement.
Youshallneitherdivulgenordisclosetoanyunauthorizedpersonduringtheperiodofyourserviceor
evenafterwardsbywordofmouthorotherwise,particularsordetailsoftheCompanysmanufacturing
processes,clients,technicalknowhow,securityarrangements,administrativeand/ororganizational
mattersofaconfidential/secretnature,whichmaybeyourprivilegetoknowbyvirtueofyourbeingthe
Companysemployee.

Youwillberequiredtosignnondisclosureagreementorsimilardocumentsasandwhenrequired.

YoushallkeepconfidentialalltheinformationandmaterialprovidedtoyoubytheCompanyorbyits
clientsconcerningtheiraffairs,inordertoenabletheCompanytoperformtheservice.Thisalsoincludes
suchinformationasisalreadyknowntothepublicwhichalsoyouwillnotrelease,useordisclose
exceptwiththepriorwrittenpermissionoftheCompany.Yourobligationtokeepsuchinformation
confidentialshallremainevenonterminationofthisemployment.

YouwillnotinteractindependentlyinanywaywithanyofCompanyspastorpresentclients,exceptinthe
ordinarycourseofbusiness.Ifyouleavetheservices,youwillnotinteractwithanyofCompanyspastor
presentclientsforaperiodof3yearsinanymannerwhatsoever.Youwillalsonotacceptanyoffersof
employmentfromanyofCompanyspastorpresentclientsforaperiodof3yearsafteryouleavethe
services.Duetotheuniquenatureoftheinformation,theremaybenoadequateremedyatlawforany
breachofobligationsbytheemployee.Youherebyacknowledgethatanysuchbreachmayresultin
irreparableharmtothecompanyand,therefore,thatuponanysuchbreachoranythreatthereof,the
companyshallbeentitledtoappropriateequitablereliefinadditiontowhateverremediesitmayhaveat
law.

Youwilldisclosetousforthwithanydiscovery,invention,processorimprovementmadebyyouwhilein
theCompanysservice,andsuchdiscovery,invention,processorimprovementshallbelongabsolutely
toandbethesoleandabsolutepropertyoftheCompany.IfandwhenrequiredtodosobytheCompany,
youshallattheCompany'sexpense,takeoutorapplyfortheCompany'sPatent,Licensesorother
rights,privilegesorprotectionasmaybedirectedbytheCompanyinrespectofanysuchdiscovery,
invention,processorimprovementsothatthebenefitthereofshallaccruetotheCompanyandyouwill
executeanddoallinstruments,acts,deedsandthings,whichmayberequiredbytheCompanyfor
assigning,transferringorotherwise,vestingthesameandallbenefitsarisinginrespectthereofinthe
Companysfavourorinfavourofsuchotherpersonorpersons,firmsorcompanies,astheCompany
maydirectasthesolebeneficiarythereof.
YouwillnotenterintoanycommitmentsordealingsonbehalfoftheCompanyforwhichyouhaveno
expressauthoritynoralterorbeapartytoanyalterationofanyprincipleorpolicyoftheCompanyor
exceedtheauthorityordiscretionvestedinyouwithouttheprevioussanctionoftheCompanyorthosein
authorityoveryou.
Youshallbefullyresponsiblefortimelycompliancesofallapplicablestatutes,laws,rulesand
regulations,proceduresofcentral/stategovernment,semigovernment,autonomous/appropriate
authorities/bodiesandinstitutionsthatmayberequiredbyyourpositionatanygivenpointoftime.These
interaliasshallinclude:
i.Keepingyourselfawareandupdatedonallapplicablestatutes,laws,rules,regulationsand
proceduresasabove
ii.Ensuringproperimplementationofallapplicablestatutes,laws,rules,regulationsandprocedures
etc.

iii.Timelyfilingofallreturns/documents/information/particularstoconcernedauthorities.

iv.Maintainingallrecords/proofasrequiredundertheapplicablestatutes,laws,rules,regulationsand
proceduresetc.Takinganyotheractionsthatmayberequiredforcomplianceofapplicablestatutes,
laws,rules,regulationsandproceduresetcKeepingthemanagementapprisedofthecompliances
madewithproofinsupportthereof.
Youwillberesponsibleforthesafekeepingandreturningoodconditionandorderofalltheproperties
ofthecompany,whichmaybeinyouruse,custody,careorcharge.Forthelossordamageofany
propertyofthecompanyinyourpossession,thecompanywillhavearighttoassessonitsownbasis
andrecoverthedamagesofallsuchmaterialsfromyouandtotakesuchotheractionasitdeems
properintheeventofyourfailuretoaccountforsuchmaterialorpropertytoitssatisfaction.
2.TERMINATIONOFSERVICE:
Youwillautomaticallyretirefromtheserviceofthecompanyonattainingthesuperannuatingageof65
years.
Ifyouabsentyourselfwithoutleaveorremainabsentbeyondtheperiodofleaveoriginallygrantedor
subsequentlyextended,youshallbeconsideredashavingvoluntarilyabandonedyouremployment
withoutgivinganynoticeandyouwillloselienonthejobunlessyou:
returntoworkwithin7daysfromthecommencementofsuchabsenceand
giveanexplanationtothesatisfactionoftheManagementregardingsuchabsence.
Intheeventofanymisconduct,theCompanyreservestherighttotakeappropriatedisciplinaryactionas
itmaydeemfit.

3.GENERAL:

YoumaybeselectedandsponsoredbytheCompanyforfamiliarization/trainingassignmentswiththe
CompanysTechnicalCollaboratorsoranyotherInstitutions/OrganizationsinIndiaorabroad.Youwill
diligentlyandbeneficiallytakepartinthetrainingandsuchassignments.Thecostofsuchtraining
includingthetravelfareandrelatedexpenseswillbebornebytheCompanysubjecttoagreementstobe
drawnupandsignedbytheCompanyandyou.
Yourservicewillbegovernedbyrules,regulationsandpoliciesasmentionedintheEmployee
handbookandalsoconduct,disciplineandadministrativeorders,whichmaybein,forcefromtimeto
time.
Yourdateofbirthmentionedintherelevantdocumentswillbedeemedtobetheconclusiveproofofyour
dateofbirth.
YouwillintimateinwritingtotheManagementanychangeofaddresswithinaweekfromchangeofthe
same,failing,whichanycommunicationsentonyourlastrecordedaddress,shallbedeemedtohave
beenservedonyou.

YouwillhandovertheCharge,LetterofAuthority,PowerofAttorneyissuedtoyouandalsoanyproperty/
materialofthecompanyinyourpossessionatthetimeofcessationofyouremploymentwiththe
company.
Yourpresentdesignationissubjecttochangedependinguponworkassignmentfromtimetotime.

4.Disputes,JurisdictionandGoverningLaw:
TheCompanywillendeavortosettleamicablyandinaccordancewiththeCompanyPolicyanydisputes,
differencesorclaimswhatsoeverrelatedtoanemployee.Intheeventoffailuretoresolvethedisputes/
differences/claims,asabove,thesamewillberesolvedthroughArbitrationasprovidedbelowandas
setoutundertheArbitrationandConciliationAct1996.
AlldisputesanddifferencesarisingoutoforrelatedtothisAgreementthatcannotbeamicablyresolved
shallbereferredtotheArbitrationofasinglearbitratortobeappointedbytheCompany,initssole
discretion.ThearbitrationproceedingsshallbeconductedatMumbaiinaccordancewiththeprovisions
oftheArbitrationandConciliationAct,1996oranystatutorymodificationorreenactmentthereof,forthe
timebeinginforce.ThearbitrationproceedingsshallbeconductedinEnglish.
GoverningLawshallbethelawsoftheRepublicofIndia.Ineventoffailuretosettlethedisputeby
Arbitrationassetoutabove,theappropriateCourtsofMumbaishallhaveexclusivejurisdictiontofinally
settlethesame.

EMPLOYEESECRECYAGREEMENT

THISAgreementmadeatAhmedabad20May2015,betweenMedusindSolutionsIndiaPvt.Ltd.,having
itsofficeat7th&8thFloor,CommerceHouse5,CorporateRoad,PrahladNagar,Off.S.G.Highway,,
Ahmedabad380051hereinafterreferredtoastheCompanywhichexpressionshallunlessitis
repugnanttothecontextormeaningthereofincludeitssuccessorsandassignsoftheOnePart,and
Mr.DhavalChandravadanSailorhavinghis/herpermanentaddressPlotNo881/2,Sector13B,Vavol
Road,Gandhinagar382016oftheemployeehereinafterreferredtoastheEmployee(whichexpression
shallunlessitisrepugnanttothecontextormeaningthereofincludehis/hersheirs,executorsand
administrators)oftheOtherPart.
WHEREAS

A.ThecompanyisengagedinthebusinessofprovidingBUSINESSPROCESSOUTSOURCING
(hereinafterreferredtoasBPO)SERVICEStoUSHealthcareProvidersandUSBPOServiceprovider
companies(hereinafterreferredtoasthesaidBusiness ).
AspartofagreementforprovidingBPOservices(hereinafterreferredtoasthetheAgreement),
betweentheCompanyandanyclient(hereinafterreferredtoasthecustomer),thecustomermay
licenseormakeavailablespecializedknowledge/technologytotheCompany.
B.UndersuchAgreement,Companymayberequiredtoagreeto

(1)Keepconfidential,theknowledge/technologymadeavailabletotheCompanybythecustomer,and

(2)tobinditsemployeestotheconfidentialityoftheknowledge,byexecutingsecrecyagreementswith
them.
TheemployeeisunderbonafideemploymentoftheCompanyandwillrequiretousethesaid
knowledgereceivedbytheCompanyfromcustomerintheordinarycourseofduties.
TheCompanyhasagreedtodisclosethesaidknowledgetotheEmployeeinconsiderationofthe
employeeagreeingtoenterintothesepresents.
NOW,THEREFORE,THISAGREEMENTWITNESSETHANDITISHEREBYAGREEDBYANDBETWEEN
THEPARTIESHERETOasunder:
TheEmployeeshallnot,duringtheperiodofhis/heremploymentandafterhe/sheceasestobeinthe
employmentwiththecompanyreveal,discloseordivulgetoanyperson,personsorcompanyeither
verballyorinwriting,anyofthesaidknowledgewhichmaycometohis/herknowledgeduringthecourse
ofhis/herassociationwiththeapplicationofthesaidknowledgeinthemanufacturingprocessesofthe
company.

TheEmployeeherebyundertakestokeepwithcompletesecrecyallthesaidknowledgeentrustedto
him/herandshallnotuseorattempttousethesameinanymannerwhichmayaffecttheinterestor
otherwiseinjureorcauselosseitherdirectlytotheCompany.Itisalsoagreedthattheemployeeshall
notdisclosethenamesofcustomers,prospects,rates/priceinformationrelatingtotheproject/products
ofthecompanyandanyotherinformationpertainingtothebusinessoperationofthecompanytoany
oneotherthanthepersonorpersonswhoareexpresslyauthorizedbythecompanytoreceivesuch
information.

Theemployeeshallnot,otherwisethanforthepurposeofthework,makeanynotesormemorandumof
thesaidknowledgeandnorshalltheemployeeduringthecontinuanceofthisAgreementorafterwards
useorpermittobeusedanysuchnotesorMemorandaotherwisethanforthepurposeheretobefore
mentioned,itbeingthesoleintentionthatallsuchnotesandMemorandamadebytheEmployeeshall
bethepropertyoftheCompanyandleftattheregisteredofficeoftheCompanyuponterminationofthe
employmentoftheEmployee.

NotwithstandinganythingcontainedinthisAgreement,theemployeeshallbeentitledtodisclosethe
technicalknowhoworanypartthereoftoanythirdpartysuchascustomers,suppliers,majorsub
contractors,strictlyonaneedtoknowbasisontermsandconditionstobeagreeduponbetweenall
partiesincludingtheCollaboratorandsubjecttosigningofanappropriateNonDisclosureAgreement
betweenthethirdpartyandMedusindSolutions.

ThisAgreementshallcomeintoforcewitheffectfromthedateofexecution.

1.AllnoticesandothercommunicationsunderAgreement(unlessotherwiseexpresslycontemplatedin
thisAgreement)shallbeinwritingandinEnglishandeitherdeliveredbyhandorsentbytelex,faxor
airmailineachcasetothefollowingaddress,telexorfaxnumberoftheintendedrecipient(setoutthe
respectiveaddresses,telexorfaxnumbers)(oranyotheraddress,telexorfaxnumbernotifiedbyitfrom
timeforsuchpurpose)andshallbeconsideredservedandreceived:
A.Inthecaseofdeliverybyhand,upondeliveryoruponrefusalonpresentation

B.Inthecaseoftelex,uponsendingprovidedthecorrectanswerbackisreceived
C.Inthecaseoffax,uponsendingprovidedtheaddresseedoesnotwithin24hoursnotifythesender
thatithasbeentransmittedillegiblyorincorrectly
D.Inthecaseofpost,5daysafterposting.
2.ThisAgreementconstitutestheentireAgreementbetweenthepartiesinrelationitssubjectmatterand
noadditiontoorvariationofitshallhaveanyeffectunlessinwritingandsignedonbehalfofeachofthe
parties
3.Therightsofneitherpartyshallbeprejudicedorrestrictedbyanyindulgenceorforbearanceextended
bysuchpartyorbyanydelayinexercisingorforbearanceextendedbysuchpartyorbyeitherpartyofany
breachshalloperateasawaiverofanyotherorfurtherbreach.

4. TheCompanywillendeavortosettleamicablyandinaccordancewiththeCompanyPolicyany
disputes,differencesorclaimswhatsoeverrelatedtoanemployee.Intheeventoffailuretoresolvethe
disputes/differences/claims,asabove,thesamewillberesolvedthroughArbitrationasprovided
belowandassetoutundertheArbitrationandConciliationAct1996.

AlldisputesanddifferencesarisingoutoforrelatedtothisAgreementthatcannotbeamicablyresolved
shallbereferredtotheArbitrationofasinglearbitratortobeappointedbytheCompany,initssole
discretion.ThearbitrationproceedingsshallbeconductedatMumbaiinaccordancewiththeprovisions
oftheArbitrationandConciliationAct,1996oranystatutorymodificationorreenactmentthereof,forthe
timebeinginforce.ThearbitrationproceedingsshallbeconductedinEnglish.
GoverningLawshallbethelawsoftheRepublicofIndia.Ineventoffailuretosettlethedisputeby
Arbitrationassetoutabove,theappropriateCourtsofMumbaishallhaveexclusivejurisdictiontofinally
settlethesame.

INWITNESSWHEREOFthepartieshaveheretoaffixedtheirsrespectivesealsthedayandyearfirst
hereinabovementioned.
