ENGAGEMENT AGREEMENT
THIS ENGAGEMENT AGREEMENT (hereinafter referred as "Agreement") is entered into this
August 25,2014, by and between Federal Media Partner (hereinafter "the Suplier") having his principal
office at Str. Mihai Bravu no.85, Ploiesti, Prahova, 100550, and the Podesta Group (hereinafter "the
Provider*), having its principal office located at 1001 G Street NW, Suite 1000 West, Washington, DC
20001 .Now therefore die parties agree as follows:
Scope of Work
The Provider shall provide public affairs services (hereinafter referred as the "Services").
Term
The Provider shall perform the Services during the period commencing August 25,2014, and continuing
through October 24,2014. This agreement may be extended for an additional month through November
24,2014 upon mutual agreement between Suplier and Provider.
Payment
Federal Media Partner shall pay the Provider an amount of two hundred thousand U.S. dollars (U.S.
$200,000) in advance at the beginning of the term of this Agreement, Should Federal Media Partner and
the Provider agree to extend the term of the Agreement for an additional month, Federal Media Partner
shall pay an additional one hundred thousand U.S. dollars (U.S. $100,000) in advance ofthe additional
month of service.
Work shall commence upon receipt of payment from Federal Media Partner. Should payment remain
outstanding for more than thirty (30) days after Federal Media Partner receives an invoice from the
Provider, all services will cease until all outstanding amounts are paid in full. Wire instructions are as

Expenses
Federal Media Parmer shallreimbursethe Podesta Group at cost for all expenses incurred by Provider,
including, but not limited to digital and public relations expenses, business-class travel and deluxe
accommodations. Expenses incurred each month shall be invoiced and paid upon receipt of invoice.
Confidentiality
The Provider shall not, during the term of this Agreement and within two years after its expiration,
disclose any proprietary or confidential information regarding the Scope of Work, this Agreement or the
operations of Federal Media Partner without the prior written consent of Federal Media Partner.

Assignment
The Provider shall not assign this Agreement or any portion of it to third parties without Federal Media
Partner prior written consent.
Governing Law and Language
The Agreement shall be governed by the laws of the United States of America, and the language of the
Agreement shall be English.
Amendment
This Agreement may not be modified or amended except by an instrument in writing by the parties
hereto.
