Founded in 2002, AE Gold has grown from a development company into a producer
of gold, with operations located in South America, Africa and Europe. Although
under a decade old, AE Gold is one of the lowest cost pure gold producers, with a
strong balance sheet and some of the best margins in the business. AE Gold has

AE Gold, a young and dynamic global gold mining company with joint venture
operations on three continents, has a pipeline of development and exploration
projects, employs 689 people (excluding contractors) and produced almost 0.3
million ounces of gold in 2010. AE Gold is targeting growth in annual gold
production to 1 million ounces within five years.

Gold is one of the most precious and highly sought-after commodities. It has been
treasured by people and civilizations around the globe for thousands of years. While
its most common use is jewellery, gold is also an indispensable material in science
and technology because of its unique physical properties. Here are some of the
industrial uses of gold:

The market opportunity for gold in the investment sector is significant. From 2005 to
2010, total identifiable investment demand has grown over 380% and is the fastest
growing category of global gold demand. Gold is a hard asset that carries no default
risk. One of its primary roles is that of an insurance policy, providing protection
during times of widespread weakness in other asset prices.

The main reason that gold does not lose value over time is that the amount of gold
is finite. As the dollar goes up or down, gold also moves with it. Inflation affects the
dollar value and so investors try to protect themselves by investing in gold. This
way the investment will be safe as the current price of gold will remain constant,
with a tendency to rise.

Firstly, AE Gold raises its capital from issuing fresh shares with no borrowing; the
corporation has no need for any loans and has neither short nor long term debt.
Secondly, the corporation does not need any advertising like most public listed
companies that are actively seeking funding do. Thirdly, by having an administrative
office in Panama we are able to operate at the lowest possible overhead. Fourthly,
being based in a tax-free offshore jurisdiction, AE Gold is able to re-invest 15 to 40%
(normal onshore tax rate) more of its profits into income generating operations
every year.

Our investment product is available for individual investors to purchase in an
attempt to generate a profit. We offer willing investors from across the globe the
opportunity to participate in our ever expanding gold producing business by
subscribing to our company shares. Our shareholders can subscribe to a minimum
of 500 shares and our subscriptions can be cancelled at any time.

Our investment product pays our shareholders 5% return on investment every
seven calendar days. Dividends are paid into the shareholders credit account
without delay. Shareholders can then withdraw the credits from their credit account
using one of the payment methods available.

Each shareholder will have a credit account that can be managed online. In order to
subscribe to shares, shareholders need to have enough credits in their credit
account. Shareholders from participating countries have the option to deposit
credits in their local currency. We are currently offering our shareholders the

to another, using our online shareholder platform. Simply log in to your shareholder

Shareholders can upgrade their account any time after fulfilling some conditions.
Broker and Premier accounts benefit from the same features of a standard
shareholder account, with the addition of the Broker/Premier account features.

Compound investment represents the ability of an asset to generate earnings,
which are then reinvested in order to generate their own earnings. In other words,
compounding refers to generating earnings from previous earnings. Albert Einstein
called compound investments "the greatest mathematical discovery of all time". To
work, it requires two things: the re-investment of earnings and time. The more time
you give your investments, the more you are able to accelerate the income
potential of your original investment, which takes the pressure off of you.

Compounding is one of the most powerful ways to get investment growth and our
dividend reinvestment solution makes it fully automatic.

Each dividend that is reinvested buys more shares, which will result in a
higher dividend payment next time.
The process continues each time a dividend is reinvested, resulting in more

Every month incentive bonuses are awarded to shareholders that have been
especially active or highly productive during the 30 day accountable period.
Incentive bonuses can vary as follows:

Our shareholders are awarded a bonus every time a member referred by them buys
shares. Shareholders need to satisfy a set of conditions in order to qualify for the
referral bonus. Bonus values vary according to the shareholders status and all
bonuses and are paid into the shareholders credit account.

Group bonuses are awarded on a monthly basis. Shareholders need to satisfy a set
of conditions in order to qualify for the group bonus. Bonus values vary according to
