NOTICE
(for the attention of Equity Shareholders of the Company)
Sub.: Transfer of Equity Shares of the Company to Investor Education and
Protection Fund (IEPF) Suspense Account
This Notice is published pursuant to the provisions of the Investor Education and
Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016
("IEPF Rules 2016") notified by the Ministry of Corporate Affairs effective September
7, 2016.The IEPF Rules 2016, amongst other matters, contain proviSions for
transfer of all shares in respect of which dividend has not been paid or claimed
by the shareholders for seven consecutive years or more in the name of Investor
Education and Protection Fund (IEPF) Suspense Account.
Unclaimed or unpaid dividend for the year ended 31 st March, 2009 has been transferred
by the Company to the Investor Education and Protection Fund ("the Fund") within the
statutory time period and Unclaimed or unpaid dividend from the year ended 31st March,
2010 to the year ended 31 st March, 2015 is presently lying with the Company in unpaid
dividend accounts of respective years, maintained with the Banks.
In terms of the IEPF Rules 2016, the concerned Shareholders are being
provided an opportu nity to claim such dividend for the year ended 31 st March,
2010 and onwards by sending a letter under their signature so as to reach the
Company's Registrar & Transfer Agent(RTA), MCS Share Transfer Agent Limited,
(Unit: HEG Limited),F65, First Floor, Okhla Industrial Area, Phase-I, New Delhi
110020, Phone: 011-41406149-52, Email: admin@mcsregistrars.com by 27th
December, 2016, The details of the concerned Shareholders and shares due for transfer
to IEPF Suspense Account are available on the Company's website www.hegltd.com
under the section 'Investor Relations'.
Individual letters in this regard have been sent to the concerned Shareholders at their
address registered with the Company. In case the Company's RTA does not receive
any communication from the concerned shareholders at the aforesaid address by
27th December, 2016, the Company shall, with aview to complying with the requirements
set out in the IEPF Rules 2016, transfer the shares to the IEPF Suspense Account by
following the procedure prescribed therein, In case the shareholders have any queries
on the subject matter and the IEPF Rules 2016, they may contact the Company's
aforesaid RTA, whose details have been mentioned herein above.
