MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and entered into by and

between:

SAN FERNANDO NATIONAL HIGH SCHOOL, an educational

institution duly recognized and existing under the laws of the Philippines, located at
San Fernando, Sto. Domingo, Albay, herein represented by its Principal, Rosie G.
Bolofer, who is duly authorized to represent it in transaction herein after referred to
as FIRST PARTY.

-and-

Municipal Government of Sto. Domingo, a government institution

duly organized under the laws of the Philippines, with its office located at Sto.
Domingo, Albay, represented herein by its Municipal Mayor, Hon. Herbie B. Aguas
and Sangunian Bayan, who is duly authorized to represent it in this transaction,
herein after referred to as the SECOND PARTY;

-WITNESSETH-

WHEREAS, the FIRST PARTY is an institution dedicated to education that

protects and promote the right of every Filipino to quality, equitable culture-based,
and complete basic education where students learn in a child-friendly, gender-
sensitive, safe and motivating environment, teachers facilitate learning and
constantly nurture every learner, administrator and staff, as stewards of the
institution, ensure an enabling and supportive environment for effective learning to
happen, and lastly family, community and other stakeholders are engaged and share
responsibility for developing life-long learners.

WHEREAS, the FIRST PARTY is requesting for the transfer of ownership by

a Deed of Donation of a lot, with the Cadastral lot no. 2443 located at Barangay San
Fernando, Sto. Domingo, Albay where the current San Fernando National High
School is situated.

WHEREAS, the FIRST PARTY is allowed to fully utilize the subject property
for possible construction of additional school buildings and other educational facilities
for the benefit of the secondary student/residents of Sto. Domingo Albay.

WHEREAS, the SECOND PARTY is a government entity envision to promote

quality education to its constituents by supporting the advocacy of the Department of
Education in establishing additional educational facilities.
 WHEREAS, the SECOND PARTY agrees to donate and transfer ownership of
the said property in favor of the FIRST PARTY in support of the establishment of an
affordable and quality education that is proportionate to the public needs and
demands;

WHEREAS, all parties are cognizant of the need for cooperative endeavor
and fully aware of the mutual advantages and benefits that could be mustered in
undertaking a joint venture.

NOW, THEREFORE, for and in consideration of the above premises, the

parties hereunto have jointly agreed to implement a scheme designed to achieve
their common objectives as follows:

A. San Fernando National High School shall:

1. design, implement and evaluate future plans jointly with the Municipal
Government Sto. Domingo;
2. provide updates and information of present and future plans;
3. recommend and assist the Municipal Government Sto. Domingo for
present and future projects on the aforementioned lot;
4. coordinate with the Municipal Government Sto. Domingo on the
implementation of present and future programs;
5. require the property custodian a report book ready for inspection at
any given time;
6. provide administrative support for the monitoring of activities held in
the said lot;
7. ensure that the provision of this agreement are properly implemented
and coordinated.

B. The Municipal Government of Sto. Domingo shall:

1. ensure that the provisions of this agreement are properly

implemented and coordinated with San Fernando National High
School;

2. reserve the right to continue the use of the lot where the current San
Fernando Lagman Multipurpose Barangay Hall and Day Care Center
is currently situated and herein lot can be used for future
improvements.

C. EFFECTIVITY

This agreement shall take effect immediately upon signing hereof, and
shall continue thereafter, either party may terminate this agreement and anytime
by serving written notice to the other party, giving thirty days (30) lead time before
intended date of termination.
 It is mutually agreed upon that this agreement will not be modified except
by written amendment executed by the contracting parties.

IN WITNESS WHEREOF, San Fernando National High School and

Municipal Government of Sto. Domingo have hereto affixed their signatures and
have caused this agreement to be duly executed this ____ day of
