SALE DEED FORMAT

THIS SALE DEED is made and entered into at Mumbai on this day of
hereinafter called as the VENDOR (which expression unless repugnant to the
context or meaning thereof shall mean and include her, her legal heirs, executors,
administrators and assigns) of the ONE PART A N D ..Indian
Inhabitants and presently having their address at .. hereinafter
referred to as the PURCHASERS (which expression unless repugnant to the
context or meaning thereof shall mean and include them, their legal heirs,
executors, administrators and assigns) of the OTHER PART.

WHEREAS the VENDOR is a member of the ..registered with


the Registrar of Co-operative Societies at ., under the Registration No.
.having its address at ..(hereinafter being
referred to as THE SAID SOCIETY) and by virtue of being a member of the
said Society, he/she has been holding a Flat bearing no. on the floor
and admeasuring about xxx sq. ft. of carpet area equivalent to xxxx sq.mts. of
built-up area in a building known as ., and situated at

more particularly described in the Schedule hereunder (the said Flat hereinafter for
brevitys sake is being referred to as the the said Flat Premises on what is known
as Ownership Basis) vide Share Certificate bearing no xx for xxxx fully paid up
shares of Rs.x/each bearing distinctive nos from xx to xx (both inclusive)
hereinafter for brevitys sake is being referred to as the said flat.

AND WHEREAS the said flat was purchased by the Vendor mentioned herein
from one -----------------------------for a consideration and upon the terms and
conditions mentioned in the said Agreement dated .. and the said
.in turn had purchased the said flat from
..vide an Agreement dated .. for a consideration and
upon the terms and conditions as mentioned in the said Agreement dated
.
AND WHEREAS the Vendor has now represented to the Purchasers that he/she
has been holding the above said Flat Premises along with the said Shares as stated
hereinabove and being a member of the said Society, is desirous of disposing off
her rights, title and interest in the said Flat Premises along with the said Shares
and membership of the said Society and the Purchasers hereinabove have agreed
to acquire all the rights, title and interest of the Vendor in the said Flat Premises
along with the said Shares issued to her and membership of the said Society on
the following terms and conditions :

NOW THIS SALE DEED WITNESSETH AS UNDER :


1. The Vendor has agreed to transfer all his/ her rights, title and interest in the
said Flat Premises being flat no. xxx, on the .. floor in a building called
.., of the said Society viz. .and the
Purchasers herein have agreed to acquire all her rights, title and interest in
said Flat Premises, the said Shares and membership of the said Society for
a total consideration of Rs. .. (Rupees ..) only
inclusive of everything in lump sum.
2. The Purchasers have paid the entire sale consideration of Rs
..(Rupees ) only by a cheque/pay order
bearing no ..dated . and drawn on ..(Subject
to realization).

3. The Vendor doth hereby declare that the said Flat Premises is free from
all encumbrances, claims and demands whatsoever and is entitled to deal
with or dispose off the same and undertakes to keep the Purchasers

indemnified on this behalf. The Vendor has also agreed to sign and
execute all such transfer forms, papers and documents as may be necessary
in favour of the Purchasers or their nominee/s and shall put the Purchasers
or their nominee/s in quiet, vacant and peaceful possession of the said Flat
Premises.

4. The Vendor has given inspection of the zerox copies of all the documents,
Agreements, Share Certificate etc. in respect of the said Flat Premises to the
Purchasers and the Purchasers are satisfied as to the title of the said Flat
Premises being clear, marketable & free from all encumbrances and shall not
question the Vendor about the title of the said Flat Premises and the said
Shares in future.

5.The Vendor will pay and clear off the charges payable to the Society by way
of Municipal taxes and other dues/outgoings relating to the said Flat Premises
upto the date of handing over the physical possession of the said Flat Premises
and the said Shares to the Purchasers as per the Society Bills or any other dues
in respect of the said Flat Premises and has hereby agreed to keep the
Purchasers indemnified against any claims that may be made by the said
Society or anyone else in respect of the said Flat Premises and the said Shares
for the above period at a later date.

6. The Purchasers have hereby agreed to pay all the charges payable by way of
Municipal taxes and other dues/outgoings relating to the said Flat Premises and
the said Shares from the date of taking over the possession of the said Flat
Premises and the said Shares and hereby declare and confirm that they will
abide by the bye-laws of the said Society without any reservations whatsoever.

7.The Vendor hereby declares and confirms that the said Flat Premises and the
said Shares absolutely belong to her and she has not created any gift, pledge,
lease, loan, mortgage, charge, lien or encumbrances on the said Flat Premises
or the said Five Shares and that these are free from any gift, lease, loan,
mortgage, charge, lien, encumbrances or attachment of any Statutory
Authorities or otherwise and there is no litigation, stay or any legal
proceedings with regard to the said Flat Premises and the said Shares in any
Court of Law, Taxing Authority or with Municipality or Society Authorities.
The Vendor further undertakes to indemnify the Purchasers against any such
claim laid by anyone at a later date whatsoever.

8. The Vendor hereby releases, relinquishes, gives up, and surrenders, all her
rights, title and interest in membership of the said Society, the said Shares and
the said Flat Premises in favour of the Purchasers forever.

9. The Vendor hereby confirms that, he/she has handed over the said Share
Certificate in original, and zerox copies of all the Agreement/s and other
documents in respect of the said Flat Premises to the Purchasers for their
records.

10. The Vendor has executed all the relative papers required for the effective
transfer of the said Flat Premises and the said Shares in the names of the
Purchasers. However, in future, she also undertakes to co-operate with
Purchasers and will execute all such further papers/documents/writings
whatsoever for the effective transfer of the said Flat Premises and the said
Shares in favour of the Purchasers.

11. The Vendor hereby confirms that she shall arrange to obtain the said
Societys NO OBJECTION CERTIFICATE for transfer of the said flat and
the said shares in favour of the Purchasers mentioned herein and further
confirms that she shall get the said flat and the said shares transferred in the
records of the said Society in the names of the Purchasers.

12. The Society transfer charges/fees/donations will be shared equally between


the Vendor and the Purchasers. However, the Stamp Duty, the Registration
charges and out of pocket expenses, if any, will be borne and payable by
the Purchasers alone. The Purchasers indemnify the Vendor from any such
claim laid in this regards at a later date.

13. Should there be any claim in respect of the said Flat Premises and the said
Shares from any person or persons or any authority pertaining to any period
prior to the transfer of the said Flat Premises and the said Shares in the
names of the Purchasers, the Vendor hereby agrees to indemnify the
Purchasers against any such claims by settling such claims from her own
funds only and taking all legal responsibilities upon herself.

14. The Vendor hereby undertakes and declares that in case any nomination,
assignment, lien or charge in respect of the said Flat Premises and the said
Shares have been made and/or created by the Vendor and/or any one

claiming through her prior to this day, in favour of any person or persons
other than the said Purchasers, the same shall after the EXECUTION of
THESE PRESENTS be deemed to be null, void, inoperative and cancelled
and deemed to be withdrawn and not binding upon the said Society and/or
the Purchasers.

15. The Vendor has transferred the said Shares and his/her interest in the said
Flat Premises and the said Shares to the Purchasers and the Purchasers are
to hold, possess, occupy and enjoy the said Flat Premises and the said
Shares without any interruption from the Vendor and the Vendor hereby
further declares that he/she has full right and absolute authority to enter into
this Sale Deed and transfer the said Flat Premises and the said Shares and
that she has not done or performed any act, deed, matter or things
whatsoever whereby he/she may be prevented from entering into this Sale
Deed as purported to be done hereby or whereby the Purchasers may be
construed, prevented or hindered in enjoying the rights to be conferred or
transferred or assigned in their favour or whereby quiet and peaceful
enjoyment and possession of the Purchasers in respect of said Flat Premises
and the said Shares may be disturbed and in the event of it being found that
the Vendor was not entitled to enter into this Sale Deed and transfer his/ her
rights sought or purported to be transferred hereby and the Purchasers are
not able to enjoy the quiet and peaceful possession of the said Flat
Premises and the said Shares due to any reasons whatsoever, the Vendor
shall, within the limits of the consideration mentioned hereinabove and
received, be liable to compensate, indemnify and/or reimburse the
loss/damages which the Purchasers may suffer or sustain in this behalf.

16. The Vendor hereby undertakes to furnish all documents, which may be
required by the Purchasers to make title of the said Flat Premises and the
said Shares complete and absolute, without claiming any extra charges or
compensation. The Vendor also agrees and undertakes to sign any other
documents or forms for the payment of Stamp Duty to be paid on this Sale
Deed.

17. The P.A.N. of the Vendor Mr/ Msis XXXXXXXXXXXXX and the
P.A.N. of the Purchasers Mr./Msxxxxxxxxxxxxxxxx is xxxxxxxxxxxxx

18. This Sale Deed has been made and executed in Mumbai, the property is
situated at Mumbai, and the payments are made in Mumbai and hence it is
subject to the jurisdiction of Mumbai Courts of Law.
