Receipts from the sale of concessions, programs, souvenirs, radio rights (other than the radio rights contracts of Visiting Institution), and my post-geme event of show featuring taped replay of the contest in whole or in part, shall belong solely to the home team. The visiting institution shall be entitled to retnin any receipts from post-game replay of the contest in its ‘immediate home media market, if said replay is approved by the ome teamn’s Conference at set forth below.Page 2 0f3 7. The visiting team acknowledges and agrees that (a) all rights to telecast or distribute (ive ‘or delayed, whole or condensed (including highlights), throughout the universe, in any and all ‘markets, in any ahd all janguages and via acy’and all forms of media and methods of distribution ‘and distribution technology) home team’s football games have been assigned by home team to their respective Conference , which in tum has entered into agreements with certain third partes for the telecast or distribution of such games, (b) home team has no ability to grant to visiting team any tights for the telecast or distribution of games played pursuant to this Agreement (0) ‘The home team’s conference shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement, Notwithstanding the foregoing, the respective rights, if any, of lawn and lowe State with respect to the telecast or distribution of games played pursuant to this Agreement in which they are the visting football ‘team (and the revenues derived thereftom) shall be governed by a separate agreement between the home team's conference and the visiting team, Said separate agroment shall govern certain aspocts of any football games played between the member institutions of the home team's conference and the Visiting team, provided, that in the absence of any such separate agreement, the terms of this Agreement shall control, ‘The visiting tour shall have the right to produce films and/or videotapes of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches’ show only and for no other purpose. Such films and/or videotapes may not be replayed, used or otherwise distributed by visiting team to any person other than the incorporation of upto eight minutes (8:00) of highlights of the game es part of a weekly coaches? show and to its football team conthes and players. Home team agrees to provide reasonable fecilities for such cameras as ‘maybe reasonably required by visiting team to produce such films and/or videotapes. Any other usage by visiting team of footage of games played pursuant to this Agreement shall be governed by «separate agreement between the home team’s conference and the visiting team. Visiting team acknowledges that the home team’s conference’s media agreements prohibit acoess to television production feeds by third parties, but visiting team may sock access to game footage from the home team's conference through a separate agreement between the home team's conference and the visiting team. 8. The visiting institution shell be entitled to receive up to 3,500 tickets for the contest, of which 500 tickets will be designated for use by the visiting team’s marching band. There shall be ‘no complimentary tickets allocated to the visiting institution. ‘The visiting institution agrees to ‘request only the number of tickets it can reasonably sell for this contest. The visiting institution shall pay the bost institution for all tickets requested and not retuned in a timely manner, No more than 100 tickets shall be rotumed by visiting institution within five days prior to the contest. Payment in full shall be received by host institution within seven days after the contest, 9, In order to assist visiting institution in fulfilling its contractual obligations in connection with the sale of radio rights to its contests, host institution agrees to provide adequate facilities for one radio origination(6) of the contest. It is understood, however, that host institution shallPage 3 of 3 not be requifed to alter or otherwise expand its existing radio facilities at the site to accommodate visiting institution’s radio contractor, 10. It is understood by the parties hereto that, that should either perty be unable to perform the terms and conditions of this contract due to Acts of God and nature including but not limited to, strikes, war, or other unusual occurrence beyond the control of that party, which makes it desirable or necessary to cancel all or any portion of this contract, said party shell immediately indicate in writing the necessity to cancel the contract or « pottion thereof and the contract to that connection with its performance hereunder priot to said cancellation shall be bome by the party ineurring said expense. Both parties agree due to the significant financial bandship incurred by the home team, to make every effort to reschedule or add an additional year to this Agreement in furture years should a contest be cancelled for teasons cited in this paragraph, TL. Should either the Big 12 or Big Ten Conference change their scheduling protocol to ada additional conference games, the school whose conference makes the change shall coniact the ‘other school to discuss the feasibility of continuing this series. If it is not feasible to contine the series, tho parties agree that this agreement shall become nul! and void and neither party shall owe the other any damages, provided the parties have each hosted the same nuraber of home contests under this Agreament and/or the requesting school has hosted an equal number or lees contests in the series, 12, With the exception of the exigencies set forth in paragraphs 10 or 11, the parties hereto recognize and understand that the decision of one party to cancel this agreement would cause the non-breaching party significant damage, both financial and otherwise, and agree that such a breach shall entitle the non-breaching patty tothe sum of $1,000,000 as liquidated datnages. Itis sgreod that « determination of the damages for any evest can be difficult to predict, 00 this sum shall represent liquidated damages to the non-breaching party.
