3. TERMS AND CONDITIONS

We have based our proposal on our standard terms and conditions. Those terms are included
herein for reference. However, once purchase activity becomes crucial, we would be willing to
negotiate project specific terms to arrive at a mutually agreeable contract.

The primary areas of importance from our perspective are progress payment terms, delivery /
liquidated damages, and indemnity / consequential damages. Some comments on those points
are as follows :

Validity : This price is valid for 30 days after date of offer.

Cancellation Schedule

1 Up to 4 weeks ARO : 10% of order Value

2 5 to 6 weeks ARO material order

3 7 to 8 weeks ARO : above (item2) + 20% of order value

4 9 weeks ARO up to shipment : above (item3) + labor cost at US $ 70 per hour

Indemnity / Consequential Damages

PT. BAC does business in a prudent and fair manner. The Indemnity and Consequential
Damages clauses in our standard terms are based on each party taking equal responsibility for
their actions. In general any contract terms, in regard to liabilities, should be according to the
guidelines offered in our proposal.

Price Validity
The validity of this price is 30 days from date issued.

Warranty
PT. BAC warrants that the goods delivered under this contract will be free from defect in
material and workmanship for a period of 18 months from delivery or 12 months from installation
whichever is earlier. The sole remedy for breach of this warranty is the repair or replacement

(at the option of PT. BAC) of the defective good, and PT. BAC will not be liable under this
warranty for labor to remove or reinstall the good, for transportation or freight on the good or any
replacement good, for down time or for any other costs. Goods, which PT. BAC determines to
have been subjected to abuse or other improper use, will not be entitled to the benefits of any
warranty by PT. BAC. THERE ARE NO WARRANTIES, WHICH EXTEND BEYOND THE
FACE OF THIS AGREEMENT.

The responsibility of PT. BAC is limited to the repairing or replacement of defective materials
supplied by them. PT. BAC will not be responsible for loss of liquid or for damage of any kind or
from any cause to the person or property of others, or for loss of profit or loss of use.

This guarantee does not apply to any part or equipment whose defect or malfunction is
determined to be a result of customer fault due to improper installation or operation not in
accordance with PT. BAC instructions for assembly, erection, testing and/or operation. PT.
BAC will not warrant prover internal coatings damaged by abrasive materials. PT. BAC will not
warrant equipment damaged by lightning or other high voltage discharges or surges.

PT. BAC guarantees that all equipment offered and supplied under a Contract based on this
Proposal shall be of new, unused materials of the best quality representing latest design
features at the effective date and that no secondhand or repaired parts shall be delivered.

Taxes
The buyer shall reimburse the seller for any sales, use, occupation or similar tax arising out of
the sale upon receipt of the seller's invoice for the amount of the tax or shall provide the seller
with a Tax Exemption Certificate acceptable to the appropriate taxing authorities.

Title
The title to right of possession and risk of loss of the products (or any part or portion thereof)
furnished by the seller shall pass to buyer at our Plant, and shall remain personal property until
paid in full. In the event buyer breaches this contract or his duty to pay hereunder, title, and the
right to possession shall, at the option of seller, revert to seller.

Performance
The seller will not be responsible for any delay or failure in performance caused by
circumstances beyond the reasonable control of the seller and affecting the seller or others,
including but not limited to the following: Acts of God, the government or the public enemy,
riots, embargoes, strikes, or other concerted acts of workmen, casualties or accidents, delays in
transportation, and shortage of cars, fuel, power, labor or materials.

Consequential Damages
Neither party shall be liable to the other in contract or in tort, directly or under any indemnity, for
any indirect, special, or consequential damages, including but not limited to lost profits,
production down time, reservoir loss/damage, environmental/pollution damage, etc.

Cancellation
No order, or portion thereof, for catalog or non-catalog items of special design may be canceled
by the buyer except upon written notice to the seller and upon payment to the seller of all costs
including normal profit incurred by the seller and arising out of or in connection with the order,

determined on a basis consistently observed by the seller and in accordance with sound
accounting principles.

Modifications
No waiver or modification of any of the foregoing terms and conditions of sale shall be valid
unless it is made in writing and signed by both parties. The failure of the seller to enforce any
right possessed under the foregoing terms and conditions of sale shall not constitute a waiver
thereof or establish a custom.

Indemnifies
A. Personal Injury

to Workers
Each party should be responsible for its own employees.

Back-to-Back -- Customer indemnifies PT. BAC and its subcontractors against all personal
injury suits by employees of Customer and its other contractors arising out of the Work.
PT. BAC indemnifies Customer and its other contractors against all personal injury suits
by employees of PT. BAC and its subcontractors arising out of the Work.
to Others
PT. BAC will indemnify Customer and its other contractors against personal injury/death
claims by other persons arising out of the Work, but only to the extent PT. BAC or its
subcontractors caused the injury/death. Customer should similarly indemnify PT. BAC
and its subcontractors, but may limit the indemnity to the extent the injury/death was
caused by the Customer or its other contractors.

B. Property Damage

to Parties' Property
Each party should be responsible for its own property.
Back-to-Back -- PT. BAC will not sue the Customer or its other contractors for damage to
PT. BAC property arising out of the Work, and will indemnify Customer and its other
contractors against suits by PT. BAC subcontractors for damage to their property arising
out of the Work. Customer will not sue PT. BAC or its subcontractors for damage to
Customer property arising out of the Work, and will indemnify PT. BAC and its
subcontractors against suits by Customer's other contractors for damage to their property
arising out of the Work.
to Others' Property
PT. BAC will indemnify Customer and its other contractors for loss or damage to property
of third parties arising out of the Work, but only to the extent the loss or damage was
caused by PT. BAC or its subcontractors. Customer should similarly indemnify PT. BAC
and its subcontractors, but may limit the indemnity to the extent the loss or damage was
caused by the Customer or its other contractors.

Specification, Standards, Laws, Regulations and Other Statutory Requirements

Unless otherwise noted in this Proposal, PT. BAC takes exception to compliance to any
Specifications, Standards, Laws, Regulations and other Statutory Requirements that are not
submitted with the Inquiry documents or otherwise known to PT. BAC. Compliance to

specifications and standards that are included in this Proposal are specifically denoted in other
sections of this Proposal.

The product, and/or technical data proposed herein, is subject to regulation of its possible
export by the Indonesia Department of Commerce, Export Administration in part or entirety.
This includes, but is not limited to validated export license and/or general license regulation of
equipment, services and technical data restricted.

Should this proposal be accepted, and subsequent purchase agreements entered into, the
manufacture and construction delivery schedule proposed herein shall commence upon receipt
of required documentation, including but not limited to : Form ITA-629, Statement by ultimate
consignee and purchaser, import certificates, end-use certificates, and written assurance
documents for export licensable equipment, services and technical data restricted, where
applicable.

PT. BAC will assist in execution of, but shall not undertake or assume responsibility, and/or any
financial liability for documentary transmissions, and/or denial of permission to export equipment
or technical data, and services restricted by the U.S. Department of Commerce, Export
Administration.
