Ten(10)YearLimitedProductWarranty

Subjecttotheexclusionscontainedbelow,CanadianSolarInc.(CanadianSolar)warrantstotheoriginalbuyer(theBuyer)thatthemodules
shallbefreefromdefectsinmaterialsandworkmanshipthathaveaneffectonmodulefunctionalityundernormalapplication,installation,
useandserviceconditionsasspecifiedinCanadianSolarsstandardproductdocumentation.

CanadianSolarguaranteesthatthemodulewillmaintainthemechanicalintegrityandstabilityinaccordancewithapprovedoperationmethods
describedinourinstallationinstructions;theglassofamodulewillmaintainitsintegrityprovidedtherearenoindicationsoflocalizedimpacts
orexternalforces;andthatthecableandconnectorplugofamodulewillremainsafeandoperationalprovidedmodulesareprofessionally
installed.Anydamagescausedbyabrasion,improperinstallationoranimalsareexemptfromthiswarranty.

ClaimsunderthewarrantycanonlybeacceptediftheBuyercanprovideproofthatthemalfunctioningornonconformityofamoduleresults
exclusivelyfromdefectsinmaterialsand/orworkmanshipundernormalapplication,installation,useandserviceconditionsspecifiedin
CanadianSolarsstandardproductdocumentation.Anycolorchangeonmoduleoranyotherchangesonmoduleappearancedonotrepresent
defects,insofarasthechangeinappearancedoesnotstemfromdefectsinmaterialand/orworkmanship,anddoesnotcausedegradation
offunctionalityofthemodule.Iftheproductfailstoconformtothiswarranty,CanadianSolarwill,atitsoption,eitherrepairorreplacethe
product,orprovideanappropriateresidualmarketvalueoftheproduct(s)ascompensation.


TwentyFive(25)YearLimitedPerformanceWarranty

CanadianSolarguaranteesthatforaperiodoftwentyfiveyearsthemodulewillmaintainaperformanceassetforthbelow:
Duringthefirstyear,CanadianSolarguaranteestheactualpoweroutputofthemodulewillbenolessthan97%ofthelabeledpoweroutput.
Fromyear2toyear24,theactualannualpowerdeclinewillbenomorethan0.7%;bytheendofyear25,theactualpoweroutputwillbe
nolessthan80%ofthelabeledpoweroutput.

TheactualpoweroutputofthemoduleshallbedeterminedforverificationusingStandardTestingConditionsonly.Theactualpoweroutput
measurementiseithercarriedoutbyaCanadianSolarfacilityorbyaCanadianSolarrecognized3rdpartytestinginstitute.Testingequipment
toleranceswillbeappliedtoallactualpoweroutputmeasurements.

IntheeventitisdeterminedthatthereisanegativedeviationofactualperformancefromthewarrantedvaluesthenCanadianSolar,atits
option,willcompensateforsuchlossinpowerbyeitherprovidingtotheBuyeradditionalmodulestomakeupthetotalwattageloss,orby
repairingorreplacingthemodulesorprovidinganappropriateresidualmarketvalueoftheproduct(s)ascompensation.


WarrantyEffectiveDate

Thewarrantyeffectivedateshallbedefinedasthedateofinstallationorninety(90)daysafterthedeliverybyCanadianSolar,whicheverdate
isearlier.


Exceptions

ThelimitedwarrantiessetforthhereinDONOTapplytoanymodulewhichhasbeensubjectedtonegligenceintransportation,handling,
storageoruse,orhasbeenrepaired,orinanywaytamperedwith,orwhichhasbeensubjectedtoextraordinarysaltorchemicalexposure,or
whichhasbeensubjectedtoimproperinstallation,application,alteration,unauthorizedservice,orwhichhasbeensubjectedtopowerfailure
surges,flood,fire,directorindirectlightningstrikes,orotheractsofnature,orwhichhasbeensubjectedtoaccidentalbreakage,vandalism,
explosions,actsofwar,orothereventsoutsideCanadianSolarscontrol.Unlessotherwiserequiredbyanymandatoryapplicablelaw,the
limitedwarrantiesdonotcoveranytransportationcostsforreturnmodules,orforreshipmentofanyrepairedorreplacedmodule,orany
othercostassociatedwithinstallation,removalorreinstallationofmodules.

Inaddition,thelimitedwarrantiesdonotapplytoanycosmeticchangeinappearancestemmingfromthenormalwearandtearovertimeof
productmaterials.Warrantyclaimswillnotapplyiftheproductlabel,typeorserialnumberoftheapplicableproducthasbeenaltered,
removedormadeillegible.

ClaimVerificationandRemediationProcess

IftheBuyerbelievesthatithasajustifiedclaimcoveredbythelimitedwarrantiessetforthabove,thentheBuyershallcomplywiththefollowing
returnmaterialauthorization(RMA)process.TheBuyermustsubmitsuchclaiminwritingtoCanadianSolarwithintheapplicablewarranty
periodspecifiedabovetothefollowingaddress,orsuchfutureaddressasCanadianSolarmayprovidefromtimetotime:

SuchnoticeshouldencloseevidenceofthedateofdeliveryoftheapplicableproductandthebasisfortheBuyersclaim.

Warrantyclaimsmayonlybemadebytheoriginalbuyerorapersontowhomthetitletotheapplicablemodule(s)hasbeentransferred,
providedthatthemodulesremainintheiroriginallocationandconfiguration.

Uponreceiptofsuchwrittenclaim,CanadianSolarmayseekfurtherverificationoftheBuyersclaimofabreachofoneoftheforegoinglimited
warranties.Exceptasotherwisesetforthabove,theBuyerwillreturntheallegedlydefectiveproductstoCanadianSolarinaccordancewith
writtenRMAauthorizationandreturnpackagingandshippinginstructionsfromCanadianSolar.Thereturnofanyproductwillnotbe
acceptedbyCanadianSolarunlesspriorwrittenauthorizationhasbeengivenbyCanadianSolarandtheBuyerhascompliedwiththepackaging
andshippinginstructionsprovidedbyCanadianSolar.

IfCanadianSolarverifiesinitsreasonablejudgmentthatamoduledoesnotcomplywiththelimitedwarrantiessetforthabove,thenCanadian
Solar,atitsoption,willeitherrepairtheaffectedmoduleandreturnittotheBuyer,provideaneworrefurbishedreplacementmodule
shippedtotheBuyerattheBuyersexpense,orprovideanappropriateresidualmarketvalueofthereducedperformanceofproduct(s)as
compensation.Anyrepairorreplacementofanaffectedmoduleshallnotincreasetheapplicablewarrantyperiod.CanadianSolarreserves
therighttodeliverasimilarmodule(ofsimilarsize,color,shape,and/orpoweroutput)inreplacementofthereturnedmoduleshouldthe
productionofthereturnedmodelbediscontinuedorotherwiseunavailable.Ownershipofallmoduleswhichhavebeenreplacedispassed
toCanadianSolar.

EXCEPTASOTHERWISEPROVIDEDBYAPPLICABLELAW,THEFOREGOINGREMEDIESSTATECANADIANSOLARSSOLEANDEXCLUSIVE
OBLIGATIONANDTHEBUYERSSOLEANDEXCLUSIVEREMEDYFORABREACHOFTHEFOREGOINGLIMITEDWARRANTY.

NotIndependentWarranties

TheBuyerhastherighttopursueclaimsundereachofthewarrantiessetforthabove;providedthatifclaimsariseundermultiplelimited
warrantiesfromasingleincident,thenifCanadianSolarremediessuchincidentsassetforthabove,CanadianSolarshallbedeemedtohave
resolvedallapplicablewarrantyclaimsarisingfromsuchanincident.
