COMPROMISE AGREEMENT

This Agreement executed this _________ at ____________, by and between:

WPH TRANSPORT SERVICE CORPORATION, herein represented by

HAROLD DELA CRUZ, with address at Lot 2 corner Causeway Extension,
Binictican Drive, Subic Bay Freeport Zone (hereinafter referred to as the
Defendant).

VICTORY LINER INC., herein represented by LAUREANO S. NAVA, with

address at Brgy. Apo-Apo, Cabangan, Zambales (hereinafter referred to as the
Plaintiff).

WITNESSETH: That -

WHEREAS, the plaintiff VICTORY LINER INC. and defendant WPH

TRANSPORT SERVICE CORPORATION have instituted several actions against
each other in the past.

WHEREAS, the plaintiff VICTORY LINER INC., instituted the present

action for reconveyance of Reckless Imprudence Resulting in multiple Less
Serious Injuries and Damage to Property.

NOW THEREFORE, in consideration of the foregoing and the further

covenants hereinafter set forth, the parties agree as follows:

1. Plaintiff shall be paid the sum of TWO HUNDRED THOUSAND PESOS

(PhP200, 000.00).

2. This Compromise Agreement shall not affect nor prejudice any case or
cases between the parties not specifically referred to herein.

3. The signatories to this Agreement hereby represent and warrant that they
are duly authorized to execute this Agreement.

4. The parties or their assigns hereby waive, renounce and forever

quitclaim all their respective claims and counterclaims subject of the
instant action as well as those that may arise therefrom, in connection
therewith or in relation thereto.

5. The foregoing covenants are not contrary to law, morals, or public policy
and the parties bind themselves to comply strictly with their
undertakings.
 Both parties have executed this Agreement by their own voluntary act
and deed and in their mutually agreed terms. Both parties warrant further,
that they did so with the full understanding of its nature and its consequence
to the pending Case.

IN WITNESS WHEREOF, parties herein affixed their signatures on the

date and place above written.
