This contract is made on the day of 21december, 2012.

Grameen phone limited, is a private company incorporated under the relevant laws of
Bangladesh, having its register address at Grameenphone Ltd, GPHOUSE, Basundhara
Baridhara, Dhaka-1229 (hereinafter referred to as the EMPLOYER)
Hasan Md. Iqbal Kabir, Son of Md. Abdus Salam, under the relevant laws of Bangladesh,
residing at 65/1 north vasantek, Dhaka cantonment, Dhaka- 1206, (hereinafter referred to as
the EMPLOYEE").
AND whereas, the employer and employee agreed to enter into this agreement on the
following Terms and conditions.

Terms and conditions of employment

Scope of work:

The Employee shall be employed as Management Trainee Officer (MTO) and he/she shall
also be required to carry out associated functions as the Company may from time to time
require. The position will reports to the floor manager.
The duties of the employee are those attached to this employment agreement. Other duties
reasonably within the capability of the employee may also be required from time to time. The
employees duties may be altered following consultation with the employee.

Probationary Period:

A probationary period of 6 (six) months will apply. A letter, notifying the Employee of
his/her appointment to permanent staff, will be issued at the end of a successfully completed
Probationary Period.

Hours of Work:

The hours of work shall be 9 a.m. to 5 p.m. on Sunday to Thursday and from 9 a.m. to 3 p.m.
on Saturday.
Overtime will only be worked if agreed upon between the parties from time to time. The
employee will be paid for the overtime at the rate of one and half times his/her total wages.

Remuneration and payment:


The Employees annual salary shall be Tk. 4,80,000. Payment shall be made monthly and
shall be by direct debit into the Employees bank account, the account details to be provided
by the Employee to the Company on the execution of the within contract. The employer will
deduct Health Insurance and Income Tax as required by the law. The employer may also
deduct any overpayment of wages or holiday entitlement.
The employee will be entitled to be reimbursed for all reasonable expenses properly incurred
in the performances of his/her duties in accordance with the employers expenses policy. The
employer reserves the right to amend, very or alter the policy on expenses at any time.

Health and safety:

The employer recognizes that safe working practice is a joint concern for the employer and
its employees. The employer is responsible for ensuring that working conditions confirm to
statutory requirements. To comply with these requirements there must be an acceptance on
employees part to act in a responsible manner and not to indulge in unsafe working
practices.
The employee shall take all reasonable precautions for their health and safety and the health
and safety of other employees. In particular, the employee shall comply with all rules and
policies concerning health and safety which apply from time to time.
These obligations include:
Constantly being vigilant in continuing to identify hazards.
If the employee become aware of any hazard or accident that may affect their or any
other persons health and safety, the employee must immediately report the matter to
the employer.
The employee shall report any workplace injury or illness, including stress related
illnesses, to the employer as soon as the employee become aware of the injury or
illness.
In the event of any workplace injury or illness being reported:
The employee consents to the collection and release of all medical information
including any notes, current or historical, regarding the injury or illness or any pre-
existing conditions that may have contributed to the injury or illness; and
The employer may require the employee to undergo a medical examination or
assessment, at the employer's expense, by a registered medical practitioner or
specialist nominated by the employer and to furnish a report of such visit to the
employer.

Annual and other leaves:


Annual leave: Annual Leave is provided in accordance with the Act. The Employee is
entitled to annual leave of 4 weeks per year after each 12 months continuous service. Annual
leave is to be taken at a time or times that the employer and the Employee agree. In the
absence of agreement, annual leave will be taken at a time or times directed by the employer
on expiry of at least 14 days written notice of the date that annual leave is to start. All annual
leave should be taken no later than one year from the date that it accrues. Untaken annual
leave will be paid out upon the termination of the employee's employment.
Sick leave: The Manager must be notified as soon as possible after 9.00 am in all cases where
a member of the staff is unable to attend at the place of work. A medical certificate is
required if absence extends beyond three consecutive days and should cover the period until
the staff member is declared fit for work.
Leave of Absence: Approval and duration of unpaid personal leave shall be at the discretion
of the Company.

Termination:
Either party will give neither more nor less than 90 days notice of termination of
employment. Notice must be given in writing. The company reserves the right to pay out the
employee's notice period instead of the employee working out their notice.
If the employee gives less than the proper notice, the company is entitled to deduct the
balance of unworked notice from any money owed to the employee or to otherwise recover
the sum. During the notice period, the company may require the employee to cease some or
all of their normal duties and to substitute others in their place.
Upon termination of this agreement, the employee will immediately return to the employer all
books, papers, records, documents, motor vehicles, products, keys and access or security
cards and any other items of the companys property which the employee have in their
possession or use.
Poor performance or misconduct: Proper cause for termination of employment will arise in
the event of repeated poor performance or misconduct. In either event, reasonable
performance improvement procedures shall apply prior to any termination notice being given.
Incapacitation: The company may terminate the employee's employment upon giving the
notice required if the employee suffers illness or injury that would incapacitate them from
carrying out their duties under this agreement and this incapacity continues for a period of
more than 30 working days, or The employee is incapacitated at different times for more than
60 working days during any one 12 month period.

Miscellaneous:
Standard of Dress: All Employees are expected to conform to an acceptable standard of
dress to ensure that the image as presented to customers, colleagues and associates is in
keeping with the proper professional approach of the Company.
Confidentiality: The Employee will not, during or at any time after the termination of your
employment, disclose to any person or persons (except to senior Employees of the Company)
nor use for your own benefit any confidential information that you may receive or obtain in
relation to the affairs of the Company or its Clients.
Alteration to Terms of Employment: Any alterations in the Regulations of Employment
affecting staff individually will be notified by a letter or memorandum, but any general
alteration will be communicated in a Circular to be seen by all members of staff.
