CONSTITUTION

YESODEY HATORAH SCHOOLS

1. The Name of the Organisation shall be "Yesodey Hatorah Schools".

2. The objects of the Organisation shall be:

(1) to make provision for (a) religious education in accordance in all respects with the

code known as the Shulchan Aruch of Rabbi Joseph Karo as interpreted and expanded by the

recognised commentaries thereon and (as to which in the event of any dispute the decision

of the Rabbinical Committee hereinafter referred to shall be final and binding) and (b) secular

education in conformity with the statutory provisions for the time being in force and current

educational practice and standards for the benefit of Jewish children of school age free of

charge where circumstances shall render it necessary or desirable

(2) to establish and maintain and contribute to and assist with the establishment and

maintenance of fully equipped residential and non-residential school with trained and efficient

staff for the purpose of the aforementioned objects

(3) to co-operate with other charitable organisations and institutions having objects

of a like nature with any of those of the Organisation

(4) to appeal for and collect and receive funds donations and other monies for any of

the objects of the Organisation

(5) to do all such other lawful things as may be necessary for the furtherance and

attainment of any of the objects of the Organisation

It is hereby expressly declared that the objects set out in sub-clauses (2) to (5) of this

clause shall be merely ancillary to the main object of the Organisation as expressed in sub-

clause (1) of this clause

3. The Organisation shall be governed by a Council comprising (a) a Rabbinical

Committee of not less than 7 nor more than 21 persons possessing recognised rabbinical

qualifications and (b) an Administrative Committee of not less than 7 nor more than 21

persons. The Rabbinical Committee and the Administrative Committee shall be appointed

in manner provided in Clauses 5 and 6 hereof.

4. (A) The Council shall have the following powers

(i) To decide to what extent and for what purpose moneys are to be

applied

(ii) To invest money in the names of the Trustees of the Organisations

and * sell and vary such investments

(iii) To acquire in the names of the Trustees of the Organisation any

property for the use of the Organisation and to repair improve and

rebuild and (subject to obtaining such statutory consents as may be

required) to mortgage * lease sell dispose of or otherwise deal with

the same

(iv) To borrow or raise money,for the purpose of the Organisation on such

terms and on such security as the Council may think fit subject to

obtaining such authority approval or consent as may be required by

law

(v) From time to time to appoint upon such terms as it may think fit and

dismiss the Principal of any school established and maintained by the

Organisation

(vi) To delegate any of its powers to an Executive Committee consisting

of the Honorary Officers (as defined in sub-Clause (C) (1) of this

Clause) and such other members of its body as it may think fit

(vii) From time to time to appoint the Trustees of the Organisation (being

not less than three in number) and by a two-thirds majority vote at a

meeting specially convened by 21 days prior notice for that purpose

to remove any Trustee or Trustees and for this purpose the Chairman

of the meeting of the Council at which the appointment and/or

removal is made shall by deed duly appoint the person or persons

nominated and every statement of fact in such deed contained shall be

conclusive evidence thereof

(viii) Generally do all such other acts and things proper necessary or

expedient for the conduct of the affairs of the Organisation

(B) (i) Subject as hereinafter provided the Council shall meet and otherwise

regulate its meetings as it may think fit

(ii) Seven members shall form a quorum. Provided that (a) in the case

of a Special Meeting of the Council called for the purposes mentioned

in sub-clause Ctiii) hereof the quorum shall be one half of the existing

members of the Council and (b) in the case of a Special Meeting of

the Council called for the purposes mentioned in Clause * hereof the
quorum shall be two thirds of the existing members of the Council

(iii) In case of equality of votes the Chairman shall have a casting vote

(C) (i) The Council shall meet in the year 1968 and once in every third year

thereafter at such time (being not earlier than 28 days after the

meeting of the Electoral Committee hereinafter referred to for such

year) and at such place as the Administrative Committee shall decide

for the purpose of appointing the Honorary Officers of the

Organisation who shall be a Chairman a Vice-Chairman two Honorary

Treasurers and two Honorary Secretaries who shall (subject as

hereinafter provided) hold office until their successors have been

appointed

(ii) The first Honorary Officers of the Organisation shall be:

Chairman: Mr Gerson Berger

Vice-Chairman: Mr Izak Kohn

Honorary Treasurers: Mr Baruch Mozes Cymerman and

Mr Chaim Schlaff

Honorary Secretaries: Mr Miximilian Schreiber and

Mr Heinz Joseph Lobenstein

and they shall (subject as hereinafter provided) hold office until their

successors are appointed at the Meeting of the Council to be held in

the year 1968as hereinbefore provided or until resignation

(iii) Any of the Honorary Officers may be removed from office by a

resolution passed by a majority of not less than two thirds of the

members present and voting at a meeting of the Council specially

convened by 21 days prior notice in writing for that purpose

(iv) Casual vacancies among the Honorary Officers shall be filled by a

simple majority vote of the Council at a meeting specially convened

by 14 days prior notice in writing for that purpose

5. (A) (i) The Rabbinical Committee shall have the power to and shall supervise

and control the religious educational activities of the Organisation

(ii) The First Members of the Rabbinical Committee shall comprise the

and they shall (subject as hereinafter provided) hold office for life or

until resignation

(B) (i) The Administrative Committee shall have the power to and shall

supervise and control (a) all the secular educational activities of the

Organisation including the appointment and dismissal of the Head

Teacher the Secretary and the teaching and other staff (other than the

Principal) subject to the right of the Rabbinical Committee to veto any

decision of or any appointment by the Administrative Committee (b)

all the administrative and financial affairs of the organisation

(ii) The First Members of the Administrative Committee shall (in addition

to the Honorary Officers who shall be ex-officio members) comprise

the following persons:

Isaac Presman Judah Hirsh Hager

Bela Deutsch Mendel Getter

and such persons shall (subject as hereinafter provided) hold office

until their successors are appointed at the meeting of the Electoral

Committee to be held in the year 1968 or resignation

(C) . Any member of the Rabbinical or Administrative Committees (other

than the Honorary Officers) may be removed from office by a

resolution passed by a majority of not less than two thirds of the

members of the Committee of which he is a member present and

voting at a meeting of such Committee specially convened by 21 days

prior notice in writing for that purpose

(D) (i) The Rabbinical and Administrative Committees shall each meet not

less than once every three months

(ii) At meetings of the Rabbinical and Administrative Committees the

quorum shall be one third of the number of the existing members of

such Committee Provided. that in the case of. a Special Meeting

convened for the purpose mentioned in sub-clause (C) hereof the

quorum shall be two thirds of the existing members of such

Committee

(iii) The Administrative Committee shall have power to appoint such

standing and/or other committees as it may from time to time consider

appropriate and to determine the powers and functions of such

committees

(iv) The Chairman for the time being of the organisation shall be the

Chairman of meetings of the Administrative Committee; in his

absence the other Honorary Officers in order of seniority shall be

Chairman

(v) The Honorary Officers may at any time and shall in a requisition

signed by not less than one half of the members of such Committee

stating the objects of such requisition summon a Special Meeting of

the Rabbinical or Administrative Committee (as the case may be) not

later than 14 days after receipt of such requisition and in default

thereof the requisitionists may themselves summon such meeting.

The notices convening a Special Meeting shall state the matters to be

discussed at such Meeting and in the case of a meeting called on a

requisition no resolution passed shall be binding unless at least two

thirds of the requisitionists are present and vote

(vi) Subject as hereinbefore provided the Rabbinical and Administrative

Committees shall each have the power from time to time to make and

amend rules and regulations for the conduct of its meetings

6. (A) The Electoral Committee shall consist of not more than 35 and not less than

15 members

(B) The first members of the Electoral Committee shall be the persons named.in

the Schedule hereto and they shall (subject as hereinafter provided) hold office

for life or until resignation

(C) The Honorary Officers shall be ex-officio members of the Electoral

Committee

(D) Any Member of the Electoral Committee (other than the Honorary Officers)

may be removed from office by a resolution passed by a majority of not less

than two thirds of the members of the Electoral Committee present and voting

at a meeting specially convened by 21 days prior notice in writing for that

purpose.

(E) Any vacancy in the membership of the Electoral Committee shall be filled by

a simple majority vote of the Electoral Committee at a meeting specially

convened by 14 days prior notice in writing for that purpose but it shall not

be necessary to fill such vacancy so long as the number of members of the

Electoral Committee (apart from the Honorary Officers) shall be not less than

(F) The Electoral Committee shall meet in the year 1968 and in every third year

thereafter at such time and place as the Honorary Officers shall determine and

shall at such meeting appoint the members of the Administrative Committee

who shall subject as hereinafter provided hold office until their successors

have.been appointed or resignation

(G) Any vacancy in the membership of the Rabbinical and/or Administrative

Committees shall be filled by a simple majority vote of the Electoral

Committee at a meeting specially convened by 14 days prior notice in writing

for that purpose but it shall not be necessary to fill such vacancy so long as

the number of members of the Rabbinical and Administrative Committees does

not fall below 7 in each case

(H) At meetings of the Electoral Committee the quorum shall be one third of the

existing members of the Committee provided that in the case of a special

meeting of the Electoral Committee called for the purposes mentioned in sub-

clause (D) hereof the quorum shall be two thirds of the existing members of

the Electoral Committee

(1) The Chairman for the time being of the Organisation shall be the Chairman

of meetings of the Electoral Committee; in his absence the other Honorary

Officers in order of seniority shall be Chairman

(J) The Honorary Officers may at any time and shall on a requisition signed by

not less than _half of the members of the Electoral Committee stating the

objects of such requisition summon a special meeting of the Electoral

Committee not later than fourteen days after receipt of such requisition and in

default thereof the requisitionists may themselves summon such meeting. The

notice convening a Special Meeting shall state the matters to be discussed and

in the case of a meeting called on a requisition as aforesaid no requisition

passed shall be binding unless at least two thirds of the requisitionists are

present and vote

(K) Subject as hereinbefore provided the Electoral Committee shall meet and

otherwise regulate its meetings as it may think fit

7. (A) The Council shall hold an Annual Meeting each year at such time and place

as the Administrative Committee shall determine for the purpose of receiving

and adopting the annual reports of the Chairman and the Principal and the

Head Teachers and the audited annual accounts and the appointment of

auditors and the transaction of such other business as the Administrative

Committee may determine

(B) The Honorary Officers may at any time and shall on a requisition signed by

not less than one half of the members of the Council stating the objects of

such requisition summon a Special Meeting of the Council not later than 14

days after receipt of such requisition and in default thereof the requisitionists

may themselves summon such meeting. The notices convening a Special

Meeting shall state the matters to be discussed and in the case of a meeting

called on a requisition as aforesaid no resolution passed shall be binding

unless at least two thirds of the requisitionists are present and vote.

8. The Constitution of the Organisation shall not be altered amended or added to

except * a resolution passed by a majority of two thirds of the members of the


Council present and voting at a Meeting of the Council specially convened by

21 days prior notice in writing for that purpose PROVIDED

NEVERmELESS that no alteration or amendment shall be made to clauses

2 (1)(a), 2 (1)(b), 5 (A)(i) or 5 (B)(i) hereof PROVIDED NEVERmELESS

that no alteration amendment or addition shall be made which is inconsistent

with the objects of the Organisation or which will cause the Organisation to

cease to be a charity at law.

9. If upon the winding up or dissolution of the Organisation there remains after

the satisfaction of all its debts and liabilities any property whatsoever the same

shall not be paid to or distributed among the members of the Organisation or

any of its Committees but shall be given or transferred to some other

institution or institutions having a charitable object or objects similar to the

primary object of the Organisation and which shall prohibit the distribution of

its or their income and property among its * their members such institution or

institutions to be determined by the members of the Council of the

Organisation at or before the time of dissolution and if and so far as effect

cannot be given to such provision then to some other charitable object in

connection with Jewish religious education in accordance in all respects with

the code known as the Shulchan Aruch of Rabbi Joseph Karo as interpreted

and expounded by the recognised commentaries thereon upon which in case

of doubt the decision of the Rabbinical Committee shall be final
