CONSTITUTION AND BY- LAWS
PREAMBLE
We, the Marketing students of Batangas State University – Rosario Campus, imploring
the aid of Almighty God, organized ourselves to promote and protect the welfare and interest of
the students, to maintain the sense of moral, economic and social responsibility for the
betterment of our society and to our country, do hereby adopt this constitution and by – laws.
ARTICLE I
NAME AND DOMICLE
Section 1. The official name of this organization shall be the UPright Marketing (Junior
Marketing Association – BatStateU Rosario Campus Chapter, referred here after
as UPright Marketing (JMA-BatStateU Rosario)
Section 2. The domicle and principal office of the organization shall be in Batangas
State University – Rosario Campus.
ARTICLE II
DECLARATION OF OBJECTIVES
Section 1. The organization commits itself for the achievement of the following object
objectives:
1.1 To enhance the knowledge and skills of all member in the field of Marketing by
providing them programs and events;
1.2 To inculcate professionalism and excellence to the members through the
organization’s endeavors;
1.3 To create a community of socially responsible individuals who will contribute to
the welfare of society; and
1.4 To establish linkages and create goodwill between other organizations, civic and
professional organizations, corporate and government agencies.

ARTICLE III
MEMBERSHIP
Section 1. All bonafide marketing students of Batangas State University – Rosario Campus
shall be eligible for membership in the organization provided that:
1.1 They fully understand the objectives; and

1.2 They commit themselves to participate in the achievement thereof, conform to
abide the constitution and by – laws and willingness to accept the responsibilities
of membership.
Section 2. Honorary membership is opened to marketing graduates of this department who

are conformity with the organization’s objectives.
ARTICLE IV
RIGHTS AND PRIVILEGES OF MEMBERS
Section 1. Every member has the privilege to participate in any academic and / or
nonacademic activities by the organization.
Section 2. Every member has the right to inspect the financially stated duly certified by the
Vice President for Finance at a reasonable time.
Section 3. Every member has the right to suggest activities of the organization.
ARTICLE V
DUTIES AND RESPONSIBILITIES OF THE MEMBERS
Section 1. Every member shall undergo orientation on the nature, objectives and functions of
the organization.
Section 2. Every member shall comply with all the requirements which may be changed by
the Executive Board from time to time.

Section 3 . Every member shall pay P80.00 per semester as membership fee.
Section 4. Every member shall be willing to participate directly in any organizational

endeavor towards the achievements of its objectives.
Section 5. Every member shall be encouraged to physically and materially support any of the
projects of the organization.
Section 6. The collection of membership fee will be collected by the VP for Finance or any
authorized officer during the enrollment period.
Section 7. Every member shall receive a certificate of membership not less than a month
after paying the membership fee.
ARTICLE VI
ELECTION OF OFFICERS
Section 1. The new set of officer shall be based on the following

1.1 Nomination of UPright Marketing officers and Application of Marketing member
1.2 Assessment of UPright Marketing consultants.
1.3 Election of UPright Marketing members.
Section 2. The newly elected UPright Marketing (JMA – BatStateU Rosario) officers shall
hold office for a term of one year unless earlier removed for cause.
Section 3. Qualifications to become an officer:
3.1 Must be a member of the organization;

3.2 Must be a resident of the University for at least one (1) semester
3.3 Must have willingness and ability to become an officer;
3.4 Must not be an officer of any other accredited organization of SOA.
Section 4. When a vacancy in the set of officers occurs either by resignation with justifiable
reason, withdrawal or expulsion, the vacancy shall be filled by a qualified active
member or existing officers with the approval of the incumbent officers. Once an
existing officer occupy the vacancy, the vacant position he/she vacated shall be
filled with an active qualified member

ARTICLE VII
EXECUTIVE OFFICERS
Section 1. The organizational structure of UPright Marketing (JMA – BatStateU Rosario) is

composed of the Executive Board namely:
1.1 President
1.2 Executive Vice President
1.3 Vice President for Corporate Relations
1.4 Vice President for Communication
1.5 Deputy Communication Officer
1.6 Vice President for Finance
1.7 Deputy Finance Officer
1.8 Vice President for Human Resource
1.9 Vice President for Publicity
1.10 Vice President for Commerce
1.11 Board of Directors
ARTICLE VIII
FUNCTIONS OF EXECUTIVE OFFICERS
Section 1. Promptly attend and actively participate in UPright Marketing (JMA – BatStateU
Rosario) meetings and activities.
Section 2. Perform the duties and responsibilities required for the welfare of the
organization.
2.1 President
2.1.1 Shall be the chief executive officer of UPright Marketing (JMA –
BatStateU Rosario) and shall be responsible for the supervision of the
officers and their activities;
2.1.2 Shall preside overall meetings and activities of UPright Marketing (JMA –
BatStateU Rosario);
2.1.3 Shall lead the members in carrying out the activities and in attaining the
purposes and objectives of this Constitution and By – laws;

2.1.4 Can create Adhoc committees as the need arise;

2.1.5 Represents UPright Marketing (JMA – BatStateU Rosario) to the activities
of the PJMA, PMA, and AME; and
2.1.5 Performs other duties inherent to this position.
2.2 Executive Vice President

2.2.1 Shall be the official assistant of the President in supervising all the affairs
of UPright Marketing (JMA – BatStateU Rosario);
2.2.2 Shall perform the functions and duties of the President in case of the
latter’s absence or disability;
2.2.3 Represents the organization in all university affairs, meetings and the like;
2.2.4 In – charge of the communication and transactions with the different
university offices; and
2.2.5 Performs all other duties as needed.
2.3 Vice President for Corporate Relations

2.3.1 Shall be the official Account executive of UPright Marketing (JMA –
BatStateU Rosario);
2.3.2 Solicit funds and sponsors of every project of UPright Marketing (JMA –
BatStateU Rosario);
2.3.3 Shall be responsible for the certificate, tokens and appreciation and
necessary documentations;
2.3.4 Creates, builds, and maintains the good image of the organization to the
corporate bodies, companies and the like;
2.3.5 In – charge of the communications / relations with other schools and
universities; and
2.4 Vice President for Communication

2.4.1 Shall be directly responsible for the status report and the proper
documentation of the entire activity of the organizations;
2.4.2 Shall be directly in – charge of accomplishing the post – activity
requirements of organization activities;

2.4.3 Takes the minutes of the meetings and provides copies to the
officers and adviser;
2.5.4 Shall be the official custodian of UPright Marketing (JMA –
BatStateU Rosario) files; and
2.5.5 Perform duties as needed.
2.5 Deputy Communication Officer

2.5.1 Assist the Secretary General in all matters.
2.5.2 Perform such other acts as may be required by the council or
assembly.
2.6 Vice President for Finance

2.6.1 Shall be the official custodian of UPright Marketing (JMA –
BatStateU Rosario) Book of Accounts;
2.6.2 Renders a financial report after each activity;
2.6.3 In – charge for the collection of membership fees; and
2.6.5 Assure that the disbursement of funds follows strict accounting and
auditing procedures.
2.6.6 Perform measures that shall protect the interest of funds of the
organization.
2.7 Deputy Finance Officer

2.7.1 Assist the Finance Officer in all financial matters.
2.7.2 Perform such other duties as may be entrusted by the organization
and the assembly.
2.8 Vice President for Human Resources

2.8.1 Shall monitor and be directly in – charge of the training and
performance of executive board;
2.8.2 Shall help achieving and realizing the goal of total membership
participation in organization events;
2.8.3 Shall create opportunities for further development of personal and
leadership skills;

2.8.4 Shall directly be responsible for the recruitment of members; and

2.9 Vice President for Publicity

2.9.1 Shall constantly communicate and update the members regarding
UPright Marketing (JMA – BatStateU Rosario) activities; and
2.9.2 Shall be responsible in conceptualizing, visualizing and creating all
publicity / promotional related materials for the use of the
organization inside and outside the university;
2.9.3 Responsible for the organization’s newsletter or any publication
2.9.4 Maintains organizations website and other social networking sites;
2.9.5 Shall be coordinating with the Vice President for Communication
for the post – activity requirements; and
2.10 Vice President for Commerce

2.10.1 Shall be directly responsible for the supervision of all pre – activity
requirements;
2.10.2 Shall be responsible for the entire operations procedure for
organizational activities;
2.10.3 Shall be directly in – charge of special projects and activities of the
organization; and
2.11 Board of Directors

2.11.1 Represents the class during the executive board meeting;
2.11.2 In – charge of disseminating information to other members of the
organization; and

ARTICLE IX
FACULTY ADVISER
Section 1. Adviser/s shall be appointed by the Head / Associate Dean of the College of
Accountancy, Business and Economics International and Hospitality Management
of this Campus.
Section 2. The faculty adviser/s shall have the following qualification; and
2.1 Must be a full time faculty member of the Department; and
2.2 Must be connected with the particular academic area;
Section 3. Adviser/s shall guide the organization in the fulfillment of its objectives.
ARTICLE XI
ORGANIZATIONAL FUND
Section 1. The UPright Marketing (JMA – BatStateU Rosario) shall maintain an

organizational fund consisting of general and special funds.
Section 2. The general fund shall be drawn from the membership fees.
Section 3. The special funds shall be those coming from donations, sponsorship and
Income Generating Projects authorized by the Executive Board.
Section 4. All funds shall be deposited in a volt in campus cashiers office to be

determined by the Executive Board and shall allow withdrawals to be used
for purposes specially authorized in the budget and appropriation law, and
duly approved by the President and the Vice President for Finance, with
fair consultation with the Adviser.
Section 5. Funds shall be released in pursuance to the authorized appropriations.
Section 6. Funds of the organizations shall be turned over at the end of the term to
the succeeding officers.

ARTICLE XII
PROCUDURAL MATTERS
Section 1. Resignation with Justifiable reason
1.1 Any officer with a valid reason or cause may resign or withdraw from the
office of UPright Marketing (JMA – BatStateU Rosario) by notice in
writing submitted to the Executive Board;
1.2 Should turnover all accountabilities, files and documents, to be submitted
one week after the effectivity of his / her resignation; and
1.3 An officer should be informed by the Executive board at least two weeks
before the effectivity of his / her successor as the proper transition period.
Section 2. Impeachment
2.1 The grounds for impeachment

2.1.1 Violation of the Constitution and By – laws;
2.1.1 Malversation of funds;
2.1.3 Gross negligence in the performance of duties and responsibilities;
2.1.4 Two consecutive absences from meetings and activities of the
organization; and
2.1.5 Any other act that may jeopardized or negatively affect the image or
reputation of the organization.
2.2 Procedure
2.2.1 At least 2 UPright Marketing (JMA – BatStateU Rosario) officers
may initiate impeachment procedure;
2.2.2 The person undergoing impeachment proceedings should be
notified in writing within 48 hours of filling impeachment letter;
2.2.3 The UPright Marketing (JMA – BatStateU Rosario) shall call for a
closed door meeting, where the officer may depend himself;
2.2.4 The Executive Board, by two – thirds vote, excluding the officer in
question, shall have the sole power to decide on impeachment proceedings
in accordance with due process; and

2.2.5 Once impeached, the individual is prohibited to use his previous

position in UPright Marketing (JMA – BatStateU Rosario) in
his/her resume or any representation;
2.2.6 Once impeached, he/she still a member of the organization but
liable for a penalty of Php 1,000.00 which will be included in the
special fund of the organization. Failure to pay will be tag on the
university system.
ARTICLE XII
MEETINGS
Section 1 REGULAR MEETINGS. The Executive Board shall conduct regular
meeting every 2nd and 4th week of the month or as agreed upon by the
officers, the time and place to be designated by the President.
Section 2 SPECIAL MEETINGS. The President or by the majority of the Executive

Board may call a special meeting as the need arises.
Section 3 Majority of the Executive Board shall have fifty percent plus one to
constitute a quorum.
Section 4 Each member of the Executive Board is entitled to only one vote.
Section 5 If the votes end in a draw, the Executive Board President or the acting
chair of the meeting shall cast the vote to break the tie.
Section 6 No proxy shall be allowed when voting.
Section 7 If officers choose to abstain from a vote, they are still counted toward
quorum.
ARTICLE XIII
AMENDMENT AND REVISIONS
Section 1. Proposal for Amendment maybe made by the Executive Board or upon formal
petition of at least 10% of general membership.
Section 2. No proposal shall be considered an amendment and become part of this

constitution until after the same shall have been two third vote of all the members
of the organization either at a special meeting or a referendum called for such
purpose.

EFFECTIVELY CLAUSE
Section 1. The constitution and By – laws shall take effect upon ratification by the Executive
Board after presenting the proposal to the members at the General Assembly.
