Cisco Cybersecurity Scholarship Agreement

Welcome to the Cisco Cybersecurity Scholarship program (the “Program”). This Cisco Cybersecurity Scholarship
Agreement (the “Agreement”) governs your participation in the Program.

YOU MUST READ CAREFULLY AND ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS
CISCO CYBERSECURITY SCHOLARSHIP AGREEMENT BEFORE YOU BEGIN THE CYBERSECURITY
SCHOLARSHIP PROGRAM.

IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS, YOU SHOULD NOT START THE
CYBERSECURITY SCHOLARSHIP PROGRAM. IF YOU DO AGREE TO ALL OF THE TERMS AND CONDITIONS,
YOU MAY PROCEED WITH THE CYBERSECURITY SCHOLARSHIP PROGRAM.
BY SIGNING UP FOR THE CYBERSECURITY SCHOLARSHIP PROGRAM, YOU WARRANT AND REPRESENT
THAT: ALL THE PERSONAL INFORMATION PROVIDED BY YOU TO US IS TRUE, CORRECT AND COMPLETE;
YOU ACKNOWLEDGE AND AGREE THAT IN ORDER FOR US TO PROVIDE THE SERVICES AND PRIVILEGES
UNDER THE CYBERSECURITY SCHOLARSHIP PROGRAM, TO MANAGE YOUR ACCOUNT, AND TO ENABLE
YOU TO PARTICIPATE IN THE CYBERSECURITY SCHOLARSHIP PROGRAM, THE SHARING, RETRIEVAL,
UPDATING AND PROCESSING OF YOUR PERSONAL DATA AS WELL AS THE UPDATING OF YOUR
PERSONAL DETAILS WILL OCCUR BETWEEN CISCO, OUR AFFILIATES AND ANY THIRD PARTY
CONTRACTOR IN CONNECTION WITH THE PROVISION OF THE CYBERSECURITY SCHOLARSHIP PROGRAM
SERVICES AND YOU HAVE CONSENTED TO THE SAME.

1. Scope.
Cisco is making the Program available to qualified individuals by offering cybersecurity courses to such individuals
who are contemplating a CCNA CyberOps certification. Details are set forth in the Cisco Cybersecurity Scholarship
Program Guide.

2. Cisco Cybersecurity Scholarship Program Guide.

The Cisco Cybersecurity Scholarship Program Guide (the “Guide’) describes the benefits, roles and responsibilities of
Cisco Systems, Inc. or its subsidiary responsible for distribution of training in the country in which you are located
(“Cisco”) and your responsibilities and obligations. The Guide forms part of this Agreement, and is made available to
you at the following site: You should review the FAQ Guide (located on the lumicybersecurity.com site carefully
before agreeing to participate in the Program. By accepting this Agreement you agree to comply with the Guide. As
the Program evolves, changes to the Guide may be appropriate. Cisco, in its sole discretion, may make changes to
the Guide without notice. You agree to meet the FAQ Guideline, as

The Terms and Conditions for use of Cisco Cybersecurity Scholarship Sites and Services, attached hereto as
Attachment 1 and incorporated by this reference, shall govern your access and use of the Cisco Cybersecurity
Scholarship sites and services.
4. “AS IS” Resources.

Any resources, mentors, course materials, services, websites or other deliverables provided by Cisco as part of the
Program are provided “as is”, without warranty of any kind (as far as Cisco is permitted to do so by law). Further
details are set out in the Guide. The student will be assigned to a Learning Partner at the beginning of the class.
Learning Partner mentors will provide weekly online classes to cover chapter topics on Cisco Cybersecurity
Fundamental (SEFND and Cisco Cybersecurity Operations SECOPS) self-based courses only for 90 days. After 90
days the student will have access to the courses for an extra 30 days but will not have access to the mentors. Also,
the mentors will provide 1 to many discussion forum responses as needed within 48 business hours. Mentors will not
have a one-to-one relationship with students.
Your Representations.

You represent and warrant as follows:

4.1. By entering into this Agreement, you give your unambiguous consent, to the processing of your personal
information by Cisco: (i) from within and outside of the European Economic Area and those countries
deemed to have adequate data protection laws in connection with processing the personal information; and
(ii) in accordance with Cisco Online Privacy Statement, as amended from time to time and located at
http://www.cisco.com/web/siteassets/legal/privacy.html.

4.2. You agree to comply with: (i) all applicable data protection laws and regulations; and (ii) the Cisco Online
Privacy Statement located at http://www.cisco.com/web/siteassets/legal/privacy.html.

4.3. You affirm that you are 18 years of age or older.

4.4. You agree that it is your responsibility to ensure that your personal information provided as part of the
Program is correct and kept current. Any information you share with other students or mentors including but
not limited to posts in the online forums will be seen by others. If the student doesn’t want the community to
see the details of their message it is the reasonability of the student to not post the information. Go to the
FAQ on the lumicybersecurity.com page or write support@t2000inc.zendesk.com.

4.5. You affirm that you are fully able and competent to enter into the terms, conditions, obligations,
affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with
this Agreement.
4.6. You agree that Cisco reserves the right to use any technologies and methods for verifying your identity.
Such technology may include, without limitation, personally identifiable information, challenge questions,
identification numbers, photographic information, palm vein verification, signature verification and other
measures to protect against fraud and abuse.

5. Confidentiality and Intellectual Property Ownership.


5.1. Confidentiality. Cisco makes the Program available to you solely to offer you training in the subject matter
contemplated by this Agreement for Cybersecurity Fundaments and Cybersecurity Operations self-paced
courses. You are expressly prohibited from disclosing, publishing, reproducing, or transmitting any
Confidential Information, in whole or in part, in any form or by any means, whether oral or written, electronic
or mechanical, for any purpose. A disclosure of Confidential Information by any means in violation of this
Agreement undermines the integrity and security of the Program and will subject you to revocation of your
participation in the Program. “Confidential Information” means any information regarding or related to
Cisco’s Programs, including without limitation, any Cisco policies, procedures, processes and
determinations made by Cisco, any communications between Cisco and you, the language and content of
the training and any actions taken by Cisco under this Agreement. Confidential Information, however, does
not include information that: (a) is now or subsequently becomes generally available to the public through
no fault or breach on your part; or (b) you rightfully obtained from a third party who has the right to transfer
or disclose it to you without limitation

5.2. Intellectual Property Ownership. Cisco retains all rights, title and interest in and to all Programs,
Confidential Information and related information, content, data, exams, materials, and all copyrights, patent
rights, trademark rights and other proprietary rights therein (collectively “Cisco Proprietary Information”).
All rights in Cisco Proprietary Information are expressly reserved to Cisco. Cisco may pursue all available
remedies to protect Cisco Proprietary Information, which may include prosecution to the maximum extent
possible under applicable laws and to seek, to the fullest extent of applicable law, civil and criminal
penalties.
6. LIMITATION OF LIABILITY.

IN NO EVENT SHALL CISCO BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR


CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, OF ANY KIND REGARDLESS OF THE FORM
OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR
OTHERWISE, EVEN IF CISCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS
LIMITATION WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED

REMEDY PROVIDED HEREIN. CISCO’S MAXIMUM LIABILITY UNDER THIS AGREEMENT SHALL NOT
EXCEED THE FEES YOU PAID TO CISCO FOR YOUR PARTICIPATION IN THE PROGRAM.

7. PRIVACY AND DELIVERY OF INFORMATION TO THIRD PARTIES.

Cisco respects and is committed to protecting your personal information. Our privacy statements as incorporated
into this Agreement by this reference, may be found at
http://www.cisco.com/web/siteassets/legal/privacy_full.html and reflect current global principles and standards on
handling personal information – notice and choice of data use, data access and integrity, security, onward
transfer and enforcement/oversight.

You acknowledge that your personal information includes, without limitation, your photograph, signature,
biometric data or any other personally identifying data collected from you by Cisco or its authorized agents, and
you agree to allow Cisco and/or its agents to gather and store this information. Your personal information may
be shared outside Cisco and its authorized third party vendors under the following conditions and you consent to
such disclosure by your acceptance of this Agreement:
• Verification of Course Status. Cisco often receives requests from third parties, particularly employers, to
verify an individual’s course status. Cisco may, but has no obligation to, provide such information about
your course status to others. Cisco provides such information as a courtesy to you, and you agree that Cisco
has no liability for providing this information. Such requests may come directly from a third party or from
you. Information Cisco provides may include, but is not limited to, your full name, Cisco identification
number, course enrollments, certification(s), certification date(s) and certification expiration date(s). DT: Not
sure we should have this here as we don’t respond to requests from an employer to give out information.
The student can make a screen shot of their certification of completion or their exam score report.

• Data Sharing. In addition to Cisco’s online privacy statements covering personal information sharing, Cisco
may also share your personal information with other consultants and third party vendors, such as testing
centers and testing delivery partners, if necessary, for delivery or administration of the Programs. All parties
with which Cisco shares your personal information are bound by confidentiality agreements.

• Limited Disclosure. In addition to the permitted disclosures stated herein, Cisco may share your information
in the following ways: (a) to comply with the law or legal process (such as responding to subpoenas or court
orders), (b) to exercise our legal rights or defend against legal claims related to this Agreement, (c) to
investigate, prevent, or take action regarding illegal activities, suspected or potential fraud, and brand
protection matters (such as use of Cisco's trademark without a license), and (d) situations involving potential
threats to the physical safety of any person. At Cisco’s sole discretion, or as required by applicable law,
Cisco will notify you as to what information has been provided to the legal authorities.
8. ASSIGNMENTS.

You may not assign any rights, licenses or obligations received under this Agreement to anyone. Any
attempted assignment in violation of this Agreement is null and void and without effect.

9. MISCELLANEOUS.

9.1. Term and Termination. The term of this Agreement is four months (4), commencing on the date when
Cisco executes this Agreement electronically; provided, however, that this Agreement shall remain in effect
until such time your participation in the Program ceases. Notwithstanding the foregoing, either Cisco or you
may terminate this Agreement without any liability to the other party for any reason or for no reason by
providing 24 hour email notice to the other and your participation in the Program will immediately cease
upon such email notification and you will be removed from the system and no longer have access to the
Cybersecurity Scholarship site.

9.2. Waiver and Modification. You waive any right to challenge the validity and enforceability of this Agreement
on the grounds that it was transmitted and entered into electronically. You agree that entering into the
Agreement electronically is equivalent to signing the Agreement. Failure by either of us to enforce any
provision of this Agreement will not be deemed a waiver of future enforcement of that or any other
provision. Any waiver, amendment or other modification of any provision of this Agreement will be effective
only if in writing and signed by both you and Cisco.

9.3. Severability. If a court of competent jurisdiction finds any provision of this Agreement to be unenforceable,
that provision of the Agreement will be enforced to the maximum extent permissible so as to affect the
intent of the provision, and the remainder of this Agreement will continue in full force and effect.

9.4. Survival. Sections 3 (Terms and Conditions for Use of Cisco Cybersecurity Scholarship Sites and
Services), 5 (Your Representations), 5 (Confidentiality and Intellectual Property Ownership), 6 (Limitation of
Liability), 7 (Privacy and Delivery of Information to Third Parties), and 10 (Miscellaneous) will survive
expiration or termination of this Agreement.

9.5. Controlling Law and Jurisdiction. If you reside in a country that is not a member of the European Union,
this Agreement and any action related thereto shall be governed, controlled, interpreted and defined by and
under the laws of the State of California and the United States, without regard to its conflicts of laws
provisions. Unless otherwise waived by Cisco at its sole discretion, the exclusive jurisdiction and venue of
any action arising out of or relating to this Agreement shall be the Superior Court of California for the
County of Santa Clara or the United States District Court for the Northern District of California. Both you
and Cisco submit to the exclusive jurisdiction and venue of such courts for the purpose of any such action,
and specifically disclaim the United Nations Convention on Contracts for the International Sale of Goods. If
you reside in a country that is a member of the European Union, this Agreement and any action related
thereto shall be governed, controlled, interpreted and defined by and under the laws of England. Both you
and Cisco accept the exclusive jurisdiction of the English courts, provided that Cisco shall at all times have
the right to commence proceedings in any other court or arbitral tribunal of its choice within the European
Union or otherwise appropriate jurisdiction for interim injunctive relief for protection of intellectual property
rights. Both you and Cisco specifically disclaim the United Nations Convention on Contracts for the
International Sale of Goods.

9.6. Entire Agreement. This Agreement constitutes the entire agreement, including all attachments, exhibits
and references incorporated herein by reference, between you and Cisco with respect to the subject matter
hereof, and supersedes all prior and contemporaneous understandings or agreements, written or oral,
regarding such subject matter.

9.7. Notices. All notices sent or required to be sent shall be in writing or by e-mail to the other party at the
address for the other party set forth below, or such other address as is provided in writing or via e-mail to
the other. It shall be your sole responsibility to ensure that Cisco has a current address for you. Cisco may
notify you of changes to Certification rules, exam policies, testing policies, and other policies and
procedures by posting on Cisco.com.

BY ACCEPTING THIS AGREEMENT, YOU HEREBY REPRESENT TO CISCO THAT YOU: (1) HAVE READ AND
UNDERSTOOD THE TERMS OF THIS AGREEMENT; AND (2) ARE EIGHTEEN YEARS OF AGE OR OLDER.

ATTACHMENT 1
Terms and Conditions for use of Cisco Cybersecurity Scholarship Sites and Services

1. Background. As part of the Cisco Cybersecurity Scholarship Program (the “Program"), Cisco operates and
provides access to a range of Program related websites and microsites accessible to users (including students,
non-students and Networking Academy alumni) who have a Cisco username and password (the "Site(s)"). The
Site(s) contain content relevant to the Program and are also designed to enable social networking and
collaboration (the "Services") among users such as you. The Services enable a user to create personal
information, questions and answers in the public forumsthat can be searched and viewed by other users. The
Services also support discussion forums, electronic messaging, survey tools, or other collaborative tools that
Cisco elects to make available in its discretion or with its Learning partners. Cisco may modify, enhance, restrict
or terminate Site(s) and / or the Services in its discretion at any time and without notice.

2. This Attachment to the Agreement; amending this Attachment. This Attachment is made up of the terms and
conditions set out below, which are specific to the Program Sites and Services, and the general Cisco Terms and
Conditions located here: http://www.cisco.com/web/siteassets/legal/terms_condition.html. If there is a
conflict between the two, then the terms and conditions set out below take precedence, solely to the extent of
that inconsistency. This Attachment covers all of your visits to the Site(s) and any use of the Services. If you
stop visiting the Site(s) or stop using the Services, this Attachment remains in effect with respect to your previous
visits to the Site(s) and/or use of the Services.

a. Amendments/Other Terms. Cisco may change or supplement the terms of this Attachment from time to time
at its sole discretion. Cisco will exercise commercially reasonable efforts to provide notice to you of any
material changes to the Attachment (e.g., by posting on the Site(s)). Within five (5) business days of posting
changes to the Attachment, the changes will be binding upon you. If you do not agree with the changes, you
should discontinue using the Sites(s) or any Services. If you continue using the Sites(s) or Services after
such five-business-day period, you will have accepted the changes to the terms of this Attachment. In order
to participate in certain Services, you may be notified that you are required to agree to additional terms and
conditions. Unless expressly set forth in such additional terms and conditions, those additional terms are
hereby incorporated into this Attachment.

3. Rules and Regulations. This Attachment sets forth the following legally binding Rules and Regulations for the
Site(s) and the Services.

a. Posting Content. Much of the information on the Sites(s) is posted by third party users such as you. Please
choose carefully the information you post, or elsewhere on the Sites(s). You are solely responsible for what
you post. The following is a partial list of what you are prohibited from posting:

• Anything unlawful, libelous, threatening, obscene, discriminatory, or otherwise objectionable as


determined in Cisco's sole discretion;
• Content or images containing nudity, or materials that may be considered obscene, lewd, excessively
violent, harassing, explicit or otherwise objectionable;
• Information prohibited from disclosure under any law or under contractual or fiduciary relationships
(such as insider information, or proprietary and confidential information learned or disclosed as part of
employment relationships or under nondisclosure agreements, exam questions and/or answers in use);
• Content that infringes the copyright, trademark, patent, trade secret or other intellectual property rights
of anyone;
• Any information or data that misrepresents the identity, characteristics or qualifications of you or any
other person, including but not limited to the use of a pseudonym, or misrepresenting current or previous
positions, qualifications or affiliations with a person or entity, past or present;
• Any unsolicited or unauthorized advertising, promotional materials, "spam," "chain letters," "pyramid
schemes" or any similar form of solicitation. This prohibition includes but is not limited to a) using invitations
to send messages to people who don't know you or who are unlikely to recognize you as a known contact;
b) using the Services to connect to people who don't know you and then sending unsolicited promotional
messages to those direct connections without their permission; and c) sending messages to distribution
lists, newsgroup aliases, or group aliases for purposes of spamming or solicitation;
• Any virus, malware or other harmful code;
• Exam question information to other students outside and inside the Cybersecurity site.
• Anything that disrupts or interferes with the Services or other functionality of the Sites(s);

• Any solicitations for business (except on those Site(s) that expressly permit Academy alumni to discuss
potential career opportunities);
• Any other content that, in Cisco's sole discretion, undermines the purpose of the Sites(s) or otherwise
reflects unfavorably upon Cisco, its partners, affiliates or customers.

Be advised that other users may violate one or more of the above prohibitions, but Cisco assumes no responsibility or
liability for such actions. If you become aware of misuse of the Sites(s) or Services by any person, please contact
support@t2000inc.zendesk.com. Cisco may investigate any complaints and violations that come to our attention and
may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the
content or terminating accounts and/or Profiles. However, because situations and interpretations vary, we also
reserve the right not to take any action. Under no circumstances will Cisco be liable in any way for any data or other
content on the Sites(s), including, but not limited to, any errors or omissions in any such data or content, or any loss
or damage of any kind incurred as a result of the use of, access to, or denial of access to any data or content on the
Sites(s). If at any time you are not happy with the Sites(s) or the Services or object to any material on the Sites(s),
your sole remedy is to cease using the Sites(s) or the Services.

b. Laws and Reporting. You may not use the Sites(s) or Services in any manner inconsistent with applicable
law or for any illegal purpose, including but not limited to conspiring to violate laws or regulations.
Recognizing the global nature of the Internet, you also agree to comply with applicable local rules or codes
of conduct (including codes imposed by your employer) regarding online behavior and acceptable content.
Additionally, you agree to comply with applicable laws regarding the transmission of technical data exported
from the United States or the country in which you reside. Cisco reserves the right to investigate and take
appropriate action against anyone who, in Cisco's sole discretion, is suspected of violating this provision,
including without limitation, reporting you to law enforcement authorities. Use of the Services is void where
prohibited.

c. Eligibility. You affirm that you are 18 years of age or older. You further affirm that you are fully able and
competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set
forth in this Attachment, and to abide by and comply with this Attachment. Access may be terminated
without warning if we believe that you are underage or otherwise ineligible.

d. User Name and Password. During the registration process, you will be given a user name and asked to
create a password for the duration of the program. Each user is required to have a unique user name and
password. You may not select as your user name the name of another person to the extent that could cause
deception or confusion; a name which violates any trademark right, copyright, or other proprietary right; or a
name which Cisco deems in its discretion to be vulgar or otherwise offensive. Cisco reserves the right to
delete or change any user name for any reason or no reason. You are fully responsible for all activities
conducted through or under your user name. You are entirely responsible for maintaining the confidentiality
of your password. You agree not to use the user name or password of another user at any time or to
disclose your password to any third party. If you believe your password has been compromised, please
change your password immediately. You are solely responsible for any and all use of your login information
(username and/or password).

e. Transfers/Competitive Use. You may not trade, sell or otherwise transfer your account to any other person
without Cisco's written consent. You may not use the Sites(s) or the Services to advertise, promote, endorse
or market, directly or indirectly, any products, services, solutions or other technologies that, in Cisco's sole
and absolute discretion, compete with the products, services, solutions or technologies of Cisco.

4. Monitoring. Nothing in this Attachment requires Cisco to monitor or edit the Sites(s). If at any time Cisco
chooses, in its sole discretion, to monitor or edit the Sites(s), Cisco assumes no responsibility for anything
submitted by users, no obligation to modify or remove any inappropriate submissions and no responsibility for
the conduct of any user, except as required under applicable law. Cisco does not endorse and has no control
over what users post or submit to the Sites(s). Cisco cannot guarantee the accuracy of any information
submitted by any user of the Sites(s), nor any identity information about any user. Cisco reserves the right, in its
sole discretion, to reject, refuse to post or remove any Profile, posting or other data, or to restrict, suspend, or
terminate any user's access to all or any part of the Sites(s) or Services at any time, for any or no reason, with or
without prior notice, and without liability. Upon any suspension or termination, Cisco may retain or delete, in its
sole discretion, any information or content that you previously provided. You agree that Cisco has no liability
whatsoever if it refuses to post your submissions or edits, restricts or removes your submissions.

5. Ownership /Licenses

a. Cisco does not claim any ownership rights in any text, files, images, photos, video, sounds, works of
authorship or other materials that users upload to the Sites(s) or transmit via the Services ("User Content" or
your "Content"). However, you understand and agree that by uploading Content to the Sites(s), transmitting
Content using the Services or otherwise providing Content to Cisco, you automatically grant (and warrant
and represent you have a right to grant) to Cisco a world-wide, royalty-free, sublicensable (so Cisco affiliates
or contractors can deliver the Services) perpetual, irrevocable license to use, modify, publicly perform,
publicly display, reproduce and distribute the Content in the course of offering the Sites(s) and/or the
Services. Cisco will treat any User Content as non-confidential and public. Please do not submit confidential
or private information. Cisco may distribute your Content, in whole or in part, to third party sites. You agree
that any other user of the Site(s) or any other site on which your Content is exhibited may access, view,
store or reproduce your Content for such user's personal use or otherwise in connection with use of such
site and/or the Services.

b. The Sites(s) and the Services also contain content owned by or licensed to Cisco ("Cisco Content"). Cisco
owns and retains all rights in the Cisco Content and the Services, including all intellectual property rights.
Cisco hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the Cisco
Content (excluding any software code) solely for your personal use to view the Sites(s) and otherwise as
necessary to use the Services. Except as set forth above, nothing contained in this Attachment shall be
construed as conferring by implication, estoppel or otherwise any license or right under any trade secret,
patent, trademark, copyright or other intellectual property right of Cisco or any third party. All licenses not
expressly granted by Cisco are reserved.

c. You agree that even though you may retain certain copyright or other intellectual property rights with respect
to content you upload while using the Sites(s), you do not own any data Cisco stores on Cisco's servers
(including without limitation any data representing or embodying any or all of your content). Your intellectual
property rights do not confer any rights of access to the Sites(s) or any rights to data stored by or on behalf
of Cisco.

6. User Disputes. You are solely responsible for your interactions with other users. Cisco reserves the right, but
has no obligation, to monitor disputes between you and other users.

7. Privacy. Use of the Sites(s) and Services is also subject to the Cisco Systems Inc. Privacy Policy, located here
which is incorporated into this Attachment by this reference. Additionally, you understand and agree that Cisco

also agree to have your name and/or email address listed in the header of certain communications you initiate
through the Services. Please note that any personal data you provide as part of your use of the Site(s) will be
accessible to other users irrespective of the information you may provide as a Program participant. In other
words, you should be aware that you may disclose more personal data on the Site(s) than you disclose under the
disclosure policies selected by your individual academy.

a. Consent to Transfer, Processing and Storage of Personal Information

As Cisco is a global organization, we may transfer your personal information to Cisco in the United States of America,
to any Cisco subsidiary worldwide, or to third parties and business partners as described above. By using our
websites and Solutions or providing any personal information to us, you consent to the transfer, processing, and
storage of such information outside of your country of residence where data protection standards may be different.

8. Additional Disclaimer.

a. Technical Errors. Cisco assumes no responsibility for any error, omission, interruption, deletion, defect,
delay in operation or transmission, communications line failure, theft or destruction or unauthorized access
to, or alteration of any user communication. Cisco is not responsible for any problems or technical
malfunction of any telephone network or lines, computer online systems, servers or providers, computer
equipment, software, failure of any email due to technical problems or traffic congestion on the Internet or on
any of the Services or combination thereof, including any injury or damage to users or to any person's
computer related to or resulting from using the Sites(s) or the Services.

9. Indemnity. You agree to defend, indemnify and hold Cisco, its subsidiaries, and affiliates, and their respective
officers, agents, partners and employees and Cisco’s suppliers, harmless from any loss, liability, claim, or
demand, including reasonable attorneys' fees, made by a party arising out of or related to: (i) your use of the
Services or the Sites(s); (ii) your breach of this Attachment; or (iii) your Content.

10. Disputes. If there is any dispute about or in any way involving the Sites(s) or the Services, you agree that the
dispute shall be governed by the laws of the State of California, USA, without regard to conflict of law provisions
and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States
located in the State of California, City of San Jose.

11. Costs and Fees. Except where you are expressly advised otherwise during the course of your use of the Site(s)
and/or Services, the Site(s) and Services are provided at no charge. You are solely responsible for any costs and
expenses you incur as a result of your use of the Sites(s) or the Services. You agree that Cisco may later require
users to pay a fee to continue to use the Services or to use the Sites(s).

12. General. Subject to that, this Attachment constitutes the entire agreement between you and Cisco regarding the
use of the Services and the Sites(s). The failure of Cisco to exercise or enforce any right or provision of this
Attachment shall not operate as a waiver of such right or provision. The section titles in this Attachment are for
convenience only and have no legal or contractual effect. This Attachment operates to the fullest extent
permissible by law. If any provision of this Attachment is unlawful, void or unenforceable, that provision is
deemed severable from this Attachment and does not affect the validity and enforceability of any remaining
provisions. The parties are independent contractors under this Attachment and no other relationship is intended,
including a partnership, franchise, joint venture, agency, employer/employee, fiduciary, master/servant
relationship, or other special relationship. Neither party shall act in a manner which expresses or implies a
relationship other than that of independent contractor, nor bind the other party.
