2013 Constitution

Preamble

We, the members of Willing to Serve and Lead You, a political and independent
organization belonging to the youth and student sector of National University defined as its
constituents, are responsible beholder of our rights in accordance with duties and obligation to
be transformed into functions and purposes providing not only the service of leadership but the
fostering of common good designated to the development of our constituents, and do hereby
proclaim that under this constitution, shall we embody the interests, needs and humanistic
satisfaction of the youth of the university, of the country, and of the world, and we do
promulgate, with divine providence and patriotic citizenry, the sole indulgence of this
constitution.

ARTICLE I
Name and Identity

Section 1. OFFICIAL NAME. The political party that gives importance to the student
leaders of National University shall be called as Willing to Serve and Lead You.

Section 2. REFERRED NAME. For the general purposes and provisions of identification,
the organization/political party will hereafter be referred to as WISELY.

Section 3. LOGO. The official logo of Willing to Serve and Lead You shall be
Athena’s Owl symbolizing wisdom.

ARTICLE II
Principles and Purposes

Section 1. PRINCIPLES/PURPOSES. The organization officially and publicly named as


Willing to Serve and Lead You (WISELY) is built and organized politically in accordance with
conformity and legality of this constitution shall gratify the following purposes to its founding
members and succeeding members:

A. The organization shall incorporate its principles and purposes under the rules,
regulations, and the law dictated in the Student Handbook of National University and
the Philippine Republic especially under Batas Pambansa No. 232 otherwise known as
the Education Act of 1982.
B. The organization shall take into account all of its members’ concerns, interests and
suggestions for the improvement, innovation and empowerment of the organization, the
student community and the youth sector of National University.
C. The organization shall conduct activities to meet the demands and needs of the members
in accordance with their holistic development.

D. The organization shall conduct partnership with organizations built and conformed in
National University for the betterment and development of its members and the
students of National University.
E. The organization shall conduct partnership with organizations built and conformed
outside National University, especially NGOs, for the betterment and development of its
members and the students of National University.
F. The organization shall open its members’ and students’ awareness prior to the issues
and events happening inside and outside of National University.
G. The organization shall offer projects that will enhance students’ development in their
respective domains such as cognitive, affective and psychomotor.
H. The organization shall exercise equality and non – discriminatory practices among its
members.

ARTICLE III
Membership

Section 1. ELIGIBILITY OF MEMBERSHIP. Application for Membership shall be open


to all bona fide students of National University who meet the following criteria:

A. Must be enrolled in any National University College (Architecture, Business and


Accountancy, Dentistry, Education, Arts & Sciences, Engineering, Computer Studies,
Hospitality Management, Nursing, and Pharmacy).
B. Must not have any bad record in the university as confirmed by the Discipline’s Office.
C. Must defend and support the By-Laws of the WISELY.
D. Must complete the annual dues and requirements for the organization.

Section 2. APPROVAL OF MEMBERSHIP. All the bona fide student of National


University, who wants to be part of WISELY, should show his/ her leadership and willingness
among the chairman and current members of the WISELY. A membership fee will also be
imposed by the officers.

Section 3. CATEGORY OF MEMBERSHIP. There shall be two (2) categories of


membership:

A. Regular membership
B. Premium membership

Section 4. REGULAR MEMBERSHIP. Regular members categorized by the regular


membership shall be known as OWLLET. Regular members shall complete requirements and
annual dues to be imposed by the organization. Regular members’ main functions shall be in
accordance with volunteerism and defending of human rights prior to this constitution.

Section 5. PREMIUM MEMBERSHIP. Premium members categorized by the premium


membership shall be known as UWILA. Premium members shall complete requirements annual
dues to be imposed by the organization. Premium members are considered as the spearheads
and royal members of the organization.

Section 6. PROMOTION OF MEMBERSHIP. Promotion of membership from regular


membership to premium membership shall undergo three major processes:

A. FILING OF APPLICATION. Regular members shall file an application of premium


membership thru a formal letter following a format to be produced by the organization.
Application letter shall include history of volunteerism and achievements.
B. APPLICATION OF LEADERSHIP. Application of leadership means examination on
how the applicants for premium membership will prove their leadership. The
examination may range from interview to practical application of leadership principles.
C. APPROVAL OF MEMBERSHIP. The premium membership shall be then approved
by the majority of the Executive Council of the organization.

Section 7. ANNUAL DUES. Annual dues shall be designated by the directors which
shall range from ten (10), original annual due for membership, to one hundred and fifty (150)
pesos. However, further change of annual dues shall happen and be discussed to its members
for annual dues depends on partnerships with other organizations.

Section 8. RESIGNATION. Any general member may pass his/her resignation from
the organization by giving written notice to the directors. Resignation becomes effective at such
a time as specified in the letter of resignation, unless the Board of Directors, with the majority of
the votes, has cause to reject the resignation. Any general member may withdraw his
resignation and resume his membership if done prior to the effective date in the letter. If in any
case a member wants to become a member again later than the effective date, he/she needs to
prove his/her willingness again to be part of WISELY by taking certain activities conducted by
the Board of Directors.

Section 9. REMOVAL. Any member of the organization who will be violating and
disobey the by-laws of the party and put the name, not just of the organization and its officers
and members, but most essentially, the university in jeopardy will be removed and expelled
automatically from the organization after further notice from the officers and Board of Directors
of the party.

ARTICLE IV
Bill of Rights

Section 1. RIGHTS OF OWLLET. The rights of the regular members are the following:

A. Every member shall have the right to attain the purposes of the organization except for
belonging to the slate of candidates to be introduced to National University Supreme
Student Council election.
B. Every member shall have the right to nominate and vote whenever there’s a council
election and issues/concerns to be discussed.
C. Every member shall have the right to be part of the organization’s events.

Section 2. RIGHTS OF UWILA. The rights of the premium members are the following:

A. Every member shall have the right to attain all the purposes of the organization.
B. Every member shall have the right to become a part of the slate of candidates to be
introduced to National University Supreme Student Council election.
C. Every member shall the have right to be a part of the organization’s events.
D. Every member shall the have right to vote and be a part of meetings and other concerns.

ARTICLE V
The Board of Directors

Section 1. BOARD COMPOSITION. There shall be at least three directors


coming from the UWILA.

Section 2. ADVISER. The adviser shall consist of the founder of the party, or in any
case, a senior member of the party and/or one (1) faculty member.

Section 3. DUTIES AND RESPONSIBILITIES. Their main job is to represent the


student leaders’ interests before the University Administration. Likewise, they are the overall
presiding officer for every board and council meeting. The directors are the overall-in-charge of
all the WISELY activities and may sign as the duly authorized agent of the organization and
Board of Directors, certificates, contracts and other agreements as approved by the board and
council. They shall work to establish and maintain good working relationships with similar
organizations.

They will have a responsibility to facilitate the people, members and co- officers inside the
school campus. They are the ones who will communicate with the other organizations to have
an understanding and harmonious relationship.

Their position holds the privilege and task to make open communication lines with the
University Administration and outside authorities for WISELY activities and student concerns.
Their work shall be executed accordingly with the help of the other officers especially the
Councillors.

Their job is also to be the records and documents keepers for the board and council. They shall
maintain minutes of the organization’s meetings and keep committee reports on file and other
paperwork.

They shall also be FUND keepers of the party. They are responsible to explain all the financial
expenses of the group. They need to work with one another and the councillors to keep all the
receipt of the expenses. They shall be responsible for filing all financial documents and records.
They shall provide a current written financial report detailing all financial transactions at least
once per month in a public board and council meeting.

ARTICLE VI
The Executive Council

Section 1. COMPOSITION. There shall be ten (10) councillors in the Executive Council
including their chairman. Each chairman shall be appointed by the Board of Directors.

Section 2. DUTIES AND RESPONSIBILITES. The duties and responsibilities of the


councillors are aligned to the duties and responsibilities being practiced and conveyed by the
directors of the board. However, certain limitations are bestowed to the councillors. The Board
of Directors shall create a memorandum of agreement prior to the rights, duties and
responsibilities of the councillors. The MOA shall be made a week after the approval of this
Constitution.

ARTICLE VII
Committees

Section 1. FORMATION OF COMMITTEE. The Executive Council shall create and form
committees that shall cater the demands of the organization and its members. The Executive
Council shall appoint the heads of their committees.

Section 2. BOARD COMMITTEES. The Executive Committees shall be composed of the


following:

A. Committee of Academic Affairs


B. Committee of Internal Affairs
C. Committee of External and Alumni Affairs
D. Committee of Finance
E. Committee of Public Relations

Section 3. SPECIAL COMMITTEES. There shall be three special committees to be


formed by the Executive Council:

A. EXECUTIVE DEVELOPMENT COMMITTEE. The Board of Directors shall appoint


five (5) representatives from the slate of former Executive Councillors and four (4) from
the present Council to form the Executive Development Committee that shall oversee
the implementation of this constitution as well as the proper governance of the council.
B. ELECTION COMMITTEE. The Election Committee shall be formed during election
and shall expire after oath taking ceremony. Four (4) members from the OWLLET and
five (5) members from UWILA shall compose the Election Committee.
C. ALUMNI COMMITTE. The directors shall head the Alumni Committee to keep
track and records of the alumni from WISELY.

ARTICLE VIII
Meetings

Section 1. GENERAL MEETING. Meetings of the general members must be


conducted and attended by the Board of Directors and Executive Council once a month.

Section 2. QUORUM. When a quorum is present at any meeting, an affirmative vote of a


simple majority shall decide any question brought before such meeting, unless the question is
one which by express provision of the Articles of Incorporation or these By-laws requires a
different vote, in which case such express provision shall govern and control the decision in
question

Section 3. ATTENDANCE.

Section 3.1. Attendance of all officers and official members is required at all regular
meetings unless valid reason will be identified by the absentee.
Section 3.2. The only circumstances permitting any member an excused or valid absence
or tardiness are as follows:
A. illness or injury
B. family or personal emergency
C. religious commitment such as meetings or prayer time
D. academic concerns, which are not given permission to be missed by the faculty
member involved

ARTICLE IX
ELECTION

Section 1. FRAMEWORK OF ELECTION. The members including the councillors and


directors shall hold a separate event of election where the election code as reflected in this
constitution will be discussed and the principles and functions of the organization will be
overviewed.

Section 2. ELECTION COMMITTEE. There shall be an election committee to be


composed of three members from the incumbent council and two faculty members. Members
belonging to the election committee shall not be subjected to nominations.

Section 3. NECESSITIES. The necessary purposes of the Election Committee are to


distribute and promulgate election rules, directives and regulations among their members and
to oversee the clean process of election. They shall head the election as well.

Section 4. TENURE. The Election Committee shall expire when the new governing
body of the organization has taken their oath.

Section 5. ELECTION. The members taking the subjects dealing with science shall have
the right to nominate and vote provided that the directors have already accomplished a year of
residency.

Section 6. SCHEDULE. The election shall be conducted in the month of June. Failure to
conduct the election in the month of June shall result to the appointment of all positions by the
adviser of the organization.

Section 7. QUORUM. The members present at any properly announce meeting shall
constitute a quorum of fifty (50) percent plus one.

Section 8. POSTPONEMENT OF ELECTION. The election shall be postponed under the


following circumstances:

A. Destruction of election materials;


B. Postponement from the adviser;
C. Postponement from the dean of founding college and
D. Disaster.

If the election is postponed, the whole process shall be repeated.

ARTICLE X
Amendments and Additions

Section 1. AMENDMENTS. All By-Laws changes must be proposed to the Board of


Directors in writing. A proposed change of amendment to the By-Laws must be made known
to the Board at least forty-eight (48) hours before a vote is called. The By-laws of the
organization may be repealed, altered or amended, or substituted by a two-thirds (2/3) majority
vote of the Board of Directors present, provided:

A quorum is present
The amendments are presented at the Annual Meeting

Section 2. ADOPTION AND EFFECTIVE DATE.

Section 2.1. Any Amendments to these By-laws approved in the manner prescribed
above will become effective immediately unless otherwise specified in the resolution to
approve said amendments.
Section 2.2. Properly adopted amendments supersede any and all previous By-laws and
all resolutions inconsistent herewith.
