THIS AGREEMENT made at Chennai, this 23rd day of July 2007, entered into

between Ms.Tinu (hereinafter called ‘The Model’) residing at Kottayam.

And Corporate Media Men Pvt. Ltd., having registered office at Chennai (hereinafter
called Corporate Media Men Pvt. Ltd., which expression shall include its principals,
subcontractors, successors and assigns).

WHEREAS Corporate Media Men Advertising Pvt. Ltd has been appointed by _Tata
Tele service Pvt Ltd (hereinafter called________) as the advertising and marketing
consultants for their products and Services, (hereinafter called ‘The Products and
Services’) which are offered by the bank.

The parties have mutually discussed the terms of the Agreement and have arrived at
this agreement.

IT IS NOW HEREBY AGREED BY AND BETWEEEN THE PARTIES AS FOLLOWS:

1. The model agrees to be photographed by Corporate Media Men Private

Limited or their agents for use in Press/Outdoor/POP/Packaging and Print
material for _____Products and Services
2. In the event of such photograph of the model is used in the Press / Outdoor?
POP / Packaging and Print, the model will be paid a total sum of Rs. /-
(Rupees ______only)
3. Upon payment by M/s. Corporate Media Men Advertising Pvt. Ltd., and upon
receipt of the same by the Model of the fees, the Model shall be deemed to
have assigned M/s. Corporate Media Men Advertising Pvt. Ltd., the exclusive
copyright to use such photographs for advertising the Product in all forms of
advertising of Press / Outdoor / POP / Packaging and Print material in any
place and gives authority to apply for registration of necessary trademark or
copyright. Further, the model has no objection for competent authorities to
register the same as a trademark or copyright in the name of M/s. Corporate
Media Men Advertising Pvt. Ltd. or their assigns.
4. All advertising material produced by Corporate Media Men Advertising Pvt.
Ltd., based on the live shots of the Model will remain the property of M/s.
Corporate Media Men Advertising Pvt. Ltd.,

The Model further agrees and declares that she shall have no claims, rights
and interests in whatsoever in any of the shots as well as the consequent
advertising and sales promotional material generated and copyrights, if any
lying in such work will rest in M/s. Corporate Media Men Advertising Private
Limited and maybe used by M/s. Corporate Media Men Advertising Private
Limited in its sole and absolute discretion together with any adoption the
advertisements of the said Product/s.
5. The Model further agrees and undertakes to indemnify M/s. Corporate Media
Men Advertisement Pvt. Ltd., and the _____of either of them against all
claims, losses, damages and other liabilities if any incurred by M/s. M/s.
Corporate Media Men Advertising Private Limited or the due to her fault or
negligence.

6. The Model further binds upon herself not to make any statements regarding
the
Products and services of the _____ to the press or any media except with the
written permission of M/s. Corporate Media Men Advertising Private Limited

Further, the Agreement will automatically come to an end in the event the
Model is suffering from any physical disability or otherwise become unsuitable
or incapacitated to complete the shooting sessions during the term of the
Agreement.
7. It is understood that the Model’s photographs will be deemed to represent an
Imaginary person and that no statement or working used in the
advertisement will be attributed to Model, unless the Model’s real name is
mentioned.
8. The Model undertakes not to permit or authorize any person to use such
Photographs taken by M/s. Corporate Media Men Advertising Private Limited
pursuant to this agreement.
9. In the event of the Model’s refusing or neglecting to attend for any reason
Whatsoever any shooting or re-shooting, as may be required at the absolute
discretion of M/s. Corporate Media Men Advertising Private Limited, the Model
shall forthwith refund to M/s. Corporate Media Men Advertising Private Limited
the entire payment to M/s. Corporate Media Men Advertising Private Limited
for the loss and damage caused to M/s. Corporate Media Men Advertising
Private Limited / ___________ on account of such refusal or neglect
10. Any breach of obligation under this Agreement by one party would entitle the
other a right to claim damages and / or appropriate legal action.
