1. Position : Paralegal / Data Protection Officer


2. Reports to : General Manager / Corporate Secretary
3. Job Summary : Monitor legal cases of VVCCI; attend and note
minutes of Board Meetings and LMC; review contracts
with concessionaires and other VVCCI contractors;
ensure government reportorial compliance; monitor and
assess data privacy compliance of the VVCCI.

4. Detailed Duties and Responsibilities:


1. Monitor legal cases
a) Communicate and coordinate with retained lawyers for the updates
on pending legal cases.
b) Attend court hearings to assist the company lawyer/s, if necessary.
c) Prepare monthly status report/updates on legal cases to be submitted
to the General Manager and Legal Committee Chairman (to be
included in the BOD meeting materials)
d) Facilitate the processing of payment of legal and professional fees and
other related expenses.

2. Labor Relations
a) Attend labor-management conferences (LMCs) and prepare minutes
of the meeting.
b) Attend, together with HR staff/head, conciliation-mediation
conferences and/or hearings before the DOLE National Labor Relations
Commission (NLRC) or National Conciliation and Mediation Board
(NCMB), as the case may be.
c) Participate in the CBA negotiation/renegotiation.

3. Discipline of Employees
a) Document and prepare minutes of administrative hearings conducted
to employees with administrative case.
b) Prepare draft notice of decision, with corresponding facts and legal
bases, for review and approval of the General Manager.
c) Coordinate with retained lawyers for legal advice, if necessary, prior
the finalization of the management’s decision.

4. Legal Research/Opinion
a) Conduct legal research for management matters/concerns submitted
for clarification/ legal guidance.
b) Coordinate with the retained lawyers for request for legal opinions and
guidance for other legal concerns.
c) Draft legal opinion/memorandum, if necessary.

5. Government Reportorial Requirements


a) Prepare SEC reportorial requirements (i.e. General Information Sheet,
and other pro-forma reports), in close coordination with the Accounting
Manager, for review and approval of the Corporate Secretary.
b) Prepare communications to SEC, BIR, DOLE and other government
oversight agencies, as the need arises.

6. Contract & Legal Documents Preparation & Review


a) Prepare draft contract, agreement and other related legal documents.
b) Review all contracts, agreements and other legal documents.

7. Board of Directors’/Corporate Secretary’s Requirements


a) Prepare draft BOD meeting presentation materials.
b) Prepare draft minutes of BOD’s regular/special meetings and Kapihan,
if any.
c) Coordinate with Board of Directors, upon the advice of the President,
Corporate Secretary or General Manager.
d) Draft Board resolutions, for review and approval of the Corporate
Secretary.

8. VVCCI Standing Committees (House & Legal)


a) Submit matters for review and recommendation of committees, with
clearance from the General Manager.
b) Prepare committee meeting materials and minutes.

9. General Manager’s Requirements


a) Monthly submission of accomplishment reports.
b) Prepare other reports, correspondences or communications, as may be
specifically requested by the General Manager.
10. Data Privacy Act Compliance
a) Monitor compliance of the personal information controllers (PIC) and
personal information processors (PIP) with the DPA
b) Ensure conduct of Privacy Impact Assessment
c) Inform and cultivate awareness on privacy and data protection
d) Cooperate, coordinate and seek advice from NPC
REQUIRED QUALIFICATION:

Education : Bachelor of Laws (LLB) Graduate

Experience : Legal research and writing; case and contract management;


personal Information control and processing

Required Skill/Training : Proficient in Microsoft Office applications; training in data


and privacy control
