Management Analysis

The management aspect of a feasibility study is to determine the option

effectiveness of the organizational setup and the qualifications of the individuals who will

make up the organization. It is the performance of conceiving and achieving desired

results by means of group effort consisting of utilizing human talents and resources.

Therefore, management is considered as the force that runs an enterprise and is

responsible for its success or failure.

Management and Its Function

Management is a social process involving responsibility for economic planning

and regulation of enterprise’s operations in the fulfillment of its given purposes. It is a

dynamic process consisting various elements and activities from operative functions like

marketing, finance, purchase, etc. These activities are spearheaded by persons,

commonly known as “managers”.

Functions of management were categorized by various professions in the said

field. According to Henry Fayol, “To manage is to forecast and plan, to organize, to

command, and to control.” Whereas Luther Gulick has given a keyword ‘POSDCORB’

where P stands for Planning, O for Organizing, S for Staffing, D for Directing, Co for Co-

ordination, R for Reporting and B for Budgeting. But most widely accepted functions of

management were given by Koontz and O’Donnell i.e. Planning, Organizing, Staffing,

Directing and Controlling.


These functions are naturally inseparable. But for the sake of theoretically

explaining each function, it will be divided into five parts. Each function blends into the

other and each affects the performance of others.

1. Planning

It is basically the start of every process. No one can preliminary be involved in a

business without proper planning. It deals with having a clear view of the business

operations and the various courses of actions to take in the near future. It is a ways of

deciding in advance the most appropriate proceedings for achievement of pre-

determined goals. According to Koontz, “Planning is deciding in advance- what to do,

when to do and how to do. It bridges the gap from where we are and where we want to

be.” Thus planning is a systematic thinking about ways and means for accomplishments

of pre-determined goals. Planning is necessary to ensure proper utilization of human

and non-human resources.

2. Organizing

This brings together physical, financial and human resources and developing

productive relationship among them for achievement of pre-determined organizational

goals. According to Henry Fayol, “To organize a business is to provide it with everything

useful for its functioning i.e raw material, tool, capital and personnel’s”. To organize a

business involves determining, shaping and providing human and non-human resources

to the organizational structure. Organizing as a process involves:

 Identification of activities
 Classification of activities
 Segregation of duties
 Assignment of authority and provision of responsibility
 Coordinating authority and responsibility relationships

3. Staffing
It is the function of managing the organization structure. This function has assumed

huge importance in the recent years due to technological advancement, increase in size

of business, intricacy of human behavior etc. The main purpose of staffing is to put the

right person on the right job. According to Koontz and O’Donnell, “Managerial function of

staffing involves, manning the organization structure through proper and effective

selection; appraisal and development of personnel to fill the roles designed by the

structure”. Staffing involves:

 Manpower Planning (estimating man power in terms of searching, choosing the

person and giving the right position)


 Recruitment, Selection and Assignment
 Training and Development
 Remuneration
 Performance Measurement

4. Directing

It is a managerial function which put into actions the organizational schemes to work

efficiently for achievement of organizational purposes. It is considered life-spark of the

business which places it in motion the action of people because planning. Organizing

and staffing are basically the groundings for doing the work. Direction has following

elements:

 Motivation
 Leadership
 Communication

5. Controlling

It involves dimension of accomplishment against the standards and rectification of

difference if any to ensure achievement of pre-determined organizational goals. The

purpose of controlling is to ensure that everything occurs in conformities with the


standards. According to Theo Haimann, a management author “Controlling is the

process of checking whether or not proper progress is being made towards the

objectives and goals and acting it necessary, to correct any deviation”. Whereas

according to Koontz and O’Donnell “Controlling is the measurement and correction of

performance activities of subordinates in order to make sure that the enterprise

objectives and plans, desired to obtain them as being accomplished”. Therefore

controlling has the following steps:

A. Management Structure

To achieve the specific goals of the business, one must have a plan to execute it

well. The proponents agreed to have a partnership named Bi-Pass Incorporated to start

up a business which offers logistic services. A partnership is the relationship existing

between two or more persons who join to carry on trade or business. Each person

contributes money, property, labor or skill, and expects to share in profits and losses of

the business. The partners will share capital in terms of will money, skills and abilities to

start and run the business. Combining all together the capital will result to an effective

business venture.

The enterprise is not huge to have various departments and that results to have

a single personnel. There are different basic functions inside the business for it needed

different personnel to be hire. Each of them needed a job specification.

Employment Process

After the documents have been uploaded or passed in the office, Orientation is

required with your chosen training schedule.

Orientation

Applicants who succeeded the examination and interviews, and complied with all the

requirements will have an orientation to introduce the newly-hired employee to the other staffs

of the business. The orientation is also done for the newly-hired to gain commitment, help

him/her understand the expectations of the company from him/her, and convey what he/she

expects from the job and the company.

Job Trainings
The accepted employee will undergo trainings under the manager of the department he/she

is in. These trainings will help the employee learn about his/her job and obtain knowledge as to

how he/she can do the job more efficiently and effectively.

Bi-Pass trains drivers by conducting seminars held at Quezon City office before they can hit

the streets. The riders are cautiously picked so that Bi-Pass customers can expect to receive

the best possible service available. There are many criteria that Bi-Pass uses to screen the

quality of its riders and their vehicles.

. Employment contract

An employment contract is an agreement between the employer and the employee, and the

basis of their relationship. This should be signed, executed, and delivered to employees.

Thereafter, all employees are required to wear their identification card issued by the company

during work hours.

1. Work schedule

It is the company’s policy to provide appropriate work hours without violating the mandated

rest days. As such, the company requires all employees to follow the eight (8) hours working

shift, excluding one-hour break assigned to them.

A. Overtime work

Work may be performed beyond eight (8) hours a day, provided that the employee is paid for

the overtime work an additional equivalent to his/her regular plus at least 25% of such regular

wage thereof.

B. Under-time work

Under-time is allowed on a case-to-case basis, and only if approved by the store manager.

Under-time hours shall be automatically deducted from the salary of the concerned employees.
C. Weekly Rest day

It shall be the duty of every employer, whether operating as a profit or not, to provide each of

his/her employees a rest period of not less than 24 hours after six (6) consecutive normal work

days.

D. Attendance and Punctuality

Attendance and Punctuality are two essential qualities that employees must possess.

The company expects these factors because they determine an employee’s attentiveness,

commitment and persistence. Their presence is important for a smooth flow of work throughout

the day.

1.) Attendance

A written permission should be given to the manager of the employee before taking any

leave of absence.

2.) Unscheduled Absences

An employee is deemed absent when he/she did not file a written permission prior to

his/her absent.

3.) Sickness

In the event of an employee becoming ill and unable to carry out his/her duties, he/she

should notify his/her manager at least two (2) hours before his/her shift. Failure to notify his/her

manager will make such absence an absence without official leave (AWOL). Upon return to

his/her work, the employee must file a leave of absence together with his/her medical certificate

subject to the approval of the manager.

4.) Emergency Leave


Employees are entitled to up to ten (10) full days of emergency leave every year

provided that he/she must inform the manager and file an absence slip indicating the reason of

his/her absence with attached documents validating his/her absence. Failure to notify and

submit the absence slip within five (5) consecutive days, the employee will be subject to an

outright dismissal from the company.

5.) Punctuality

The employee must be punctual at all times to avoid possible delays on his/her work

schedule. Punctuality means that the employees are already at their respective work area not

later than the shift’s start time. Failure to come to work before the required time will render the

employee as late. Employees are allowed to have four (4) tardiness per month. In excess of

this, the employee will be subject to disciplinary action. Each tardiness is chargeable to the

employees’ salary.

6.) Personal Movement and Performance Evaluation

Employees are to be provided a formal performance evaluation by the manager before

the end of their fifth (5th) month of service. On the other hand, regular employees shall be

evaluated twice a year (every May and December of the calendar year). The completed

employee evaluations should be confirmed by the employee and the manager. Such completed

evaluation shall be a basis for salary increase, if applicable.

7.) Separation from Service

a.) Voluntary Resignation

If the employee intends to resign, notification to the management must be done at least

one (1) month prior to the intended resignation. There shall be no provision granting separation
pay to employees who voluntarily resigns from work. He/she must comply with all the clearance

requirements; otherwise, remaining compensations shall be forfeited.

b.) Termination

In all cases involving an employee’s termination from the company, appropriate notice of

termination shall be furnished to the employee subject to clearances of all accountabilities. The

employer may impose termination for any of the following causes:

1. Serious misconduct or willful disobedience by the employee of the lawful

orders of his/her employer or any representative in connection with his/her

work;

2. Gross and habitual neglect of duty;

3. Fraud or breach of trust;

4. Commission of a crime or offense against the employer, his/her family or

representative; or

5. Other similar causes.

C. Salary and Compensation Schemes

The Compensation and Benefits is one of the most practiced function of the Bi-Pass

Company since they value most their employee. Compensation does not only include the

salaries of the employees but also the rewards and benefits provided to them in return for their

loyalty and contribution to the organization.

Compensation Package
Bi-Pass drivers are paid based on commission basis per trip. Riders would earn 80 percent

of the fees. Drivers earn as much as P30, 000.00 month. Bi-Pass drivers are paid based on

enabling them to plan ahead, communicate with customers and organize the delivery jobs

themselves.

Being a Bi-Pass driver gives you flexible working hours and allows you to work anywhere, at

any time, even as a part time driver job. Bi-Pass takes advantage of the sharing economy,

which has completely transformed the motorcycle hiring landscape.

Employee and Labor Relations

This function includes various activities such as planning employee recognition and reward

events. It includes identifying workplace issues, investigating employee complaints, ensuring

Human Resource compliance with laws and regulations. It involves discipline and also includes

policy development and performance management.

a. Salaries and Wages

Salaries and wages shall be received by all employees respectively every 15th and last

day of the month as provided in their employment contracts. Computation of cut-off for payroll is

every 10th and 25th of the month.

b. Holiday Pay/Cancelled Day-off

Eligible employees shall receive additional compensation on work performed during

regular holidays and day-offs. The additional compensation on work performed during a regular

holiday is equivalent of 100% of his/her regular salary. Work performed during his/her rest day

shall have an additional compensation equivalent to 30% of his/her regular salary.


Consideration of regular holidays is based on the provisions of Republic Act No. 9492

otherwise known as the Act Rationalizing the Celebration of Holidays.

c. Sick Days and Vacation & Paid time off

Vacation & paid time off for employees will be 12 days and they are also given 6 days

sick leave.

d. 13th Month Pay

The 13th month pay of the employee, which shall be the 1/12 of his/her basic salary

earned for the whole year, shall be given before December 24th of the year.

e. Paternity and Maternity Leave

As provided by the law, paternity and maternity benefits are given to employees upon

compliance and submission of all the requirements of the law, and upon proper verification by

the company’s duly authorized representatives.

f. SSS/PHIC/HDMF Benefits

Benefits under the SSS/PDIC/HDMF shall be granted in accordance with applicable

laws. Implementation of procedures relative to the entitlement of the said benefits shall be made

in accordance with the regulations of the law.

g. Insurance, Health and Wellness

Employees are provided health insurance for any medical and surgical expenses. The

health insurance can also be used for reimbursement any incurred expenses from illness/injury

or used for direct payment to the care provider. This also includes dental insurance for

employees’ dental care.


The employees are also provided with disability insurance that offers income protection

to workers who become disabled for a long period of time, and as a result can no longer work

during that time period.

D. Compatibility with Industry Standards

Like any other businesses, Bi-Pass Incorporated, is compelled to comply with the

requirements of the law before it can operate as a business entity and offer its services to the

customers. The organization is therefore bound to take all of the steps enumerated hereunder:

1. SEC Registration

The partnership must first verify and reserve the proposed partnership name through

SEC by visiting their office or their online website located at SEC-iRegister which is a 24/7

portal.

The Articles of Co-Partnership, together with a filled up SEC registration form must be

submitted to the Securities and Exchange Commission upon payment of the required fees for

evaluation and approval.

SEC Certificate will then be issued once the SEC approves the registration of the

Partnership. After such, the partnership is recognized as an existent legal entity and acquires

some of the rights for the carrying on its purpose as a partnership.

2. DTI Registration

The partnership is then required to register its trade name for certification and approval

to the Department of Trade and Industry (DTI). The Articles of Co-Partnership together with SEC

certificate must be submitted to the DTI as an evidence for its compliance with the law.
3. City Mayor’s Office

Upon approval of the DTI, the business must then submit an application to the city

mayor’s office for the Permit and License to Operate. The said office will then issue a certificate

which signifies the approval of the company’s commencement of operation.

It is the local government’s duty to ensure that the business entities within their

jurisdiction are complying with the city ordinances and that such entities operates consistently

under the laws governing it.

4. BIR Registration

The business must then be registered to the Bureau of Internal Revenue (BIR) for the

regulation of the business’ operation and compliance with its taxation requirements. The

partnership should again submit to the BIR its SEC certification. Upon approval by the BIR, it

will issue a unique BIR registration number, Partnership (TIN) tax identification number, and

registration of the company’s books, invoices and official receipt.

5. Government Duties

The company is now required to register to the Social Security System for the benefit of

its employees. The company is not required to submit its SEC certification to be registered in

the SSS. SSS application form must be filled up including the list of the employees. Upon

approval of the SSS, a Certificate of membership and an SSS employer ID number will then be

issued to signify the approval of the company’s registration.

All government and private sector employees are required to register with Philhealth in

order to provide social health insurance coverage to their employees. The company must

submit Employer Data Record or ERI Form (in duplicate) and Business permit/license to

operate to the Philhealth Office. Upon approval, Philhealth will then issue Philhealth Employer
umber (PEN) and the Certificate of Registration Philhealth Identification Number (PIN) and

Member Data Record (MDR) of registered employees.

Labor Laws for Employees

The company may implement policies and impose terms and conditions of employment

as it deems fit given their operating standards and profitability requirements. These policies and

implementations, however, must be in accordance with the mandated labor policies set forth in

the Labor Code of the Philippines.

Under the Labor Code of the Philippines, employees are entitled to compensation or

wages, overtime pay, holiday and premium pay, service charges and tips in service businesses,

SSS, EC and NHI remittances, service incentive leaves, and retirement pay.

A. Applicable Labor Laws

The company shall conform to the provisions of the law as specified in the Labor Code of

the Philippines as prescribed by the Department of Labor and Employment.

B. Social Security Act and other related benefits

1. Social Security Systems (SSS) Contributions

Republic Act No. 8282, otherwise known as the Social Security Act of 1997, refers to the

social security system in the Philippines that is initiated, developed, and promoted by the

government. According to Sec.9-A, the coverage in the SSS shall be compulsory upon self‐

employed persons as may be determined by the Commission under such rules and regulations

as it may prescribe.

Compulsory coverage of the employer shall take effect on the first day of his operation

and that of the employee on the first day of his employment: Provided that the compulsory
coverage of the self‐employed person shall take effect upon his registration with the SSS.

Monthly employee contributions depend on the employee’s actual monthly salary.

2. Contribution to the National Health Insurance Program (NHIP)

Republic Act No. 8735 or the National Health Insurance Act of 1195 provides health

insurance coverage and ensure affordable, acceptable, available and accessible health care

services for all citizens of the Philippines, in accordance with its policies and specific provisions.

The company and the employee shall contribute to the Medicare Program which is administered

by the Philippine Health Insurance Corporation (PhilHealth). Monthly employee contributions

depend on the employee’s actual monthly salary.

3. Contribution to Home Development and Mutual Fund (HDMF)

The company is required to contribute not less than ₱100 per month to the employee’s

Home Development and Mutual Fund. In accordance to the periodic remittance schedule

provided by the HDMF, the company shall remit this contribution, in addition to that of the

employee’s, which is to be deducted to his/her payroll.

4. 13th month pay

As mandated by the Presidential Decree No. 851, the employee shall receive a bonus

salary equivalent to one (1) month, regardless of the nature of his/her employment, not later

than December 24 of the year.

5. Service Incentive Leave

Book III Chapter III of the Labor Code of the Philippines covers for the employee’s

benefit for service incentive leaves. According to Article 95, an employee who has rendered at

least one (1) year of service is entitled to a yearly five (5) days service incentive with leave pay.
6. Meal and Rest Periods

Article 83 of the Labor Code of the Philippines provides that the employee is provided a

one (1) hour employee benefit for regular meals, when working on an eight (8) hour stretch.

Employees are also provided adequate rest periods in the morning and afternoon which shall be

counted as hours worked.

C. Local Tax Codes

The Local Government Code of the Philippines provides that each local government unit

shall exercise its power to create its own sources of revenue and to levy taxes, fees, and

charges subject to the provisions herein, consistent with the basic policy of local autonomy. The

company must pay local taxes in accordance to the tax policies where the company resides or

situated.

Income Taxes

Under the National Internal Revenue Code, the company is considered a partnership.

From Section 27 of the NIRC, except as otherwise provided in this code, an income tax of thirty

percent (30%) is hereby imposed upon the taxable income during each taxable year from all

sources within or outside the Philippines. The company will use a calendar year for tax

purposes.

Annual income tax return for corporations and partnerships provisions are as follows:

1. Certificate of Income Payments not Subjected to Withholding Tax (BIR Form 2304), if

applicable

3. Duly approved Tax Debit Memo, if applicable

4. Proof of Foreign Tax Credits, if applicable

5. Income tax return previously filed and proof of payment, if amended return is filed for the

same taxable year

6. Account Information Form (AIF) and/or the Certificate of the independent CPA with Audited

Financial Statements, if the gross quarterly sales, earnings, receipts or output exceed ₱150,000

7. Proof of prior year’s excess tax credits, if applicable.

Procedures

3. For “No Payment” Returns including refundable/creditable returns and returns with excess tax

credit carry over.


 Proceed to the Revenue District Office where the company is registered or to any Tax

filing Center established by BIR and present the duly accomplished BIR Form 1702,

together with the required attachments.

 Receive the copy of the duly stamped and validated form from the RDO/Tax filing Center

representative.

Deadline: Final Adjustment Return or Annual Income Tax Return – On or before the 15 th day of

the fourth month following the close of the taxpayer’s taxable year.
