TECHNICAL DESCRIPTION

Proposed Methodology
Service Type
 CYBERNET proposes 5Mbps internet connectivity to FOUNDATION UNIVERSITY connecting its
Karachi office using Radio (5.8GHz) as a last mile options.
Proposed Last Mile
 Radio (5.8GHz) is proposed a last mile option.
 Radio is proposed on tentative basis, bandwidth availability will be subjected to the availability of
frequency spectrum as it is an unlicensed band.
IP Requirement
 CYBERNET proposes WAN IPs for all WAN connections.
 For LAN, customer will use its own IP convention.
 For additional IP’s, IP justification will be required from the customer.
 CYBERNET shall assign IPs for WAN connectivity only.
Hardware Requirement
 Customer should arrange the Router/ layer 3 devices at its premises to terminate the link and
should support 802.1p & 802.q IEEE standards.

PRE-REQUISITES

1. The above mentioned financials are exclusive of any grounding or electrical activity.
2. If civil work in addition to the standard installation procedure is required it will be charged on as per
actual basis.
3. Proper space, power requirement and site environment as per the CYBERNET recommended standard
in IT room shall be the responsibility of the customer.
4. During the term of agreement, the customer shall bear all risks for the equipment provided by
CYBERNET, including the entire risk of lost, theft, damage or destruction of the equipment and all
liability for the use, possession, operation, storage and condition of the equipment.
5. The equipment installation, link commissioning and testing will be performed by CYBERNET’s Engineer,
results of which will be recorded and signed by the customer. Any on-site labor incurred after the initial
installation of the equipment will be the responsibility of the customer.
6. On Purchased equipment, 6 months standard warranty is applicable from the date of purchase. After
expiry of warranty period a separate maintenance contract will be signed.
7. Deployment time will be at least 4 weeks after receipt of PO subject to site inspection.
8. CYBERNET shall require 3 Months prior notice for any discontinuation of service after fulfilling the
contract term.

RADIO
1. Radio feasibility like Light of sight, Tower height and cable length shall be confirmed after actual survey.
2. The Radio connectivity is on unlicensed band (5.8 GHz band) and bandwidth throughput depends on
environmental conditions.
3. Maximum cable length applicable is 300ft, if cable length exceeds then higher equipment will be quoted
separately.
4. In order to provide secure route to the Tower/Mast pole-cable, PVC pipe will be charged at rate of PKR
50/ft.
5. 12’’Tower will be charged at rate of PKR 1400/ ft.
6. Cable will be charged at the rate of PKR 60/ft.

TERMS AND CONDITIONS

1. TERM AND TERMINATION

1.1. The term of this proposal shall initially be for a period of 1 year effective from date of issuance of
purchase order.
1.2. CYBERNET shall be entitled to terminate and discontinue service to the Customer by serving a thirty
(30) days written notice to this effect in the event that;

1.2.1. Such termination or discontinuance is necessitated in order to protect the integrity of


CYBERNET’s network;

1.2.2. The Customer or any other person or party accessing or using the Services through the Customer
engages in any of the prohibited activities mentioned in point 2.

1.2.3. Customer defaults in making payment of any amount due and payable to CYBERNET, or any other
payment terms.

1.2.4. Any other reason at the sole discretion of CYBERNET

1.2.5. The termination of services with any reason whatsoever would not waive CYBERNET’s right to
recover the outstanding /fee amount from the Customer.

2. PROHIBITED ACTIONS
2.1. The Customer is hereby specifically prohibited from engaging, while using CYBERNET’s network, in any
course of action which compromises the performance, security or integrity of any servers or other
computers or other devices connected directly or indirectly to the internet or any material increase in
traffic levels for any unlawful purpose like email spamming, Voice Over IP, or any type of tempering or
‘invasion’ of security system, password protection or encryption of CYBERNET or outsiders by
Customer or infringement of any right of other internet users, service providers, content providers and
/ or any users of CYBERNET’s systems through Customer computer systems outside Customer right of
use under this service arrangement.

2.2. Voice traffic over proposed network is not allowed and customer shall be liable for any breach in this
respect, customer shall also be liable to pay any penalty from PTA. Voice traffic can only be permitted
if customer supplies PSEB certificate or PTA permission letter to CYBERNET.

3. INDEMNITY
3.1. The Customer hereby acknowledges and agrees to monitor and / or restrict the content accessed by
Customer (or by any other party through the Customer) using the Services in order to comply with
relevant and applicable law, rules, regulations and licensing terms and conditions and shall indemnify
and keep CYBERNET harmless from any loss, expenses, costs, damage or claim incurred by or

occasioned to CYBERNET as a result of use of the Services including but not limited to, intellectual
property rights and rights of privacy.

3.2. CYBERNET makes no warranties or representations regarding and shall not be liable for any loss or
damage to the Customer resulting from the use or interrupted use of the Services including, but not
limited to, losses resulting from delays, improper or incomplete delivery of information or email,
computer viruses, damage to the Customer’s equipment and it shall also not be liable for services that
are reliant on any third party including, but not limited to, PTCL, any satellite carrier, internet
backbone service provider or content provider.

4. FORCE MAJEURE
This service arrangement shall be suspended during the period and to the extent of such period that either
of the Party is prevented or hindered from complying with its obligations under any part of this service
arrangement by any cause beyond its reasonable control including but not limited to riots, strikes, lockouts
acts of governmental authority, breakdown of communications facilities or extended outages of energy
sources and natural disasters or weather related outages. If such period of suspension exceeds beyond 30
days, the services may be terminated with the mutual consent of both the Parties in writing.

5. CONFIDENTIALITY
Both parties to take care of the confidentiality of the information gathered/obtained from the other in the
due course of business and/or as a consequence of provision of the Services. This restriction shall continue
to apply after the termination of services without limit in point of time. The point not to apply on the
information that is already in public domain or obtained through the unauthorised disclosure by or the fault
of either party.

6. COMMERCIAL PROPOSAL
This proposal hereto constitute the entire and only proposal between the Parties with respect to the subject
matter hereof and hereby terminates, cancels and supersedes any and all prior oral or written service
arrangements or understandings between the Parties.

7. PAYMENT TERMS:
7.1. CYBERNET shall invoice monthly in advance to the Customer of each period in respect of the periodic
recurring charges due for such month and customer to clear the invoices within 15 days from the date
of invoice.

7.2. All amounts due and payable hereunder shall be paid by cheque or Customer draft or pay order drawn
in the name of “Cyber Internet Services (Pvt.) Ltd, payees account only.”

7.3. Any amount to be paid in US dollar /other foreign currency will be converted by applying open market
conversion rates prevailing at the time of payment.

7.4. In case of late payment, a surcharge calculated at 2% per month of any outstanding but not disputed
amounts, shall be added and billed to the Customer in the bill for the next forthcoming month.

7.5. CYBERNET represents that it has been exempted from deductions of tax u/s 159 of Income Tax
Ordinance, 2001 read with clause (XV11) of the SRO 586(1)/91 dated 30.06.1991 and section 153 of the
Income Tax Ordinance, 2001. Copy of Exemption Certificate shall be furnished upon request.

7.6. Prices are inclusive of GST (@ 17%). Any change in Taxes/GST and Levies after the submission of
proposal and before the issuance of purchase order will supersede the above mentioned tax rate.

7.7. The Prices are quoted in PKR at today's exchange rate of USD to PKR (1 USD = 87 PKR); any change in
USD to PKR parity for more than 5% from the stated rate will be chargeable to the customer.

8. EQUIPMENT RENTAL POLICY:


8.1. The equipment allocated by Cybernet to the Customer will be installed and commissioned at the
customer premises in the presence of customer’s staff and shall remain to be the property of Cybernet
and must be returned to Cybernet on the termination of this Agreement. Upon successful
commissioning, a service acceptance form shall be signed by the Customer. Any on-site labor incurred
after the initial installation of the equipment will be the responsibility of the Customer.
8.2. During the term of this Agreement, the Customer shall bear all the risks for the equipment provided by
Cybernet, including but not limited to the entire risk of loss, theft, mishandling, physical damage,
improper power conditions, power shortage, power surge or destruction of the equipment or any
other negligence on its part.
8.3. Cybernet may replace the defective equipment and materials according to the following terms and
conditions:
a) If the defective equipment is repairable then it will be sent for repair to the vendor and Customer
has to pay for the expenses involved otherwise if the defective equipment is not repairable then
Customer will bear the replacement cost which shall be the fair market value of new equipment,
prevailing at that date.

b) Customer has no authority to repair the defective equipment by itself or by any third party,
whatsoever.

9. VALIDITY
This proposed solution is valid for 30 days only from the date of submission.
