Relevant Qualifications
I have held an AMP Practicing Certificate since February 2001. This is a Certificate established and maintained by AMP for
AMP Advisers who have undertaken general financial services training. I attend in-house and industry training each year to
maintain a current AMP Practicing Certificate.

I also have the following qualifications relevant to giving investment advice:


 Business Financial Services (Merit) – AdviserLink, obtained in 2002;
 AMP Introduction to Financial Planning, obtained in 2001.

I keep these qualifications up to date by attending in-house and industry seminars and maintaining my continuing education
requirements through the Institute of Financial Advisers (IFA).

Relevant Experience
I have been an AMP Adviser since 2001.

I also have the following experience as an investment adviser:


 employment in the banking services industry at Trust Bank/WestpacTrust from January 1994 to January 2001.

Membership of a Professional Body


I am a general member of the Institute of Financial Advisers (IFA) and I am bound by the IFA Code of Ethics and Professional
Conduct and associated bylaws.

Professional Indemnity Insurance


I have professional indemnity insurance with the following cover: Professional Indemnity cover, Public Liability cover and
Statutory Liability cover. This insurance applies when I act as a life agent and/or a general agent of any insurance or assurance
company and/or intermediary, agent or consultant in the sale or negotiation of any financial product or when I provide any
financial advice.

As with all insurance, this cover is subject to certain exclusions.

Should you have a complaint that I am not able to resolve, in the first instance you can complain directly to the directors at

If this is unable to resolve your complaint to your satisfaction you can contact the product provider directly.

Convictions
In the last five years I have not been convicted of any offence under the Securities Markets Act 1988 or the Securities Act 1978
or of any crime involving dishonesty, nor have I been the principal officer of a body corporate at a time when that body
corporate was convicted of such an offence.

I have not been adjudicated bankrupt in the last five years.

Prohibition from managing a company or business


In the last five years I have not been prohibited by an Act or by a court from taking part in the management of a company or

Adverse findings of a court


In the last five years I have not been the subject of an adverse finding by a court in any proceeding taken against me in my
professional capacity as an investment adviser.

Expulsion /Prohibition from a professional body


In the last five years I have not been expelled from, or prohibited from being a member of, any professional body.

Statutory Management or Receivership


In the last five years I have not been placed in statutory management or receivership.

Types of Securities I provide advice on


I provide advice on the following types of securities: unit trusts, superannuation (including KiwiSaver), share and bond
portfolios, term deposits and life policies.

Specific Issuers' securities I advise on


I provide advice about securities issued by the AMP Group.

I may also provide advice on a range of other non-AMP securities as selected by AMP. These include securities provided
through AMP Premium (Wrap), and those within the range known as AMP Connect.

A list of issuers of securities I may provide advice on is attached as Appendix A.

I may also, on request, provide advice in relation to other securities which you already hold or on which you seek my advice.

Relevant Fees
I do not currently charge my clients fees direct. However, my employer, Marlborough Financial Services Limited, may charge
you fees for the advice I provide. Please refer to its disclosure statement for a list of these fees.

Relevant Remuneration
I am remunerated by way of a salary paid to me by Marlborough Financial Services Limited.

In addition to product commission or advice fees, Marlborough Financial Services Limited or I may receive remuneration that
consists of recognition and awards through the AMP Achievement Programme. This programme rewards AMP Advisers and
AMP Adviser Businesses based on sales volumes of investment and non-investment products. These products include all AMP
products, and non-AMP products accessed through the AMP Premium Wrap and AMP Connect. I will earn a set number of
points depending on which products I sell and the amount of the investment. The points structure is set out in Appendix B.

High performing AMP Advisers and Adviser Businesses are eligible to receive as part of the AMP Achievement Programme:
 a full or partial subsidy from AMP to attend an AMP offshore convention held every second year and/or an annual
AMP convention held in either New Zealand or Australia; and
 various non-monetary awards in recognition of high sales performance in a particular product category over one year.

If I earn at least 1,000 points under the AMP Achievement Programme, my adviser business will receive a partial subsidy for a
software licence from AMP.

My adviser business may qualify for an annual bonus through the AMP Revenue Share Programme. The financial bonus is
calculated annually by adding all of the points earned by the advisers in my adviser business under the AMP Achievement
Programme during the relevant year. Once my adviser business has achieved a qualifying threshold of 7,500 points, it will
receive a financial bonus of $2 per point earned. This programme rewards my adviser business based on sales volumes of

investment and non-investment products. These include all AMP products and non-AMP products accessed through AMP
Premium Wrap. My adviser business may then pay a portion of the total of that financial bonus to me. The amount of the
financial bonus that I may receive has yet to be determined. My adviser business will only be allocated points based on my
sales volumes if I have opted into the AMP Achievement Programme.

From time to time AMP and/or other product providers may invite me to attend functions, training and so on at no cost, or at a
reduced cost, or provide me or my business with gifts. They may also run sales competitions with prizes such as cash, gift
vouchers, travel vouchers and so on.

I may also receive gifts from AMP and other product providers whose products I sell, such as gift vouchers, bottles of wine,
entertainment, tickets to events or participation in conferences or seminars.

Relevant Relationships and Interests


I am an employee of Marlborough Financial Services Limited. Marlborough Financial Services Limited has an agreement
with AMP Services (NZ) Limited. This allows it to sell and to engage advisers to sell financial products and services made
available by AMP.

Marlborough Financial Services Limited

I am a director of Marlborough Financial Services Limited.

I am a 1% shareholder of Marlborough Financial Services Limited. The trustees of my family trust, the AC & NC Mullen
Investment Trust, hold 49% of the shares in Marlborough Financial Services Limited.

As I am a director and shareholder of Marlborough Financial Services Limited I may also receive a 1% share of any of its
profits that are distributed, some of which are directly or indirectly related to my sales of investment products.
Marlborough Financial Services Limited receives all of the commission and fees I earn.

All commission is paid by the particular product provider. Commission on all products is paid from AMP through
Marlborough Financial Services Limited which then pays me.

Relatives

My wife and I are beneficiaries and trustees of the AD & NC Mullen Investment Trust, which owns 49% of the shares in
Marlborough Financial Services Limited.

As a result, my wife and I may also receive a 49% share of profits of Marlborough Financial Services Limited some of which
may be directly or indirectly related to my sales of investment products.

I do not have any other interest in Marlborough Financial Services Limited.

My wife may also receive a full or partial subsidy from AMP to attend AMP offshore conventions held every second year
and/or an annual convention held in New Zealand. She may also attend functions, training, and other events provided by AMP
or other product providers at no cost or at a reduced cost.

Other than those disclosed above, neither I nor any associated person of mine has or will or may have any interest or
relationship that a reasonable person would find reasonably likely to influence me in giving investment advice.

Money Handling procedures


I may only accept cheques for AMP and non-AMP products. Cheques must be crossed “not transferable” and made payable to
AMP or the particular product provider. I do not accept cash.

I send all customer cheques direct to AMP or the product provider. The cheques are then banked directly into the bank account
of AMP or the product provider, held waiting the acceptance of your application, then applied in accordance with your
investment instructions.

Money and investment property I receive for securities is not held on trust by me. I am not allowed to use your funds to
benefit myself or any other person in any way.

The receipt of those funds by me is not audited, however Ernst and Young audit the receipt, holding and disbursement of the
funds received by AMP.

The relevant product providers hold complete records of your investment(s). You can ask for access to the records held by
AMP by contacting me or by telephoning the AMP Customer Services team on 0800 808 267. You are able to access the
information held by other product providers by contacting the relevant product provider or me.
