OVERVIEW
Higher education has become a vibrant business in Malaysia and it is of paramount importance to cultivate the creative and innovative intellectual human capitals that are needed for the future growth of the economy. Today, higher education is no longer the privilege of the wealthy few, but providing opportunities to all qualified students, both locally and internationally. The demand for education will rise as people or parents have higher aspirations for their childrens future. With the ever-growing demand for public higher education due to the democratisation of education, especially secondary education, public institutions faced serious challenges of operating within the constraints of their limited allocations given by the government. This had prompted the government to encourage private institutions to play a more active role in the higher education sector through various policy and regulatory amendments as well as in supporting these institutions to increase their capacity. As a result, these initiatives have strengthened and enhanced the private institutions role as higher education providers in Malaysia. The demand for private higher education in Malaysia will continue to rise due to rising population of high school leavers and rising costs of providing public higher education. In Malaysia, the private higher education institutions grew significantly. As of 31st October 2009, there were 20 private universities, 20 college universities, 5 branch campuses and 470 colleges in the country. This Guidebook will provide information for companies on how to comply and undergo the number of approvals involved in setting up private higher education institutions business. Generally, companies that wish to establish a private higher education institution such as university, college university or branch campus as well as college in Malaysia are required to submit appropriate application and obtain approval from the Ministry of Higher Education through the Private Higher Education Management Sector. It is hoped that this Guidebook will provide a comprehensive reference to the companies that are interested to start a new private higher education institution business in this country.

STAGES OF APPROVALS IN STARTING THE PRIVATE HIGHER EDUCATION INSTITUTIONS (PHEI) BUSINESS
On the assumption that the private higher education institution building is completed and ready to be occupied, a PHEI operator is required to apply a minimum of 36 approvals* and up to a maximum of 48 approvals, depending on the number of academic activities operator intends to provide in the PHEI. The 48 approvals can be categorised into 4 stages as follows: STAGE Stage 1 : Company/ PHEI Establishment Stage 2 : Pre-Operational Approvals Stage 3 : Operational Approval Stage 4 : Additional Approvals TOTAL NO. Note: *Approvals include licences, permits, registrations and letters. Stage 1 to Stage 3 covers the minimum 36 approvals. Stage 4 covers 12 additional approvals that can be applied separately if the PHEI operator intends to include additional academic activities. STAGE 1 : COMPANY/ PHEI ESTABLISHMENT


For the purpose of conducting a business in Malaysia, the most common type of company incorporated under the Companies Act 1965 (CA) is a company limited by shares. It may be incorporated as a private company or public company. The requirements to form a company are: i. A minimum of two subscribers to the shares of the company (Section 14 CA); ii. A minimum of two directors (Section 122 CA); and iii. A company secretary who can either be: An individual who is a member of a professional body prescribed by the Minister of Domestic Trade and Consumer Affairs; or An individual licensed by the Companies Commission of Malaysia (CCM). Both the directors and company secretary shall have their principal or only place of residence within Malaysia. To start the private higher education institution business, this Guidebook shall outline the incorporation procedures of a local company limited by shares and also the registration procedures of a foreign branch company. A private higher education institution has to apply for two approvals, namely the Approval of Company Name followed by the Certificate of Incorporation (local company) or Certificate of Registration (foreign company).

Form 48A (Statutory Declaration by a Director or Promoter Before Appointment)

The director or promoter declares under oath that:

A. Incorporation Procedures of a Local Company a. Name Search with CCM and Application for Name A name search must be conducted to determine the availability of the proposed companys name. The steps involved are: i. ii. iii. Completion and submission of Form 13A of the CA; (Request for Availability of Name) to CCM; and Payment of RM30.00 fee for each name applied.

He/ she is not a bankrupt; and He/ she has not been convicted and imprisoned for the prescribed offences. Form 6 (Declaration of Compliance):

This declaration states that all the requirements of the CA have been complied with. It must be signed by the company secretary who handles the registration and is named in the Memorandum and Articles of Association. iv. Additional documents: Original Form 13A; A copy of the letter from CCM approving the company name; and A copy of the identity card of each director and company secretary.

When the proposed companys name is approved by CCM, it shall be valid for three (3) months from the date of approval. This process can also be done by using the e-Lodgement services via the website www.malaysia.gov.my or www.ssm.com.my. Approval Duration The approval duration for companys name is one (1) day. b. Lodgement of Incorporation Documents The following documents must be submitted to CCM within three (3) months from the date of approval of the companys name: i. Memorandum and Articles of Association: An original copy of the Memorandum and Articles of Association shall each be stamped at RM100.00. Stamps are affixed at the Inland Revenue Boards stamp office. The first directors and secretaries shall be named in the Memorandum and Articles of Association. The subscribers to the companys shares shall sign the Memorandum and Articles of Association in front of a witness. Table A of the Fourth Schedule in the Company Act can be adopted as the Articles of Association of the company (Section 30 CA).

This process can also be done by using the e-Lodgement services via the website www.malaysia.gov.my or www.ssm.com.my. Approval Duration The approval duration for the incorporation of a local company is one (1) day. A Certificate of Incorporation (Form 9) will be issued by CCM upon compliance with procedures and submission of completed documents. B. Registration Procedures of a Foreign Company A foreign company may carry on a PHEI business in Malaysia by either:

b. Lodgement of Registration Documents The following registration documents must be submitted to CCM within three (3) months from the date of approval of the companys name: i. A certified copy of the certificate of incorporation or registration of the foreign company; ii. A certified copy of the foreign companys charter, statute or Memorandum and Articles of Association or other instrument defining its constitution; iii. Form 79 (Return By Foreign Company Giving Particulars Of Directors and Changes Of Particular); Note: If the list includes directors residing in Malaysia who are members of the local board of directors of the foreign company, a memorandum stating their powers must be executed by or on behalf of the foreign company and submitted to CCM. iv. A memorandum of appointment or power of attorney authorising the person(s) residing in Malaysia, to accept on behalf of the foreign company any notices required to be served on such foreign company; v. Form 80 (Statutory Declaration By Agent Of Foreign Company); and vi. Additional documents consisting of:

Incorporating a local company with CCM; or Registering the foreign company in Malaysia with CCM.

Foreign company is defined under the CA as: i. ii. A company, corporation, society, association or other body incorporated outside Malaysia; or An unincorporated society association, or other body which under the law of its place of origin may sue or be sued, or hold property in the name of the secretary or other officer or the body or association duly appointed for that purpose and which does not have its head office or principal place of business in Malaysia.

The original Form 13A; and A copy of the letter from CCM approving the name of the foreign company.

The proposed companys name intended for registration of the foreign company should be the same as registered in its country of origin. When the proposed company name is approved by CCM, it shall be valid for three (3) months from the date of approval. Approval Duration The approval duration for companys name is one (1) day.

Note: If any of the described registration documents are in languages other than Bahasa Malaysia or English, a certified translation of such documents in Bahasa Malaysia or English shall be required.

Letter of Invitation (Only for University/ College University or Foreign University Branch Campus)

The Minister of Higher Education may invite any proposed applicant to submit an application to establish/ upgrade PHEI institution with the status of a University, College University or Foreign University Branch Campus. Approving Authority Ministry of Higher Education (MOHE). Laws and Regulations Private Higher Educational Institutions Act 1996 (Act 555) and Regulations made thereunder. Application Process 1. Applicant is required to submit the application for approval to establish (including upgrading) a PHEI with the status of a University, College University or Foreign University Branch Campus to the Minister on his invitation to do so; If the application/ proposal is accepted, the applicant shall be called for a comprehensive presentation to the panel; and The Letter of Invitation will be issued to the applicant after the approval by Minister.

Note: i. In determining the amount of registration fees, the nominal share capital of the foreign company should first be converted to the Malaysian currency (Ringgit Malaysia) at the prevailing exchange rate and ii. In the event a foreign company does not prescribe any share capital, a flat rate of RM1,000 shall be paid to CCM. Approval Duration The approval duration for registration of a foreign company is one (1) day. A Certificate of Registration (Form 83) will be issued by CCM upon compliance with procedures and submission of completed documents. Approval for Establishment of PHEI

Three (3) copies of financial report or constitutional documents (Form 24 and/ 32A and 49) verified through statutory declaration, audited account and Profit and Loss Account and latest annual report.

This application can be made by the applicant for establishment approval. A prior approval from Minister should be obtained for the establishment of a PHEI. Approving Authority Ministry of Higher Education (MOHE). Laws and Regulations Private Higher Educational Institutions Act 1996 (Act 555) and Regulations made thereunder. Application Process An applicant who has been invited by the Minister may submit an application under Section 6 of the Act to the Registrar General for the establishment (including upgrading) of a private higher education institution with the status of a University, College University or Foreign University Branch Campus. The applicant is required to submit the application for establishment of PHEI to the Registrar General on the prescribed form and in the prescribed manner accompanied by the fee together with particulars and documents required in Sections 6 and 7 of the Act. The applicant is required to submit the application for establishment (including upgrading) of PHEI by filling in the following forms: a. b. Application Form to Establish Private Higher Education Institution with the status of University/ College University/ Branch Campus Status (KP/ JPS.IPTS (Pen) I); or Application Form to Establish Private Higher Education Institution without the status of University/ College University/ Branch Campus Status (KP/ JPS.IPTS (Pen) II).

In addition to the above procedures, the following is necessary for the establishment of PHEI approval: i. ii. If the application proposal is accepted, the applicant shall be invited for a comprehensive presentation; If the application satisfies all requirements, Letter of Approval for establishment will be issued.

The applicant must adhere to additional procedures and documents as specified in the above-mentioned forms. Approval Duration If the application is successful, the Letter of Approval will be issued within one and a half (1) months from the date of the Letter of Complete Application issued by MOHE. Validity Period The Letter of Approval for the establishment of PHEI is valid for three (3) years. Approval for Appointment of PHEI Chief Executive

Approval for Draft of Institutional Constitution

Every PHEI shall appoint a Chief Executive. Approving Authority Ministry of Higher Education (MOHE). Laws and Regulations Private Higher Educational Institutions Act 1996 (Act 555) and Regulations made thereunder. Application Process The applicant is required to nominate a candidate for the approval of appointment of PHEI chief executive position through a formal letter. The following documents are necessary for the application: a. b. c. d. Letters of Appointment from the Board of Directors; Letters of Acceptance; Academic Certificates; and Curriculum Vitae.

This application should be made to get the approval for Draft of Institutional Constitution and every institution must be managed in strict accordance with its constitution. If there is any changes, PHEI should notify the Registrar General. Approving Authority Ministry of Higher Education (MOHE). Law and Regulations Private Higher Educational Institutions Act 1996 (Act 555) and Regulations made thereunder. Application Process Applicant is required to submit the application for the approval for Draft of Institutional Constitution to the Registration and Standards Division, Higher Education Department, MOHE through a formal letter. Approval Duration (Decision on Application) The decision on the application for the Letter of Invitation will be issued within seven (7) days from the date of Letter of Complete Application issued by MOHE. Validity Period Validity period is indefinite until further changes are requested. Approval for Companys Memorandum and Article

Approval to Conduct Courses

This application should be submitted in order to get the approval for Companys Memorandum and Article. If there is any change, PHEI should notify the Registrar General. Approving Authority Ministry of Higher Education (MOHE). Laws and Regulations Private Higher Educational Institutions Act 1996 (Act 555) and Regulations made thereunder. Application Process This application is attached together with Form KP/JPS.IPTS (Pen I) or KP/JPS.IPTS (Pen II). Approval Duration The letter on the decision of the approval will be issued within seven (7) days from the date of Letter of Complete Application issued by MOHE. Validity Period Validity period is indefinite until further changes are requested. Application Process The applicant is required to submit the application for the approval to conduct courses and studies by filling in the following forms: a. b. Application to Conduct Courses and Studies Form A KP/ JPS (Kur) I; and Code of Practice for Programme Accreditation MQA-01 with effect from 1 January 2009.

Approval Duration The approval will be issued by Private Higher Education Management Sector, Higher Education Department within twenty-three (23) weeks from the date of submission of complete application to Malaysian Qualifications Agency (MQA). Validity Period Five (5) years. Certification of Provisional Accreditation

Provisional Accreditation is an assessment exercise to determine whether a programme has met the minimum quality requirements prior to full accreditation. Approving Authority Malaysian Qualifications Agency (MQA). Employer Registration with SOCSO

A PHEI operator as an employer is also responsible to register an employee with the EPF, if he or she works for the first time. Approving Authority Employees Provident Fund (EPF). Laws and Regulations EPF Act 1991. Application Process An employer is required to complete Form KWSP 3 and forward it together with the following documents: a. b. c. Photocopy of IC affixed with right and left thumb print of the employee certified by employer; Photocopy of Birth Certificate of the employee (in the absence of IC); and Photocopy of Passport/ Work Permit of the employee and complete Form KWSP 16B (foreigners).

Employee Registration with SOCSO

Social Security Organisation (SOCSO) administers two social security schemes for workers earning wages not exceeding RM3,000 per month. Employees who receive a monthly wage exceeding RM3,000 and who have not previously registered or paid contributions to SOCSO are given an option to be covered under the Act. Both the employer and employee have to provide consent to the coverage by filling the optional form (PKS: (F) 42). Once covered, workers remain covered irrespective of their wages. However, the maximum contribution is based on wages of RM3,000 per month. All employees who have been employed by an employer under a contract of service of apprenticeship are liable under Social Security Act 1969. Contribution under Employment Injury Insurance Scheme: a. Employer - 1.25% of the employees wages; and b. Employee - Nil. Contribution under the Invalidity Pension Scheme: a. Employer - 0.5% of the employees wages; and b. Employee - 0.5% of the employees wages. Employer Registration A PHEI operator who employs employees is required to register and contribute monthly to SOCSO. Employee Registration All employees eligible for coverage under the Act must register and contribute to SOCSO irrespective of the employment status whether it is permanent, temporary or casual in nature. Publication Permit

A PHEI operator who intends to print, import, publish, sell, circulate or distribute any periodicals printed in Malaysia or Singapore must apply for Publication Permit. Periodicals means any publication printed in any language for sale or free distribution at regular or irregular intervals by the PHEI. However, the Publication Permit is exempted for one-off publication. Approving Authority Ministry of Home Affairs (MOHA). Laws and Regulations Printing Machine and Publishing Act 1984. Application Process The application must be made by one of the Board of Directors or Company Secretary whose name is stated in Form 49 by filling in Publication Permit Form and submitted with the following documents:

Certification of Accreditation

Institutions which have been given Provisional Accreditation are required to apply for full accreditation when the programmes reach the maturity period. Approving Authority Malaysian Qualifications Agency (MQA). Laws and Regulations Malaysian Qualifications Agency Act 2007, Malaysian Qualifications Agency (Prescribed Forms) Regulations 2010. Application Process Application for Certification of Accreditation must be made using Form B Application for Certificate of Accreditation of Programmes or Qualifications which is available at the MQA. The applicant is also required to fulfil all other procedures and supporting documents as specified in the above-mentioned form. Approval Duration The letter on the decision of the approval will be issued within five (5) days from the date of receipt of complete submission. Validity Period Validity period is five (5) years for local applicants and for foreign applicants it is dependent on the validity of the work permit issued by the Immigration Department of Malaysia.

Cancellation of Registration of PHEI Chief Executive is required if Chief Executive is convicted or charged in respect of an offence. Approving Authority Ministry of Higher Education (MOHE).
